THE PARTIES
THIS AGREEMENT, made and entered into this 28th day of May, year two thousand
by and between WOODSIDE INC., represented herein by its President, Mr.
Florentino Dy, with postal address at Room 521 Carmelita Building, Aurora Blvd.
Quezon City, the party of the First Part, hereinafter called the OWNER, and GRACE
C. RAMOS with office address at Room 305 Dona Julita Building, Kamuning,
Quezon City, theS party of the Second Part, hereinafter called the ARCHITECT.
That whereas, the OWNER intends to develop a residential subdivision known as
Subic Hills in Subic, Zambales, hereinafter called the PROJECT.
NOW, THEREFORE, the Owner and the Architect, for and in consideration of the
foregoing premises and of the other covenants hereinafter named, agree as follows:

ART.1. SCOPE OF WORK


That the scope of work to be done by the Architect, as
herein authorized by the Owner, for the subject project
herein referred to consists of professional services for
the following:
1.1 Preparation of plans and specifications for two (2)
house models, each having floor areas of not more than
eighty (80) square
1.2 Preparation of land development plans and
specifications for a one-hectare lot defined by TCT Nos.
801799-801802.
1.3 Part-time supervision of construction and land
development works

ART. 2. ARCHITECTS BASIC SERVICES


The Architects basic services consist of the following:
2.1 Schematic design and Design development phase
a. The Architect shall consult with the Owner to ascertain the
requirements of the Project and shall confirm such requirements to
the Owner
b. The Architect shall prepare schematic design studies leading to a
recommended solution together with a general description of the
Project for approval by the Owner.
Outputs will comprise of site plans, perspective drawings, floor plans
and bullet specifications.
c. The Architect shall submit to the Owner a Statement of Probable
Project Construction Cost based on current cost parameters.

2.2 Contract Documents Phase
a. The Architect shall prepare from the approved Design Development Documents, the
Land Development and House Construction Drawings and Specifications setting forth in
detail the work required for the architectural, structural electrical, sanitary and sitework.

b. The Architect shall prepare specifications
describing type and quality of materials, finish, and
manner of construction and the general conditions
under which the project is to be constructed.
c. The Architect shall prepare the detailed land
development and house construction cost estimates
based on current cost parameters.

ART. 4. OWNERS RESPONSIBILITIES


4.1 The Owner shall provide full information as to his

requirements for the Project.


4.2 The Owner shall furnish the following information/
documents for the preparation of the Land Development and
House Construction plans.
a. Site survey/ lot plan signed by a geodetic engineer
b. Topographic plan

c. Geologic/ sub-soil data

ART. 4. OWNERS RESPONSIBILITIES


4.3 The Owner shall pay for structural, chemical,
mechanical, soil mechanics or other tests as may be
required for the Project.
4.4 The Owner shall arrange and pay for such legal,
auditing and insurance counseling services and taxes as
may be required for the Project or by the government.

ART. 5. OTHER EXPENSES


CHARGEABLE TO THE OWNER
5.1 Government taxes on services: The Architects fee as
stipulated in Article 3 is net to the Architect. Any tax that the
government may impose on the Architect as a consequence
of the services performed for the Project (exclusive of
income tax) shall be paid by the Owner.
5.2 Separate services: The Professional fee does no cover
separate services such as the design or plans of movable
closets, cabinets, pieces of furniture, landscaping, swimming
pools and other items of similar nature.

CHARGEABLE TO THE OWNER
5.3 Miniature models: If the Owner desires to have miniature
models for exhibitive and display purposes, the Owner shall pay
for the cost of said models.
5.4 Travelling expenses: A per diem of not less than one
thousand pesos plus travelling and living expenses shall be
chargeable to the Owner on any occasion where the Architect or
his duly authorized representative shall be required to perform
services at a locality beyond the radius o 100 kilometers from
the established address.

CHARGEABLE TO THE OWNER
5.5 Extra sets of contract documents: The Architect is to
furnish the Owner five (5) sets of signed and sealed drawings,
specifications and other contract documents. Cost for printing
or reproduction of extra documents when required by the
Owner in each phase shall be borne by the Owner.
5.6 Changes ordered by the Owner: The cost of changes in
drawings and specifications due to reasons other than noncompliance with building and planning laws after acceptance
by the Owner in each phase shall be borne by the Owner.

5.7 Work suspended or abandoned: If the work of the


Architect is abandoned or suspended, in whole or in part,
the Architect is to be paid by the Owner for the services
rendered corresponding to the fees due at the stage of
suspension or abandonment of the work.

ART. 6. SUPERVISION
6.1 The Architect shall visit the construction and development
site at least once a month over the two-year duration of the
project.
6.2 The Architect shall be paid a monthly per diem of not less
than one thousand pesos and shall be reimbursed of expenses
covering accommodation and travel.

ART. 6. SUPERVISION
6.3 The Architects services cover part-time supervision and
shall, therefore, be responsible only for the conformity of
construction works to plans in general. The Architect shall
report to the Owner the progress of the works and shall inform
him of deviations from contract documents, in general.

Since the Architect has no control over the cost of labor and
materials or competitive bidding, he/she does not guarantee the
accuracy of any Statement of Probable Construction cost or any
Semi-detailed or Detailed Cost estimates

ART. 8. OWNERSHIP OF DOCUMENTS


All designs, drawings, specifications and copies thereof, prepared
and furnished by the Architect in connection with subject project
pursuant to this Agreement, are instruments of professional service.
As instruments of service, they are property of the Architect whether
the work for which they are made may be executed or not, and are
not to be reproduced or used on other work except by written
agreement with the Architect.
The plans for the model houses shall be used only for Subic Hills as
described in Article 1.

ART. 9. SUCCESSORS AND


ASSIGNS

The Owner and the Architect each binds himself, his partners,
successors, legal representative and assigns to the other party to this
agreement, and to the partners, successors, legal representatives and
assigns of such other party in respect of all covenants of this
agreement. Except, above, neither the Owner nor the Architect shall
assign, sublet or transfer his interest in this Agreement without the
written consent of the other.

ART. 10. ARBITRATION


All questions in dispute under this Agreement shall be
submitted in accordance with the provisions of
Philippine Law on Arbitration and provided for in
Article 2042 of the New Civil Code of the Philippines
and the provisions of Republic Act No. 876.

ACKNOWLEDGEMENT
The Parties to the Agreement hereby agree to full performance of the covenants contained
herein.

The engineer or architect who drew up the plans and specifications for a building is
liable for damages if fifteen (15) years from completion of the structure the same
should collapse by reason of a defect in those plans and specifications, or due to the
defects in the ground.
The contractor is, likewise, responsible for the damages if the edifice falls, within
the same period, on account of defects in the construction or the use of materials of
inferior quality furnished by him, or due to any violation of the terms of the contract.
If the engineer or architect supervises the construction, he shall be solidarily liable
with the contractor.
The action must be brought within ten (10) years following the collapse of the
building.

The Contractor, in consideration of the payment be made by
the Owner to the Contractor of the sum of money hereinafter

3.01 The Owner agrees that for and in consideration of the
faithful performance by the Contractor of this Contract, he
shall pay to the Contractor, in a manner provided

result of any fluctuation in the cost of materials and/or

ARTICLE 3. THE CONTRACT AMOUNT


3.03 Should the Owner require the Contractor to perform
work over and above that required by this Agreement, the
additional cost shall be added to the Contract Amount and,
likewise, should be ordered to omit work as required by this
Agreement, the cost of work omitted shall be deducted from
the Contract Amount. In either case, the cost of additions or
reductions shall previously be mutually agreed upon in
writing by both Owner and Contractor upon
recommendation of the Architect before execution.

4.01 Payments on account of this Contract shall be
made by the Owner at the end of every month in an
amount equivalent to ninety percent (90%) of the
value of estimated work as computed by the Architect
using as basis the Breakdown of Work and
Corresponding Value mutually agreed upon between
the Architect and the Contractor prior to start of
construction

ARTICLE 4. PAYMENTS
4.02 Should the Owner fail to pay within 30 days the
sum in any Certificate of the Architect then due, the
Contractor shall receive in addition to the sum in the
Certificate, interest thereon, at the legal rate in force.
4.03 Final and full payment of the consideration
herein above-mentioned shall be made by the Owner to
the Contractor upon fulfilling the conditions set forth in
the General Conditions.

ARTICLE 5. THE CONTRACT DOCUMENTS


Scope of Work
The following documents prepared by the Architect shall
constitute an integral part of this contract as fully as if
hereto attached or herein stated, except as otherwise modified
by mutual agreement of parties:

ARTICLE 6.PERFORMANCE AND


PAYMENT BONDS
6.01 The Contractor, within 15 days from signing of this
Contract, shall furnish the Owner Performance and
Payment Bonds in the form of a surety bond acceptable to
the Owner in the amount equal to thirty percent (30%) of
the full contract price, conditioned for the faithful
performance of the Contract and the satisfaction of
obligations for materials used and labor employed on the
work. These bonds shall be effective within a period of
one (1) year after the acceptance of work by the Owner.

ARTICLE 7.TAXES, LICENSES,


PERMITS AND FEES
7.01 All taxes, licenses, permits, and fees which may
be due to the local and/or national government on
account of performance and completion of the work
stipulated herein and fees for testing of materials and
samples shall be paid for, and obtained by the
Contractor.

The Contractor shall take cognizance of the provisions
of the other Contract Documents especially the
Contractors responsibilities and liabilities on
materials, workmanship, labor and property as
stipulated in the General Conditions.

OTHER CONDITIONS

Scope of Work

Within fifteen (15) days after signing of the contract,


the Contractor shall submit a Certificate of Insurance
to protect him against claims for damages for personal
injury including death and claims for damages of
Owners property and adjoining property, which may
arise from operations under this contract, subject to the
approval of the Owner as to adequacy of protection and
reliability of insurance company.
