Pool Service Contract

This Pool Service Contract (this "Contract") is made effective as of June 01, 2012, by and between Dorian M. Rothschild, of 60 Arthur St., San Rafael, California 94901, and Ryan B. Jagger, of 35 Palm Circle Dr., Corte Madera, California 95422. In this Contract, the party who is contracting to receive the services shall be referred to as "Mr. Rothschild," and the party who will be providing the services shall be referred to as "Ryan." DESCRIPTION OF SERVICES. The Client would like to have the pool located at 60 Arthur St., San Rafael, California, 94901, maintained on a regular basis and repaired when necessary. Beginning on June 01, 2012, Ryan will provide Pool Services like inspection of the overall condition of the pool including but not limited to the pumps and associated equipment, make manual adjustments to pool controls, the testing of chemical levels in the water, add additional chemicals to bring the water up to standards set by industry and legal requirements, removal of debris in the pool including the following additional services (collectively, the "Services"): PAYMENT FOR SERVICES. In consideration of the services to be performed by Ryan, Mr. Rothschild agrees to compensate Ryan for the services rendered as follows: Ryan's fees for the services specified herein, above, and for any additional services, will be charged at $1,500.00 per month. Any additional services not specified in Paragraph 2, above, will be charged to Mr. Rothschild on an hourly rate basis at Ryan's standard hourly rate of $50.00 per hour. TERM/TERMINATION. This Agreement may be terminated by either party upon 10 days written notice to the other party. RELATIONSHIP OF PARTIES. It is understood by the parties that Ryan is an independent contractor with respect to Mr. Rothschild, and not an employee of Mr. Rothschild. Mr. Rothschild will not provide fringe benefits, including health insurance benefits, paid vacation, or any other employee benefit, for the benefit of Ryan. CONFIDENTIALITY. Ryan will not at any time or in any manner, either directly or indirectly, use for the personal benefit of Ryan, or divulge, disclose, or communicate in any manner any information that is proprietary to Mr. Rothschild. Ryan will protect such information and treat it as strictly confidential. This provision shall continue to be effective after the termination of this Contract. Upon termination of this Contract, Ryan will return to Mr. Rothschild all records, notes, documentation and other items that were used, created, or controlled by Ryan during the term of this Contract. EMPLOYEES. Ryan's employees, if any, who perform services for Mr. Rothschild under this Contract shall also be bound by the provisions of this Contract. At the request of Mr. Rothschild, the Ryan shall provide adequate evidence that such persons are Ryan's employees.

ASSIGNMENT. Ryan's obligations under this Contract may not be assigned or transferred to any other person, firm, or corporation without the prior written consent of Mr. Rothschild. ENTIRE CONTRACT. This Contract contains the entire agreement of the parties, and there are no other promises or conditions in any other agreement whether oral or written. SEVERABILITY. If any provision of this Contract shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If a court finds that any provision of this Contract is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited. NOTICES. Any notice required to be given pursuant to this Contract shall be in writing and mailed by certified or registered mail, to the addresses mentioned above. APPLICABLE LAW.
