Programme Overview/General Information On behalf of AGR, we invite you to offer suitable vessels to support an ongoing drilling programme in the Falkland Islands with the semi submersible drilling unit, Ocean Guardian. The programme is for 4 firm wells + 5 x 1 well options. Each well has an anticipated duration of approximately 30 - 60 days. The base port used will be Port Stanley. Delivery of the vessels are required in early March 2011 in the Falkland Islands. Vessel and Operational Requirements 2 Anchor Handling Tug Supply Vessels are required to support the programme with minimum specification as follows: AHTS minimum 160 T Bollard Pull Vessel to be equipped with 1 FRC & 1 spare FRC plus a full stock of manufacturers recommended spares for each FRC. Please cost in as per the Form of Tender if the offered vessel(s) is not currently fitted with one. All vessels shall be capable of carrying and delivering, fuel, water, and wet and dry drilling products. All vessels are to have sufficient crew onboard to enable continuous 24-hour support of all Charterers activities. To ensure 24 hour continuous operations, qualifications and competencies of individuals responsible for command of the vessel to be of a standard, that full responsibility and control can be passed over to these individuals during rest periods of other suitably qualified persons onboard. If vessels are fitted with DP and it is the intention to use this facility, please advise if the vessel will be operated in accordance with the IMCA Guidelines for the Operation of Dynamically Position Offshore Supply Vessels Crew transportation to/from the Falklands/UK will be via an AGR fortnightly charter flight or alternatively using UK Ministry of Defence flights. The latter run on a weekly or twice weekly basis however are subject to availability. Seats will be provided on these services at no cost, however scheduling of crew changes must coincide with the flight schedules. All costs of transporting crew to the designated UK Airport shall be for tenderers cost.

Tender Deadline Tenders must be received by 1200 hrs UK 11th January 2011. - Tenders not received by the closing date may be discounted. Tender Acknowledgement Tenderers are requested to acknowledge receipt of this Invitation to Tender and confirm your intention or otherwise to submit a proposal. Tender Enquiries Any clarifications as a result of this Invitation to Tender should be sent via e -mail to Stewart Offshore Services Limited for the attention of Andrew Miller at andrew.miller@stewartgroup.co.uk Clarifications and replies will be circulated to all Tenderers. Tender Submission Tenders are to be submitted by email to andrew.miller@stewartgroup.co.uk . The Tender shall be submitted on the Form of Tender provided, the format of which shall not be altered in any way, but may be supplemented by all other information requested in this Invitation to Tender document. The Tender shall be valid for acceptance for a period of sixty (60) days from the closing date for submission. Tender Costs Any costs incurred by Tenderer in preparing the Tender shall be borne in full by the Tenderer who shall have no recourse to AGR nor its Broker in this respect. Contract Pricing Tendered prices are to be fixed for the duration of the programme.

Innovative proposals regarding reduction in the Charterers exposure to mobilisation and demobilisation fees are encouraged. All rates must include all taxes. Any proposal submitted which excludes taxes is likely to be rejected. For further information, contact should be made with Falkland Islands Tax Office on 00 500 28470 who should be able to offer assistance. No supplemental charges will be accepted by AGR for payment relating to crew changes which are delayed due to operational circumstances.

AGR and its clients propose to obtain vessel support contracts on the most economically advantageous terms, which in general, means that the evaluation criteria for vessels will take into account a balanced view of technical requirements and price. AGR and it clients reserve the right not to accept the lowest tender, to reject any or all tenders without assigning any reason therefore, and to accept any Tender subject to such conditions as they may, at their sole opinion, consider appropriate. Any award will be made subject to a pre hire vessel audit. Contract/Charter Party The services shall be performed in accordance with the terms and conditions of the Charter Party provided by AGR. Any qualifications to the Charter Party must be stated in the relevant section of the Form of Tender.
