Authorisation
The above-named Client (hereinafter referred to as "Client") is engaging your name/company. Copyrights and Trademarks

The Client unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to your name/company for inclusion in the project are owned by the Client, or that the Client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, indemnify and defend your name/company and any subcontractors from any liability (including solicitors fees and court costs), including any claim or suit, threatened or actual, arising from the use of such elements furnished by the Client.

Completion Date

Project Delivery
All files required for the completion of this project will be provided to the Client after sign off of work as complete. Any production costs relating to the development of the website or additional material after the sign off of this project will be subject to a new agreement for both timescales and cost.

Project Copyright
Copyright to the finished design work produced by your name/company will be transferred to the client. your name/company and any subcontractors retain the right to display graphics and other design elements as examples of their work in their respective portfolios.

Payment Schedule
The full fee quoted for delivery of the full website project to the client is xxxxx.xx excluding VAT. A full breakdown of this costing is available on request. This is based on the project requiring xx hours work invoiced at xx/hr.

Full payment of any invoice issued must be made within 30 calendar days of the invoice date. Any additional delay in payment that has not been mutually agreed in advance will result in cumulative charges of 5% of the invoice value per month being levied in late payment fees. Your name/company will invoice the Client either at the end of a project or on the last working day of a month whichever is sooner. In the event that a project spans more than one calendar month, your name/company will issue more than one invoice. Any overtime required on this project will be invoiced at a rate of xx/hr and must be expressly agreed to in writing by the Client prior to being worked.

Overtime is classed as work requested by the Client to be completed outside of your name/company office hours which are Monday Friday 09:30 to 17:30. Your name/company will not undertake or invoice overtime without express Client consent and agreement.

Payments
Your name/company reserves the right to remove any Project from viewing in any medium until final payment is made. In case collection proves necessary, the Client agrees to pay all fees (including all solicitors fees and court costs) incurred by that process. This agreement becomes effective only when signed by your name/company. Regardless of the place of signing of this agreement, the Client agrees that for purposes of venue, this agreement was entered into in your nearest town with a county court, and any dispute will be litigated or arbitrated in your nearest town with a country court, and the Client hereby consents to the personal jurisdiction of the your town County Court. Furthermore, the Client waives any right to or claim of sovereign immunity.

Legal Notice
Notwithstanding anything to the contrary contained in this contract, neither your name/company nor any of its employees or agents warrants that the functions contained in the Project will be uninterrupted or error-free. The entire risk as to the quality and performance of the Project is with the Client. In no event will your name/company be liable to the Client or any third party for any damages, including, but not limited to, service interruptions caused by Acts of God or any other circumstances beyond our reasonable control, any lost profits, lost savings or other incidental, consequential, punitive, or special damages arising out of the operation of or inability to operate this Project.

Termination
In the unlikely event that the agreement breaks down a notice period of 7 days must be given in writing by the party intending to cancel the contract. If this contract is cancelled without an agreement and the client no longer wishes to retain your name/company in any capacity and with immediate effect, an early termination fee of 50% of the quote value will invoiced immediately.

This Agreement
This agreement constitutes the sole agreement between your name/company and the Client regarding this Project. Any additional work not specified in this contract or any other amendment or modification to this contract must be authorised by a written request signed by both Client and your name/company. All prices and timescales specified in this contract will be honoured for 3 months after both parties sign this contract. Continued services after that time will require a new agreement. The undersigned hereby agree to the terms, conditions and stipulations of this agreement on behalf of his or her organization or business. This Agreement constitutes the entire understanding of the parties. Any changes or modifications thereto must be in writing and signed by both parties.
