Constitution of the Saskatoon-Wanuskewin Federal Liberal Association

Proposed amendments are in bold print or underlined ARTICLE 1NAME The Association shall be known as the Saskatoon-Wanuskewin Federal Liberal Association. ARTICLE 2 OBJECTIVES The objectives of the Association shall be: a) b) c) to advocate and support Liberal philosophies, principles, and policies; to organize the Liberal Party in the constituency; to promote the election of a Liberal candidate in the constituency.

ARTICLE 3MEMBERSHIP Membership in the Association shall, subject always to the Liberal Party of Canada Constitution, be open to all residents or non-residents of the constituency (aged fourteen (14) and over) subscribing and giving support to the objectives of the Association and the Liberal Party of Canada, and upon payment of the annual membership fee of the Saskatchewan Liberal Association. The number of nonresident members shall not exceed 25% of the Associations membership list and are subject to the approval of the Executive. ARTICLE 4OFFICERS The Officers of the Association shall consist of: a) b) c) d) e) f) President; up to two (2) Vice-Presidents; immediate Past-President; Aboriginal Representative; Seniors Representative; Womens Representative;

Youth Representative; Financial Agent; and Secretary.

ARTICLE 5EXECUTIVE a) The Executive shall consist of: i) ii) iii) iv) the Officers of the Association; the immediate Past-President; a maximum of forty (40) Directors; a maximum of ten (10) regional, local, or other representatives (representing defined geographic areas within the constituency).

ARTICLE 6FORMATION OF THE EXECUTIVE a) The members of the Executive of the Association, subject to subsection c) below, shall be elected at the Annual Meeting for a term of one year and voting shall be done by secret ballot with the candidate for each position who receives the largest number of votes being declared elected. The Executive may, by resolution, appoint Officers and/or Directors in the event that any Officers position has not been filled, the maximum number of Directors has not been elected, or in the event of any vacancy. All members of the Executive shall hold office until the end of the next Annual General Meeting at which successors are elected or appointed.

ARTICLE 7DUTIES OF THE EXECUTIVE a) the President shall preside over all meetings of the members of the Association and Meetings of the Executive of the Association, and shall perform such duties as the Executive may from time to time prescribe. The Vice-President shall carry out the duties of the President in his/her absence. The Financial Agent shall receive and account for all monies belonging to the Association and, under the direction of the Executive, shall pay all debts incurred by he Association or its Officers in the proper conduct of their duties on be half of the Association. The Financial Agent shall submit a financial report at each General Meeting and whenever called upon by the Executive. All cheques drawn upon the funds of the Association shall be signed by the Financial Agent and counter-signed by one of the following: President or Secretary.

The Secretary shall be responsible for recording the minutes of all meetings and for keeping the general records of the Association; The Aboriginal Representative shall be responsible for organizing and promoting the Liberal Party of Canada among Aboriginal peoples in the constituency and shall represent the constituency in respect of the Aboriginal Peoples Commission of the Liberal Party of Canada. The Seniors Representative shall be responsible for organizing and promoting the Liberal Party of Canada among seniors in the constituency and shall represent the constituency in respect of the Seniors Liberal Commission of the Liberal Party of Canada. The Womens Representative shall be responsible for organizing and promoting the Liberal Party of Canada among women in the constituency and shall represent the constituency in respect of the activities of the Womens Liberal Commission of Canada. The Youth Representative shall be responsible for organizing and promoting the Liberal Party of Canada among young Liberals in the constituency and shall represent the constituency in respect to the activities of the Young Liberals of Canada of the Liberal Party of Canada The Executive shall appoint Directors to chair such committees as the Executive may determine from time-to-time including, without limitation: i) ii) iii) iv) v) vi) Fundraising Committee; Communications Committee; Policy Committee; Social Committee; Election Readiness Committee; Membership Committee.

ARTICLE 8GENERAL MEETINGS a) General Meetings of the Association shall be held at least once per year and may be called by the Executive to be held on such dates and at such places as they may determine. One such meeting shall be designated as the Annual General Meeting at which time the Executive of the Association shall be elected. Notice of all General Meetings of the Association shall be given to the membership at least five (5) days before the date set for the meeting. At the discretion of the Officers, one or more of the following methods shall be utilized: electronic messaging (email, etc), social media, website, automated voice message, conventional media. Subject to compliance with the rules provided by the Liberal Party of Canada, procedures

and rules with respect to the General Meetings of the Association shall be determined by the Executive which shall include requirements with respect to: i) ii) iii) d) conduct of the meeting; an appeal procedure; cut-off dates and/or deadlines for submission of nominations.

Any member in good standing of the Association shall be entitled to vote at any General Meeting. A member in good standing is any one who holds a current membership as of the date of the notice of the General Meeting or any immediate past member whose membership is renewed prior to the start of the General Meeting.

ARTICLE 9EXECUTIVE MEETINGS a) b) c) Executive meetings shall be called by the President, or in his/her absence, a VicePresident of the Association. The quorum for any Executive meeting shall be at least two other members attending at the time and place at which the meeting was called. By phone poll or any other available technological option.

ARTICLE 10SELECTION OF A CANDIDATE Subject to compliance with the rules provided by the Liberal Party of Canada, the selection of an official candidate to represent the Liberal Party of Canada in the constituency in any Federal General Election shall take place at a General Meeting duly called for that purpose and the procedure for the selection of an official candidate shall be as determined by the Executive. ARTICLE 11SELECTION OF DELEGATES Subject to compliance with the rules provided by the Liberal Party of Canada, the selection of delegates to represent the constituency at any meeting of the Liberal Party of Canada or the Saskatchewan Liberal Association shall take place at a General Meeting duly called for that purpose and the procedure shall be determined by the Executive. ARTICLE 12CONDUCT OF MEETING a) b) Subject to compliance with the rules provided by the Liberal Party of Canada, the rules of conduct of all meetings shall be Roberts Rules of Order. The presiding officer at any meeting will vote only in the case of a tie.

ARTICLE 13AMENDMENTS a) b) This Constitution may be amended without prior notice being given of the amendment, by a unanimous vote of the members present at any General Meeting of the Association. This Constitution may also be amended by a majority vote of the members at any General Meeting provided the notice calling the meeting indicates the constitution may be amended and a place where copies of the proposed amendments can be obtained by members.

ADOPTED at the Founding Meeting of the Saskatoon-Wanuskewin Federal Liberal Association held at Saskatoon the 20th day of January, 1997 and AMENDED at the Annual General Meeting held on the 9th day of September 2012.
