AFZA OVERVIEW

Ajman Free Zone, established in 1988, was granted autonomous status under the Amiri decree no.3 of 1996 issued by H.H. Sheikh Humaid Bin Rashid Al Nuaimi, Ruler of Ajman. Ajman Free Zone Authority has been named as the sole regulatory agency for Free Zone in the Emirate. The formation of the Free Zone Authority in 1996 has given great impetus to industrial activity in the Free Zone which has resulted in quadruple growth in the number of companies during the last few years. LICENSE TYPES Ajman Free Zone, in its endeavor to welcome all types of businesses, has produced 4 types of license namely: Trading License, Industrial License, Professional Services License, and National Industrial License. 1. Trading License: This license is issued to foreign/UAE companies/Free Zone Entities who wish to carry out trading activities in the Free Zone. National Industrial License: This license is issued to a registered company operating in the Free Zone who meets the following eligibility criteria: (i) The Company should be registered with GCC with a GCC national/s owing majority share holding of 51% or above. At least 40% of the manufacturing process should be accomplished in the Free Zone; and (ii) Companies holding a National Industrial License are eligible for duty free exports to the member states of the Arab Gulf Cooperation Council. LICENSE CANCELATION What is License Cancellation? A request for closing the Company. Required Documents: Letter from company (signed and stamped) Original License Chamber of Commerce Certificate + Commercial Registration Old lease agreement Partnership contract (in case of F.Z.C) Clearance from Etisalat (not for E.O.C) Clearance for showroom Clearance from Civil Defiance (Warehouses/Land/Showroom) Clearance from Water & Electricity (Warehouses/Land). Submit the Key Submit all the Cancellation Paper with the exit Stamp from the airport or the immigration if the person will stay in the country Security Guarantee (Owner original passport or a cheque of Dh. 185,000 which is $50,000) Advertisement for 15 days.

Please note that before submitting the above request, the Company has to cancel/clear all the visas under the Company except the owners, which will be cancelled after 15 days of the advisement. Submit 3 months cancellation note for the attention of Director General. Please note that the request letter for closing the Company must be signed by all the partners in case of Free Zone Company. Any delay will cost you penalty. Please note that the advertisement security guarantee will not be given back to the owner until the clearance of any pending cased under the Company. Owner must be physically present in AFZA while applying the above procedure. Authorization letter must be submitted in case the owner authorizes a person to sign/apply on his behalf in his absence. In the country: an authority letter attested from: Any Court in UAE. Out of county: an authority letter attested from: (i) The UAE Embassy in the foreign country: (ii) The Ministry of Foreign Affairs in the UAE. The owner can to point out specific type of procedures in the authority letter in case the owner authorized a person to sign, apply and receive on this behalf. Establishment card must be returned back to AFZA in order to cancel it.

TRANSFER OWNERSHIP / RELINQUISHMENT What is Transfer Ownership / Relinquishment? Selling all of the shares in the Company to another owner.

Previous and new owner must be physically present while applying the above procedure. Previous owner visa must be cancelled only if its under AFZA sponsor. Previous owner can change his profession/change his file to another company in side the free zone only if he wishes to stay under AFZA sponsor. Please note that the passport must be valid for more than six (6) months. Authorization letter must be submitted in case the owner authorizes a person to sign/apply on his behalf in his absence. In the country: an authority letter attested from: Any Court in UAE. Out of county: an authority letter attested from: (i) UAE Embassy in the foreign country; and (ii) Ministry of Foreign Affairs in the UAE. Partnership fee might be changed depend on the capital of the Company. All the old copies of the partnership agreement must be submitted back to AFZA in case changing the legal status of the license. Police report must be submitted in case losing any copy or the whole copies of the old partnership agreement. Please note that the advertisement security guarantee will not be given back to the owner until the clearance of any pending cased under the Company. Please note that the establishment card must be modified.
