This agreement is entered into by the Party hereinafter referred to as the "Licensee" and Quantech ATZ, S.A. hereinafter referred to as "Quantech". Both parties freely agree on the legal implications, authenticity and clauses stated in this document.

DECLARATION I.- That Quantech ATZ S.A. amongst other activities is dedicated to the creation, commercialisation and distribution of software products and programmes. II.- That the Licensee is interested in using the software elaborated by Quantech ATZ. III.- Definitions within this agreement: VULCAN: All computer media and user documentation representing the computer software product known as Vulcan and including all other software programs and documentation supplied by Quantech as an integral part of, or for use in conjunction with, Vulcan. SOFTWARE SCHEDULE: A complete list detailing the Vulcan programs and documentation, the licence type, number of options, licence commencement date and the renewal date fees. Also included are additional services that are to and the nominated Contact/Responsible Persons. software copies, version, and the agreed be provided by Quantech

LIMITED PERIOD LICENCE: A licence granted to the Licensee to use Vulcan for a limited period of time stipulated in the Software Schedule. A subscription to the Maintenance and Support Service is included in the fee for the Limited Period Licence. INDEFINITE LICENCE: A licence granted to the Licensee to use Vulcan for an indefinite period provided that the Licensee subscribes to the Maintenance and Support Service. The initial Indefinite Licence fee includes subscription to the Maintenance and Support Service for the first year. After the first year the Licensee is required to pay the subscription fee as detailed in the Software Schedule. TEMPORARY LICENCE: A Temporary Licence only guarantees the use of Vulcan for the period of time specified in the Software Schedule. This licence is usually for training or academic purposes only and use for commercial purposes is prohibited. Limited Maintenance and Support Service is included.

DEMO LICENCE: A Demo Licence is a limited version of Vulcan used for demonstration purposes only and use for commercial purposes is prohibited. This licence option does not usually include the Maintenance and Support Service. MAINTENANCE AND SUPPORT SERVICE: The service through which updates/upgrades are provided for Vulcan as and when they become available. This service also includes the provision of technical advice to the Licensee on the use of the software provided - this will usually be carried out by the nominated contact persons named in the Software Schedule. VULCAN LICENCE KEY: The software security key code used for the security control of Software. Key codes for the full licence period are only issued on receipt of promise of payment of the invoices. Until such time as invoices have been paid Quantech will, at its discretion, issue temporary key codes. DISTRIBUTOR: The company or enterprise that markets, distributes and carries out Support Services related to Vulcan. This may be Quantech itself or another company or enterprise authorised via contractual agreement with Quantech to carry out this work on behalf of Quantech within a specified territory or region.

AGREEMENT 1. GENERAL The Software Licence Agreement sets out the terms and conditions under which Quantech grants, and the Licensee agrees to accept, a non-transferable, non-exclusive licence to use a copy or a number of copies of Vulcan. When the Licensee commences using their own copy of Vulcan the Licensee becomes bound by the terms and conditions of this agreement irrespective of whether the version of the software being used is not as detaile d in the Software Schedules. If any provision of this agreement shall be found by any court or administrative body of competent jurisdiction to be invalid or unenforceable, the invalidity or unenforceability of such provision shall not affect the other provisions of this agreement and all provisions not affected by such invalidity or unenforceability shall remain in full force and effect. The parties agree to attempt to substitut e for any invalid or unenforceable provision a valid or enforceable provision which achieves to the greatest extent possible the economic, legal and commercial objectives of the invalid or unenforceable provision. 2. OWNERSHIP Vulcan is a copyright product whose name and ownership remain with the software developers. The Licensee will take all possible steps to ensure the security of Vulcan, and that no part, or parts thereof, are made available to other individuals or organisations. Action will be taken against individuals or

organisations who violate this security requirement, or attempt to create their own proprietary version of Vulcan. This agreement, the licensed software, any information given by Quantech or any licences or rights agreed within this agreement are not allowed to be sold, rented out, transferred or licensed out. The Licensee may only transfer the licence in case the Licensee company is sold or leased and this requires the signed agreement of Quantech. The Licensee must not copy or distribute Vulcan without having the signed agreement of Quantech. The Licensee must also inform all employees who have access to Vulcan about the restrictions and obligations regarding this Licence Agreement. The Licensee is not allowed by any means to reconvert binary versions of the licensed software into compiler code. 3. USE Vulcan may only be used by the Licensee at the locations and on the computers and operating systems specified in the Software Schedule. The use of the Software by users other than bona fide employees of the Licensee is not permitted with this licence. The Licensee is allowed to change the location of a computer provided that Distributor is informed within 7 days of the move. The new location will be included in an updated Software Schedule. If Vulcan is used on computers or operating systems other than those specified in the Software Schedule without the prior written consent of Distributor, then all rights of the Licensee as detailed in this agreement become null and void. Distributor will undertake to transfer licences to other or additional computers and operating systems, provided that the transfer is approved by Distributor and that appropriate fees are paid by the Licensee. The Licensee has the right to develop their own software which can be used in connection with Vulcan. This own software remains the property of the Licensee and can only be used in connection with Vulcan by third parties if they have a corresponding licence. Temporary or Demo Licences may only be used for training, educational and evaluation purposes and usage for commercial purposes is prohibited. If the Licensee wishes to use Vulcan for any other purpose they must first obtain formal authorisation from Quantech. Special restrictions for the usage of Vulcan related to Limited Period and Indefinite Licences may be defined in the Software Schedule and the Licensee hereby agrees to abide by these if no written notification to the contrary is given within 30 days of the date given on the Software Schedule. The use of Vulcan for any purposes other than those stated will cause the Licensee to be penalised with the loss of rights to use Vulcan. 4. LIMITED WARRANTY Quantech disclaims all representations, warranties and conditions not contained herein whether expressed or implied.

Quantech cannot and does not warrant that the software will operate without interruptions, that it will be error free or that the results obtained will be accurate, reliable or correct. The Vulcan software must primarily coincide with the defined program. The user's manual will be supplied on the day of delivery. Quantech will not be deemed responsible for any fault in the software which comes or arises from the use of any alien software in conjunction with Vulcan. Quantech does not guarantee the functionality and quality of its software nor will they be responsible for its performance if during the specified licensed period the computer operating system fails or is changed, or the central processing unit is changed or the hardware fails, also if the data input to the software is not appropriate or is used differently to the software documentation . Quantech will do all that is possible to solve any possible faults found within the software or documentation and to provide the Licensee with a corrected version of the software as soon as possible after the fault has been identified and corrected at no charge to the Licensee. The software will be deemed defective if it differs essentially with the specifi c specifications laid down in the user's manual. It will not be considered defecti ve if the errors come from problems with the hardware or the operative system or if the data input is not appropriate or the programmes are not used in accordance with Quantech's recommendations. All warranty rights expire 2 years after the delivery of the software versions detailed in the Software Schedule. 5. DURATION This Licence Agreement is valid according to the terms defined here. The Software Schedule may be updated according to the changing circumstances agreed by Distributor and the Licensee, both of whom will maintain the most recent version of the Software Schedule. For a Limited Period Licence or a Temporary Licence, the licence will be deemed to run for a limited period of time from the date specified in the Software Schedule. Invoices will be issued in advance and must be paid in full before the renewal date. At the renewal date Distributor reserves the right, aft er prior notification and acceptance by the Licensee, to increase the fee on issue of the renewal invoice for the following specified period of time. For an Indefinite Licence the licence will be deemed to run for 1 year from the commencement date specified in this Agreement. Thereafter the Maintenance and Support Service will be renewable each year. Invoices will be issued for thi s Maintenance and Support Service annually in advance of the renewal date as set out in the Software Schedule. At the renewal date Distributor reserves the right, after prior notification and acceptance by the Licensee, to increase the fee on issue of the renewal invoice for the following year. For the Limited Period Licence or the Indefinite Licence notification of the

intended cessation of the use of Vulcan must be sent in writing to Distributor at least 1 calendar month before the renewal date, or in the case of an increase in fee within 1 calendar month of receipt of the renewal invoice. If notificatio n is not received within the stated notice period, the charges for the next 1 year period will be incurred by the aforementioned Licensees. If the Licensee ceases use of Vulcan then use of Vulcan may only be reinstated by either payment of the subscription fees covering the lapsed period or payment of the current subscription fee increased by 50% for the first 1 year of reinstatement whichever is the lesser. For a Demo License the licence will be deemed to run indefinitely subject to Clauses 4 and 9 for licenses older than 1 year. Distributor has the right to cancel this agreement without notice in case the Licensee goes bankrupt or closes its business. In case of cancellation or expiry of this Licence Agreement, the Licensee is no longer allowed to use the Licensed software. The Licence together with all connected rights are cancelled. Distributor reserves the right to use all legal resources it deems fit and necessary to enforce its position on the possible occurrence of such an event. In case of cancellation or expiry of this Licence Agreement the Licensee agrees to return to Distributor by hand, messenger or international courier at their ow n cost and within 14 days of the cancellation or expiry date, all documentation and media relating to Vulcan. On the contrary, the charge defined in the Software Schedule for the Vulcan media will be applied by either Distributor or Quantech. 6. CONFIDENTIAL INFORMATION The Licensee agrees with and recognises the protection of the Vulcan software as defined in this Agreement. On the termination of this agreement, the obligations concerning confidentiality and ownership will continue forthwith. Within 30 days after cancellation of this Licence Agreement all documentation which contains confidential information must be returned free of charge to Distributor or are to be destroyed according to instructions from Distributor. 7. DOCUMENTATION On initial delivery of Vulcan full documentation will be supplied to the Licensee and this will be updated with revision sheets or new documents being issued from time to time at no charge. Any additional sets of user documentation will not be updated. For major releases of the system a complete new set of documentation will be issued free of charge to the Licensee. Additional sets of user documentation and revision sheets may be purchased on request from Distributor at any time and will be charged at current rates. 8. DELIVERY AND INSTALLATION

Distributor will deliver or install the Vulcan software, under the terms of this agreement at the location specified. A necessary condition for the installation is that the Licensee releases the machine information required to create the version of the software. If Distributor carries out the installation, Distributor will demonstrate via a test example that the software functions in accordance with the documentation and the description of the program. The properties, verification test and relevant f ees for this installation will be detailed in the Software Schedule. In the case that the Licensee did not contract Distributor for the installation work, the Licensee takes on the responsibility for the installation of the Vulcan software on the specified computer. It is assumed that this installation will be complete within 14 days after delivery of the software lice nce. 9. MAINTENANCE AND SUPPORT SERVICE The Maintenance and Support Service includes advice on the running of Vulcan, diagnosis of software faults, fast response to problems and periodic client follow up. Updates of Vulcan incorporating improvements and enhancements and updates of documentation and manuals are also included. This service will be conducted through the individual(s) nominated by the Licensee and by Distributor to be the Contact/Responsible Person(s) as defined in the Software Schedule. Any contact with Distributor regarding the use of Vulcan may only be made via the Contact/Responsible Person(s) and any information regarding Vulcan will be sent only to the Contact/Responsible Person(s). Support entailing visits by Distributor to the Licensee's premises or by the Licensee to Distributor's premises, other than for the purpose of correcting software faults or for providing software updates, will be charged at Distributo r's current consulting rates plus expenses. Such rates and expenses will also be charged to the Licensee if a support visit is carried out by Distributor to the Licensee's premises upon the Licensee's request for whatever reason. Distributor will only supply updates to the latest version of Software which has been supplied to the Licensee at the specified location for the specified computer and operating system. Distributor will provide support for previous versions of Vulcan but not beyond 1 year from the date of despatch to the Licensee of the latest version of Vulcan. 10. GOVERNING LAW This agreement shall be subject to and construed and interpreted in accordance with the Laws of the European Community and shall be subject to the jurisdiction of the Courts of Brussels.

El acuerdo est entre el titular de la Licencia y la sociedad mercantil QUANTECH ATZ en adelante Quantech. Ambas partes se reconocen capacidad legal suficiente para otorgar el presente documento, libre y voluntariamente

MANIFIESTAN I.- Que la sociedad QUANTECH ATZ, S.A. se dedica a la actividad de creacin, comercializacin y distribucin de productos de software y dems programas informticos, entre otras. II.- Que el titular de la Licencia, est interesado en la utilizacin de los productos de software elaborados por Quantech. III.- Que en el presente contrato se entender por: VULCAN: Todos los medios informticos y documentacin en uso componen el producto informtico denominado Vulcan, el cual incluye cualquier otro programa de software y documentacin elaborados por Quantech, formando parte de Vulcan o usados conjuntamente con l. RESUMEN DE SOFTWARE: Una lista completa del software de Vulcan, programas y documentacin, el tipo de licencia, nmero de copias, versin, opciones, fecha de inicio de la licencia, fecha de renovacin de la misma, y derechos contratados. Tambin estn incluidos servicios adicionales, que son provedos por Quantech y canalizados a travs de las personas denominadas Contacto/Persona responsable. LICENCIA ALQUILER: La Licencia de alquiler garantiza a su titular el uso de Vulcan por el perodo definido en el contrato. Uno de los derechos incluidos en la Licencia de alquiler es la suscripcin al Servicio de Mantenimiento y Soporte durante el tiempo de duracin de la Licencia. LICENCIA INDEFINIDA: La Licencia indefinida garantiza a su titular el uso de Vulcan por un periodo indefinido de tiempo. Los derechos inherentes a la Licencia Indefinida incluyen la suscripcin para el primer ao al Servicio de Mantenimiento y Soporte. Transcurrido el primer ao, el titular de la Licencia ser requerido para que abone los derechos de suscripcin, detallados en el Resumen de Software. LICENCIA TEMPORAL: La Licencia temporal garantiza el uso de Vulcan por el tiempo determinado en el Resumen de Software. Esta Licencia normalmente es para uso de training y acadmico. El uso comercial est prohibido. La suscripcin al Servicio de Mantenimiento es limitada. LICENCIA DEMO: Una Licencia para una versin limitada de Vulcan para demostrar la capacidad del programa. Normalmente no incluye la suscripcin al Servicio de Mantenimiento.

SERVICIO DE MANTENIMIENTO Y SOPORTE: Este servicio proveer mejoras y puestas al da de Vulcan, cuando stas lleguen a ser disponibles. El servicio incluye servicios tcnicos al titular de la Licencia sobre el uso del software facilitado, a travs de las Personas/Responsables mencionadas en el Resumen de Software. CLAVE DE LICENCIA VULCAN: El cdigo llave de seguridad del software usado como control de seguridad ser enviado al recibo del compromiso de pago. Durante el transcurso de plazo sealado para el pago de la factura y mientras tanto el contrato de Licencia no sea devuelto a Quantech, sta podr entregar cdigos llave temporales. DISTRIBUIDOR: La empresa o entidad que comercializa, distribuye y se encarga de los servicios de Soporte de Vulcan. Se entiende que sta puede ser la misma Quantech o cualquier empresa o entidad autorizada a travs del acuerdo contractual con Quantech con el propsito de llevar a cabo este objetivo en nombre de Quantech dentro del territorio y/o regin previamente especificado. IV.- Que ambas partes, de mutuo acuerdo, otorgan ste CONTRATO DE LICENCIA DE SOFTWARE, que se regir por los pactos siguientes: PACTOS Primero.- GENERALES. Que Quantech otorga, y el titular de la Licencia as lo acepta, una Licencia de uso de una copia o copias de Vulcan, de carcter no exclusivo e intransferible. Cuando el titular de la Licencia empiece a usar su copia de Vulcan, ste se limitar a utilizar Vulcan de acuerdo con los trminos y condiciones de este contrato, independientemente del hecho de si la versin de software que se comience a usar est detallada o no en el Resumen de Software. Si alguna clusula de ste Contrato fuera considerada nula o invlida por algn tribunal u organismo pblico administrativo, la nulidad o validez de la clusula no afectar las restantes clusulas del presente contrato, que continuarn en vigor. Ambas partes acordarn sustituir la clusula nula o invlida por otra clusula vlida que contendr lo ms ampliamente detallado los objetivos econmicos, legales y comerciales de la clusula anulada o invalidada. Segundo.- PROPIEDAD Vulcan es un producto informtico registrado, cuyo nombre y propiedad queda en manos de sus creadores. Quantech adoptar todas las medidas de seguridad precisas para asegurar Vulcan, ya sea l mismo o a travs de persona fsica o jurdica. Se emprendern acciones contra todo aquel, ya sea persona fsica o jurdica, que viole la seguridad requerida, e intente crear su propia versin de software a partir de Vulcan. Cualquier informacin dada por Quantech y cualquier derecho contenido en este contrato no puede ser vendido, alquilado, transferido o cedido. El titular de la Licencia solamente podr transferirla en caso de que la compaa titular de la misma sea vendida o arrendada, siendo preciso que Quantech preste consentimiento y firme el contrato correspondiente.

El titular de la Licencia no est autorizado para copiar o distribuir Vulcan; para poder hacerlo deber proceder a suscribir un contrato especfico con Quantech. El titular de la Licencia tiene obligacin de informar a sus empleados que tengan acceso a Vulcan sobre las restricciones y obligaciones dimanantes del contrato de Licencia. El titular de la Licencia no est autorizado para reconvertir versiones binarias del software objeto de la misma en cdigos recopilados. Tercero.- USO El titular de la Licencia, nicamente, podr usar Vulcan en los lugares y en los ordenadores y sistemas operativos especificados en el Resumen de Software. El uso del software fuera del CPU definido, o por otros usuarios, no est permitido con esta Licencia. El titular de la Licencia est autorizado al cambio de localizacin del ordenador donde est instalado Vulcan, pero tiene la obligacin de comunicar el traslado a Quantech dentro de los siete das siguientes al mismo. La nueva localizacin ser incluida en una actualizacin del Resumen de Software. Si Vulcan es usado en ordenadores o sistemas operativos distintos a los especificados en el Resumen de Software sin el previo consentimiento escrito de Quantech, todos los derechos del titular de la Licencia, detallados en contrato, sern nulos e invlidos. A solicitud del titular de la Licencia, y previo abono de los derechos de propiedad correspondientes, Quantech se compromete a aprobar y transferir Licencias a otros ordenadores adicionales y sistemas operativos. El titular de la Licencia tiene derecho a desarrollar su propio software, que podr ser conectado a Vulcan. Este software, propiedad del titular de la Licencia, conectado a Vulcan, solamente podr ser usado por terceros si estos tienen su correspondiente Licencia. El titular de la Licencia Temporal o Demo slo puede hacer uso de Vulcan para conocer, aprender y evaluar su utilizacin y el uso para tareas comerciales est prohibido. En el caso de que el titular de la Licencia tuviera intencin de hacer otro uso diferente, tiene la obligacin de pedir autorizacin a Quantech. Restricciones especiales sobre el uso de Vulcan con o Indefinida podran ser definidas en el Resumen de Licencia est de acuerdo con estas restricciones si escrito dentro un periodo de 30 das desde la fecha Resumen de Software. las Licencias Alquiler Software. La utilizacin de Vulcan para otro uso que no sea el sealado, penaliza al titular de la Licencia con la prdida de los derechos de utilizacin de Vulcan. Cuarto.- GARANTA LIMITADA. Quantech niega cualquier representacin, garanta y condicin que no est escrita dentro de este contrato, ya sea expresa o implcitamente. Quantech no garantiza ni puede garantizar que el software funciona sin interrupciones, que no contiene errores o que los resultados obtenidos son precisos, fiables o correctos.

El software, objeto de la Licencia, deber coincidir bsicamente con el programa descrito y el manual de usuario se remitir el da de la entrega. Quantech no es responsable de los fallos del software licenciado cuyo origen provenga de otro software usado por el titular de la Licencia. Quantech no asegura las propiedades y cualidades del software, ni se hace responsable del funcionamiento del mismo, si durante el periodo contratado el sistema operativo del ordenador falla o es cambiado, si la unidad central de procesamiento es cambiada, si falla el hardware, si la introduccin de datos del software licenciado no es adecuada o si el software licenciado es usado de forma diferente a la pactada con Quantech. Durante el perodo contratado Quantech maximizar sus esfuerzos para resolver todos los problemas que se descubran en el software o documentacin por el titular de la Licencia y sean comunicados a Quantech inmediatamente, libres de cargo. Se considerar que el software es defectuoso si difiere esencialmente de las especificaciones concretadas en el manual del usuario. No ser considerado como tal cuando los errores de funcionamiento vengan dados por fallos en el hardware, en el sistema operativo, o si las entradas han sido errneas o los programas no son usados siguiendo las recomendaciones de Quantech. La garanta tiene una duracin de dos aos, a contar desde la entrega al Cliente de la versin de Vulcan detallada en el Resumen de Software. Quinto.- DURACIN El Contrato de Licencia ser vlido de acuerdo con los trminos definidos en este contrato. El Resumen de Software puede ser modificado previo acuerdo entre el Distribuidor y el titular de la Licencia, los dos manteniendo la versin del Resumen de Software mas reciente. De contratarse una Licencia de Alquiler o Licencia Temporal, la Licencia ser creada para tener una duracin segn contrato a contar desde el comienzo de la fecha especificada en el Resumen de Software. Las facturas sern emitidas y pagadas por adelantado a la fecha de renovacin. En la fecha de renovacin, el Distribuidor se reserva el derecho de incrementar el cargo emitido en la factura de renovacin del siguiente periodo con el pre-aviso y acuerdo del titular de la Licencia. De pactarse una Licencia Indefinida, la Licencia ser creada para tener una duracin de un ao, desde la fecha de comienzo especificada en el Resumen de Software. Transcurrido el ao, el Servicio de Mantenimiento y soporte ser renovado cada ao. Anualmente, con anterioridad a la fecha de renovacin establecida en el Catlogo de Software se emitirn las facturas para el Servicio de Mantenimiento y Soporte. En la fecha de renovacin, el Distribuidor se reserva el derecho a incrementar el precio emitido en la factura de renovacin del Servicio de Mantenimiento para el prximo ao con el pre-aviso y acuerdo del titular de la Licencia. El titular de la Licencia de Alquiler o Licencia Indefinida podr resolver el contrato de Licencia, debindolo comunicar por escrito al Distribuidor, en el plazo de un mes antes de la fecha de renovacin. Asimismo, en el supuesto de querer incrementar los derechos de propiedad, deber comunicarlo con un mes de antelacin. Si la notificacin no es recibida dentro del perodo establecido, el titular de la Licencia deber abonar el coste de un ao. Si el

titular de la Licencia de Alquiler o Licencia Indefinida cesara en el uso de Vulcan y con posterioridad volviera a renovar el contrato se reinstalar, previo pago de los derechos por una nueva suscripcin que cubre el perodo de tiempo en el que haba cesado el uso, o el pago de una suscripcin corriente incrementada con un 50% en el primer ao de reinstalacin, pagando la menor de las dos opciones. De pactarse una Licencia Demo, la Licencia ser creada para tener una duracin Indefinida, sujeta a las clusulas 4 y 9 para licencias mas antiguas que un ao. El Distribuidor tiene el derecho de cancelar este contrato sin previo aviso en el caso de que el titular de la Licencia fuera declarado en quiebra o cerrara el negocio. En caso de cancelacin o finalizacin del contrato de Licencia, el titular de la Licencia no estar autorizado a usar por ms tiempo el software objeto de la misma. La Licencia juntamente con todos los derechos inherentes a ella, son cancelados, el Distribuidor se reserva el derecho de poner en accin todos los mecanismos legales que estn a su alcance. En caso de cancelacin o finalizacin del contrato de Licencia, el titular de la Licencia se compromete a devolver todo el material y documentacin de Vulcan personalmente o por mensajero con portes pagados al Distribuidor, y en un plazo mximo de 14 das a partir de la fecha de finalizacin o cancelacin del mismo. En caso contrario, el Distribuidor o Quantech aplicar el cargo correspondiente a la documentacin y material de Vulcan definido en el Resumen de Software. Sexto.- INFORMACIN CONFIDENCIAL El titular de la Licencia acuerda y reconoce la proteccin de software Vulcan definida en este Contrato. Al finalizar el contrato, las obligaciones concernientes a la confidencialidad y propiedad continuaran en vigor. Dentro de los treinta das siguientes a la cancelacin del Contrato de Licencia, toda la documentacin que contenga informacin confidencial debe ser devuelta al Distribuidor, a cargo de sta, o bien destruida de acuerdo con las instrucciones dadas por el Distribuidor. Sptimo.- DOCUMENTACIN En la entrega inicial de Vulcan, la documentacin descrita en el Catlogo de Software ser suministrada al titular de la Licencia, y sta ser actualizada peridicamente mediante hojas revisadas o nuevos documentos, emitidos sin cargo. No se actualizar grupos adicionales de documentacin del usuario. Para mayor divulgacin del sistema, se enviar al titular de la Licencia, un nuevo juego de documentacin, libre de cargo. Los conjuntos adicionales de documentacin del usuario y las hojas de revisin podrn ser adquiridos, por el titular de la Licencia, en cualquier momento, y previa solicitud al Distribuidor , y sern cargados segn tarifa.

Octavo.- ENTREGA E INSTALACIN El Distribuidor entregar o instalar el software Vulcan, segn los trminos de este contrato en la localizacin establecida. Es preciso para la instalacin que el titular de la Licencia ceda la informacin necesaria sobre la mquina (el hardware) para crear la versin de software. Si el Distribuidor realiza la instalacin, demostrar a travs de ejemplos las funciones del software, de acuerdo con la documentacin y descripcin del programa. Las propiedades, verificacin del test y tarifas para esta instalacin constan detalladas en el Resumen de Software. En el supuesto que el titular de la Licencia no contrate la instalacin del software al Distribuidor, el titular de la misma ser el responsable de que se realice la instalacin del software Vulcan en el ordenador especificado. Se entiende que la instalacin ser completada dentro de los catorce das siguientes a la entrega. Noveno.- SERVICIO DE MANTENIMIENTO Y SOPORTE Los Servicios de Mantepimiento y Soporte incluyen consejos sobre el funcionamiento de Vulcan, diagnosis de fallos, actualizacin de Vulcan con la incorporacin de mejoras, ampliaciones y actualizaciones de la documentacin. Este servicio ser desarrollado a travs de las personas designadas por el titular de la Licencia y por el Distribuidor en el Resumen de Software como Personas/Responsables. Todo contacdo con el Distribuidor con respecto al uso de Vulcan solamente deber hacerse a travs de las Personas/Responsables y toda informacin relativa a Vulcan ser enviada a travs de las Personas/Responsables. El Servicio de Soporte implica la realizacin de visitas del Distribuidor, a travs de personas autorizadas, a las instalaciones del titular de la Licencia, a fin de realizar posibles correccimnes a los fallos del software o proveer de mejoras. Los gastos producidos por las visitas que deba realizar el Distribuidor a las instalaciones del titular de la Licencia, por peticin de los mismos y por cuestiones distintas a las anteriormente mencionadas corrern a cargo del titular de la Licencia, segn tarifa. El Distribuidor solamente suministrar mejoras a la ltima versin del software que haya sido proporcionada al titular de la Licencia en la localizacin pactada, para el ordenador y sistema operativo acordado. Con relacin a las versiones previas de Vulcan, el Distribuidor proporcionar soporte a lo largo de un ao, a contar desde la fecha de expedicin al titular de la Licencia de la ltima versin de Vulcan. Dcimo.- LEYES APLICABLES El presente contrato queda sujeto a la legislacin espaola, siendo competentes para resolver las divergencias que pudieran surgir de su incumplimiento o interpretacin los Juzgados y Tribunales de Barcelona. -----------------------------------------------------------------------------------------------
