Constitution Horticulture Club University of Minnesota

ARTICLE I: GENERAL Section 1. The official name of this organization shall be the Horticulture Club. Section 2. The club shall operate as a non-profit organization. Section 3. The club shall abide by the applicable rules and policies of the University of Minnesota pertaining to student organizations. Section 4. The objectives of this club shall be: a. To represent students with an interest in Horticulture at the University of Minnesota. b. To provide information relative to the field of horticulture to the members of the Club through: 1. Resource files 2. Special tours, speakers, etc. 3. Projects 4. Social activities and events 5. Plants sales 6. Annual trips c. To provide resources and services to the surrounding community as representatives of the University of Minnesota. ARTICLE II: MEMBERSHIP/IMPEACHMENT Section 1. Voting membership is open to all students, faculty, and staff at the University of Minnesota. Section 2. No more than 1/3 of the voting membership shall consist of non-students. Section 3. Membership is open to all students (undergraduates and graduates), faculty and staff of the University of Minnesota without regard to race, religion, color, sex national origin, disability, age, veteran status, creed, marital status, public assistance status, or sexual orientation. Section 4. Active members shall consist of those who: 1. Attend meetings regularly and serve on at least one standing committee, or in the case of schedule conflicts, those who arrange to be regularly updated by their respective committee and stay current with the club's activities and concerns; and 2. Actively participate in the other facets of the club's agenda, e.g. holding an officer position, scheduling of crops and events, participation in fund raising activities, etc. ARTICLE III: OFFICERS Section 1. The officers of the Horticulture Club shall be: President, Vice-President, Secretary, Treasurer, Senior Greenhouse Manager, Junior Greenhouse Manager, and Historian. Section 2. All officers must be currently enrolled students at the University of Minnesota and registered for at least six credits. Section 3. The nomination of officers shall be held at the second to last meeting of the fall semester of the school year with elections occurring at the subsequent meeting.

Section 4. All nominees must be active members of the club and must not plan to graduate within their respective term of office. Section 5. All officer positions excluding the Greenhouse Manager positions will be elected to hold office for the duration of one year, beginning the first meeting of Spring Semester. Subsection 5.1. The Greenhouse Manager position consists of a two year term, whereby, the Junior Greenhouse Manager automatically assumes the roles of Senior Greenhouse Manager subsequent with the election of a new officer team and Junior Greenhouse Manager. Section 6. Any officer may be impeached for misconduct (examples may include but are not limited to failure to perform duties, lack of attendance, misuse of funds, etc.). The officer shall be given notice at least seven days before the next meeting and an opportunity to defend him/herself. This impeachment vote shall require a 2/3 majority vote. Section 7. In case of a vacancy of office, the active members of the club shall nominate a new officer at the meeting following the occurrence of said vacancy with elections occurring at the subsequent meeting. Subsection 7.1. In the event of the vacancy of the President, the Vice President will become the new President, and the active members of the club shall nominate a new Vice President under the rules stated above. Subsection 7.2. In the event of the vacancy of the Senior Greenhouse Manager, the Junior Greenhouse Manager will become the Senior Greenhouse Manager and the active members of the club shall nominate a new Junior Greenhouse Manager under the rules stated above. Section 8. The Advisors of this club shall be members of the faculty of the University of Minnesota or any persons so interested in the club that their advisorship shall contribute to the betterment of the club. ARTICLE IV: AMENDMENTS Section 1. Amendments to the Constitution may be proposed by any member of the club. Such proposals must be submitted in writing to the Executive Committee. Section 2. Amendments to the Constitution or By-Laws shall be presented to the members at least one regular meeting before they are voted on. Section 3. Proposed Amendments shall be submitted to a vote of the voting members providing a quorum is present. A 2/3 majority vote in favor shall be required for adoption of such amendments. -BY-LAWSARTICLE I: OFFICER DUTIES Section 1. The duties of the President shall be to conduct meetings, appoint necessary committees an Ag Board Representative, act as a Liaison to the Horticulture Department, and to be the Chairperson of the Executive Committee. Section 2. The duties of the Vice President shall be to assume the duties of the President in the latter's absence, act as Public relations Officer, and to be the Co-Chairperson of the Publicity Committee. Section 3. The duties of the Secretary shall be to record the minutes of the meetings, to keep an updated record of the membership roster and phone list, to keep track of the club's

yearly plan, to carry on necessary correspondence, and to be the Co-Chairperson of the Publicity Committee. Section 4. The duties of the Treasurer shall be to keep an account of the club's finances and carry out all financial duties according to the club's decisions, and prepare the financial records from his or her own term for audit according to department guidelines. The Treasurer will also act as the chairperson of the Finance Committee. Section 5. The duties of the Senior Greenhouse Manager shall be to act as manager of the Greenhouse, to maintain a yearly inventory of plants and supplies, to facilitate a smooth transfer of authority to the Junior Greenhouse Manager, monitor crops for insects and disease, and to formulate a written greenhouse plant for his or her elected term. The Greenhouse Manager shall be the chairperson of the Greenhouse Committee, and Co-chair of the Spring Plant Sale Committee. Section 6. The duties of the Junior Greenhouse manager shall be to act as an assistant to the Senior Greenhouse Manager, and to Co-chair the Spring Plant Sale Committee. Section 7. The duties of the Historian shall be to maintain a functional archive and old test file, to take pictures at Club events, to collect records of historical value from each officer on the Executive Committee, and to be chairperson of the Recreation Committee. ARTICLE II: COMMITTEES Section 1. The Standing Committees of this club shall be: a. Executive Committee- Consists of the elected officers. Its duties shall be to interpret the Constitution and By-Laws. The Executive Committee shall also hold leadership training sessions as seen fit by the officers. b. Publicity Committee- Advertises the activities of the Club (especially sales) and recruits new members. c. Program Committee- Handles all planning and arrangements for field trips, projects, and fundraisers excluding the Spring Plant Sale. d. Greenhouse Committee- Oversees the maintenance of the Greenhouse, and to organize watering and fertilizing schedules. e. Recreation Committee- Handles all planning and arrangements for social events held by the Club f. Finance Committee- Consists of 2-3 active club members appointed by the Treasurer. The Finance Committee's main duty is to develop a yearly budget and enforce adherence of it. g. Spring Plant Sale Committee- Consists of the Senior and Junior Greenhouse Managers and 2-3 active club members appointed by the Senior Greenhouse Manager. The Spring Plant Sale Committee oversees the ordering and care of plants. Section 2. Special Committees may be established to carry out special assignments. ARTICLE III: MEETINGS Section 1. Meetings are to be held on those dates in such places decided upon at the first meeting of fall semester. Section 2. In the case of emergency, special meetings may be called by the President or an advisor of the Club. Section 3. A representation of the majority of the active members of the club present shall constitute a quorum, authorized to transact any business duly presented at any meeting of the club.

Section 4. A representation of 2/3 of the members of the Executive Committee shall constitute a quorum, and a majority of that quorum will carry any motion presented at an Executive Committee Meeting. Section 5. Only active members shall be allowed to vote at the elections or any business to be transacted by the Club. Section 6. The first meeting of the Spring Semester shall be a goal setting meeting for the Executive Committee. Section 7. The first club meeting of the Spring Semester shall be called to order by the new officer team. Section 8. Decisions of the club shall be enacted by a majority vote of the voting membership. ARTICLE IV: FINANCIAL MATTERS Section 1. Activities requiring the financial support of the clubd must be voted on by a 2/3 majority of active members present at a regular meeting. Section 2. Activities requiring further support or financial backing above the amount allocated by the budget shall receive such support by levying an equal amount upon each participating member after approval by the club. Section 3. Following the last sale of the school year, the balance of the club's money shall be totaled and budgeted allocating funds firstly back into the greenhouse for the following year, and distributing the remainder as the active members see fit amongst such items as refreshments, planned social events, tours, etc. Section 4. Unless otherwise specified by the membership at the time of dissolution of the organization, 100% of the residual assets shall be given to the Horticulture Department at the University of Minnesota and distributed as seen fit by the Accounting branch of the aforementioned department. Section 5. The Fiscal year of the club shall conform to the fiscal year established by University policy. ARTICLE V Section 1. The Constitution and By-Laws of the Club shall be distributed to the active members at the first club meeting of Fall Semester. Section 2. Copies of the current Constitution shall be kept in the resource files to be available for review at any time by any member. CONSTITUTION RATIFIED BY THE FOLLOWING OFFICERS
