OFFICIAL CONTEST RULES The "Slice it Up Recipe Contest" (the Contest) starts March 29, 2012, and ends

May 10, 2012. Entries must be received by 5:00 p.m., EDT on May 10, 2012. Submission of Entry Materials (defined below) constitutes Entrants acceptance of and agreement to be bound by these Official Contest Rules and the decisions of the Contest judges. The Contest is void outside the 50 U.S. states and the District of Columbia and where prohibited and is subject to all applicable federal, state and local laws and regulations. The contest is only open to Entrants of at least 18 years of age who are legal resident of, and located within, one of the 50 U.S. states or the District of Columbia at the time of entry.

SPONSOR: The sponsor of the Contest is OXO (Sponsor), 601 West 26th Street, Suite 1050, New York, NY 10001. This promotion is in no way sponsored, endorsed, administered by, or associated with, Facebook. You understand that you are providing your information to Sponsor, and not to Facebook. The information you provide will only be used for the purpose of communications from Sponsor.

ENTRY: To participate, entrants must visit the Recipe Contest application on the OXO Facebook page (www.facebook.com/oxo) to upload the text of their recipe or to submit a link to the blog post where their recipe is hosted. Multiple entries will be accepted but each entry must be for a separate and unique recipe. Entry Materials must be created by and original to Entrant. If the recipe was inspired by an existing recipe, it must be attributed. Entrant represents and warrants that the Entry Materials do not violate or infringe any copyright, trademark/trade name, logo, trade secret or intellectual-property right, or other proprietary right of any person or entity (including claims based on publicity rights, defamation, or invasion of privacy). Failure to adhere to the rules of entry will make Entrants submission ineligible for entry into the Contest.

HOW TO ENTER AND ENTRY REQUIREMENTS: There are two categories for entries: Basic Recipe Submission and Blog Post Submission. Basic Recipe Submission To enter the Basic Recipe Submission Entrants may do one of two things: 1) go to the Recipe Contest application on the OXO Facebook page and submit the text of their recipe as well as their full name and email address, or 2) email marketing@oxo.com with the full text of the

recipe as well as their full name and email address (email subject must read Slice It Up Recipe Contest Submission). The requirements for the Basic Recipe Submission are: 1) an original recipe created by the entrant (including an ingredient list and cooking directions), 2) full first and last name, and 3) a valid email address. Blog Post Submission To enter the Blog Post Submission Entrants may do one of the following: 1) go to the Recipe Contest application on the OXO Facebook page and submit a link to their blog post as well as their full name and email address, 2) pin their blog post to their Pinterest account (the pin description must include the tag @OXO and the hashtag #SliceItUp), 3) tweet a link to their blog post (the tweet must include the tag @OXO and the hashtag #SliceItUp), 4) email a link to the blog post to marketing@oxo.com (email subject must read Slice It Up Recipe Contest), or 5) post a link to their blog post on their blogs Facebook page (the Facebook post must include a the tag @OXO and mention the Slice It Up Recipe Contest). The requirements for the Blog Post Submission are: 1) a blog post dedicated to the submitted recipe, 2) an original recipe created by the entrant. Recipe must include an ingredient list and cooking directions, and 3) at least one photo that accompanies the recipe. Entrants may submit photos of the process as well as of the final product.

ELIGIBILITY: The Contest is open only to residents of the 50 U.S. states or the District of Columbia who are 18 years of age or older as of their time of entry. Employees and agents, including their family (parents, children, siblings, spouse) and members of their household (whether or not related), of Sponsor and its subsidiaries, affiliates, parent companies, distributors, divisions, agencies or of any related entity, including any consultants to Sponsor, are not eligible to participate in the Contest. It is not required to use any specific tools to create the recipe but contestants are permitted to use kitchen tools that aide their slicing skills. These include but are not limited to Mandolines, Peelers, Slicers and Choppers.

CRITERIA AND WINNER SELECTION: Winners will be selected by a panel of Sponsors employees. Decisions by the judges are at their sole discretion and are final and binding in all respects. All winning recipes will be selected based on creativity of the recipe, taste of the final dish and incorporation of slicing skills into the recipe. In addition, the Blog Post Submissions will also be judged on presentation by looking at the photography included in the blog post. All

results of the selections are final and binding, subject to these Official Rules. In the event a winning entry is discovered to be invalid for any reason whatsoever or the person who submitted the winning entry fails to comply with these Official Rules prior to delivery of the prize, the prize may be forfeited and awarded to an alternate Winner.

PRIZE(S): In the Basic Recipe Submission category, one (1) winner will be selected and will receive $250 worth of OXO products as well as one (1) new OXO product that is not yet available in stores. In the Blog Post Submission category, three (3) winners will be selected. The first place winner will receive $500 worth of OXO products as well as one (1) new OXO product that is not yet available in stores. The second place winner will receive $350 worth of OXO products. The third place winner will receive $200 worth of OXO products. All prize selections are subject to availability on www.oxo.com, not including back-ordered or out-of-stock items, and in the case of the new OXO product not yet available in stores, subject to Sponsors sole discretion. Upon notification, the winner will have an opportunity to select OXO products that equal the prize amount. The entire prize amount must be ordered at once. Prizes are nontransferable and may not be redeemed for cash. The Sponsor reserves the right to substitute prizes of equal value. NOTICE TO WINNER: Attempts to notify the potential Winner will be made by email within seven (7) days of selection. Sponsor is not responsible for lost, misdirected, corrupted, late or illegible entries. If unable to make contact with the Winner within seven (7) days after Sponsor first attempts to notify the Winner, or if the Winner fails to claim the Prize within seven (7) days after Sponsor first attempts to notify the Prize Winner, the Prize may be forfeited and awarded to an alternate Winner. If any Winner or Prize notification is returned as undeliverable, Sponsor, in its sole discretion, may cause the Prize to be forfeited and an alternate winner selected. Sponsor is not responsible for telecommunications, network, electronic, technical or computer failures of any kind, including any which may affect your entry or the Contest. Entrant has the absolute and unencumbered right to submit an Entry. Entries not in compliance with these Official Rules are disqualified. Sponsor shall have the absolute right to determine if an entry is in compliance with these official rules without notice to the person attempting to enter.

By entering the Contest, each Entrant warrants that he or she has read and agrees to abide by these Official Rules and that he or she is not prohibited from participating in the Contest. Each Entrant agrees to release, discharge, indemnify and hold harmless Sponsor and its parents, subsidiaries, affiliates, shareholders, employees, officers, directors, agents, representatives, advertising and promotion agencies and prize suppliers from any liability arising from or related to the Contest, including without limitation, personal injury, death, property damage, or claims based on any breach of the rules of the Contest as well as rights of publicity, defamation, or invasion of privacy. By entering the Contest, Entrants consent to the use of their name, likeness, image and biographical data for advertising and promotional purposes without additional compensation, except where prohibited by law. BECAUSE SPONSOR COLLECTS PERSONAL INFORMATION FROM ENTRANTS ENTERING THE CONTEST, SPONSOR ENCOURAGES ALL ENTRANTS TO REVIEW ITS PRIVACY POLICY, WHICH CAN BE REVIEWED AT WWW.OXO.COM/PRIVACYPOLICY.ASPX. Sponsor reserves the right to suspend or cancel the Contest or modify these Official Rules as necessary for any reason or as required by applicable law. Sponsor reserves the right, at its sole discretion, to disqualify from the Contest, and ban from any future promotions, any person it believes to have intentionally violated these Official Rules or tampered with any element of the Contest without notice to the disqualified or banned person. ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

DISPUTES: Except where prohibited, entrant agrees that: (1) these Official Rules or the rights and obligations of the entrant and Sponsor in connection with this Contest shall be governed and construed by the laws of the State of New York, without regard to its conflict of laws; and (2) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action.
