CONTRACT FOR SERVICES


SELF-EMPLOYED This agreement dated sets out the terms of the Contract for Services between (hereinafter referred to as the Company) and , (hereinafter referred to as the Individual). Relationship: It is intended by the parties that nothing in this agreement should be construed as creating a relationship between the parties of employer and employee. Offers of Work: Under this agreement the Company is not obliged to offer work to the Individual, nor is the Individual obliged to accept offers of work from the Company. Services: The nature of the services (hereinafter referred to as the Services) provided under this agreement by the Individual for the Company is the provision of . Location: At the Companys discretion the Individual may be required to provide the Services at the Companys offices, or at the homes or commercial premises of the Clients, or at any other reasonable place, as the Company may direct. Engagement of Substitutes: The Individual is required to provide the Services personally, and may not nominate a substitute to provide all or any of the Services. Payment: The Company will make payment to the individual, depending on work undertaken and on invoice received, monthly in arrears, following a period of working at the Company. The Individual will be responsible for accounting for, and calculating and making payment of any Income Tax or National Insurance liability to the appropriate authorities. Termination: This agreement may be terminated by either party by giving .. weeks notice of termination, in writing, to the other party. For the avoidance of doubt, to terminate the agreement notice must be given in writing to the party at the address specified at the start of this agreement. Written notice of a change of address must be supplied by the party whose address is changing to the other party. In this event, to terminate this agreement written notice must be served at the address so notified.

The Individual shall act and conduct himself/herself generally and specifically so as to read and comply fully with and to enable the Company to comply fully with the policies and procedures of the Company as dictated in the Companys Employee Handbook. Confidentiality During the course of this contract, you will be privy to information of a private and confidential nature (Confidential Information), including but not limited to information relating to the activities, business, Company, ideas, processes and strategies of the Company or its clients, suppliers, consultants or sub-contractors. Except as authorised by the Company in the ordinary course of your employment, or expressly authorised in writing by the Company, you shall not disclose such Confidential Information to any person, either in whole or in part, in detail or by way of illustration, either during this contract for services or afterwards. You shall not make copies of or take excerpts from any of the Company's electronic or manual files, papers, styles, data or documents except as required in the ordinary course of your employment. You shall comply with all rules and policies of the Company regarding physical and logical security of all systems of the Company on which Confidential Information is stored. The obligations in respect of confidentiality will not apply to Confidential Information which is: i) ii) now or becomes public knowledge except by breach of your obligations in respect of confidentiality, or lawfully in the possession of the party who receives it prior to receiving it from you and which was not previously acquired either by you or that party under an obligation of confidence; or lawfully disclosed to the party that received it by a third party without any restriction as to its use and disclosure and without breach of any obligation of confidentiality; or required by law to be disclosed to such an extent that it is required for judicial, arbitration or determinative procedure, or by order of a court of competent jurisdiction or to any government department. In such circumstances as this subparagraph applies you should give three working days notice to the Company and must consult with the Company with a view to avoiding disclosure if reasonably practicable unless restrained from doing so by a court.

Declaration: I understand that during the course of my contract for services that it will be necessary for the Company to maintain personnel records in relation to my contract for service. Any information held concerning my employment which is personal data and which is processed by the Company for these purposes shall be processed only in accordance with the Data Protection Act 1998.
