PT Akasha Wira International, Tbk (sebelumnya dikenal dengan nama PT Ades Waters Indonesia Tbk) (Perseroan) adalah perusahaan yang berkedudukan di Jakarta beralamat di Perkantoran Hijau Arkadia Tower C lantai 15, Jalan Letjen. TB. Simatupang Kav. 88, Jakarta Selatan. Perseroan bergerak dalam industri air minum dalam kemasan (AMDK) yang memproduksi serta menjual produk air minum dalam kemasan dengan merek dagang AdeS, AdeS Royal yang dimiliki oleh The Coca Cola Company, dan Nestl Pure Life yang dimiliki oleh Nestl SA. Di tahun 2010 Perseroan memperluas bidang usahanya dalam bisnis kosmetika dengan dibelinya aset berupa mesin-mesin produksi kosmetika milik PT Damai Sejahtera Mulia, perusahaan yang memproduksi produk kometika perawatan rambut. Perluasan bidang usaha tersebut mewajibkan Perseroan memperluas izin-izinnya dengan memasukkan Industri bahan kosmetik dan kosmetik, dalam izin usahanya. Dengan perluasan izin usaha tersebut maka izin usaha Perseroan meliputi air minum dalam kemasan; minuman ringan; industri produk roti dan kue; industri kembang gula lainnya; industri mie dan produk sejenisnya; industri bahan kosmetik dan kosmetik, termasuk pasta gigi; dan bisnis perdagangan besar (distributor utama, ekspor, dan impor). TB. Simatupang Kav. 88, Jakarta Selatan. The Company engages in bottled drinking water industry and is producing and selling bottled drinking water under the trademarks of AdeS, AdeS Royal owned by The Coca Cola Company, and Nestl Pure Life owned by Nestl SA. In 2010 the Company expands its business scope to the cosmetics business through the acquisition of the cosmetics production machineries of PT Damai Sejahtera Mulia, a company engaging in the production of hair care cosmetics products. The expansion to this line of business requires the Company to expand its business licenses to include cosmetic materials and cosmetics in its new business licenses. With this expansion, the business licenses of the Company shall comprise of bottled drinking water; soft drinks; bread and the industry of cookies products; candy and other candies industry; noodles and similar products industry; cosmetics materials and cosmetics including toothpaste; and the wholesale business (main distributor, export, import). Riwayat Perseroan
Perseroan pada awalnya didirikan dengan nama PT Alfindo Putra Setia, berdasarkan Akta Pendirian No. 11, tanggal 6 Maret 1985, yang dibuat di hadapan Miryam Magdalena Indrani Wiardi, SH, Notaris di Jakarta. Akta Pendirian tersebut telah disetujui oleh Menteri Kehakiman pada tanggal 13 Juli 1985 sesuai dengan Surat Keputusan No. C2-4221.HT01.01.TH85, terdaftar dalam buku daftar Pengadilan Negeri, Jakarta Barat No. 682/1985 tanggal 5 Agustus 1985, dan telah dicantumkan dalam Berita Negara Republik Indonesia No. 49 tanggal 20 Juni 1989, Tambahan Berita Negara No. 1081. Historical Background
The Company was originally established under the name of PT Alfindo Putra Setia, pursuant to the Deed of Establishment No. 11 dated 6 March 1985, drawn before Miryam Magdalena Indrani Wiardi, SH, Notary in Jakarta, and has been approved by the Minister of Justice on 13 July 1985 pursuant to Letter of Decree No. C2-4221.HT01.01.TH85, registered in the register book of the District Court of West Jakarta No. 682/1985 dated 5 August 1985 and published in the State Gazette of the Republic of Indonesia No. 49 dated 20 June 1989, Supplement No. 1081. In 1994, pursuant to the Effective Registration Statement from the Chairman of Bapepam No. S774/PM/1994 dated 2 May 1994, the Company conducted an Initial Public Offering to public in the

Saham-saham tersebut tercatat di BEJ dan BES pada tanggal 27 Mei 2004. Pada tahun yang sama Perseroan mengalami suatu perubahan penting yang lain. Water Partners Bottling S.A. (WPB), sebuah perusahaan patungan antara Nestl S.A. dan Refreshment Product Services (anak perusahaan yang sepenuhnya dimiliki The Coca-Cola Company), mengambil alih mayoritas saham di Perseroan sehingga nama Perseroan diubah menjadi PT AdeS Waters Indonesia Tbk. WPB sepenuhnya mendukung upaya terus-menerus Perseroan untuk melayani konsumen Indonesia dengan lebih baik. Selain itu, kedua mitra bisnis dengan keahlian tingkat dunia dalam menciptakan dan mengembangkan operasional bisnis yang kuat dan berkelanjutan dalam bisnis minuman bermerek akan memberikan dukungan penuh dalam bidang-bidang pemasaran, distribusi, keuangan, teknis, sumber daya manusia, dan manajemen untuk memastikan pengembangan bisnis dengan cara yang bertanggung jawab. Pada tahun 2006 Perseroan mengubah status badan hukumnya dari perusahaan lokal non fasilitas menjadi Perusahaan Modal Asing (PMA) berdasarkan persetujuan dari Badan Koordinasi Penanaman Modal (BKPM) dalam suratnya No. 42/V/PMA/2006 tanggal 10 Maret 2006. Di akhir tahun 2007, sesuai dengan Surat Pernyataan Efektif dari Ketua Bapepam dan LK No. S-5874/BL/2007 tanggal 21 Nopember 2007, Perseroan telah melaksanakan Penawaran Umum Terbatas II kepada para pemegang saham melalui penerbitan Hak

Those shares were listed on the JSX and SSX on 27 May 2004. In the same year, the Company went through another transformation. Water Partners Bottling S.A. (WPB), a joint-venture company between Nestl S.A. and Refreshment Product Services (a wholly owned subsidiary of The Coca-Cola Company), acquired a majority stake in the Company and consequently the name of the Company was changed to PT AdeS Waters Indonesia, Tbk. WPB fully endorses the Companys ongoing concern to better serve the Indonesian consumers. In addition, the two partners with worldwide expertise in creating and developing strong, sustainable operations in branded beverages are giving their support in marketing, distribution, finance, technical, human resource and management areas to ensure the development of the business in a responsible way.
In 2006, the Company converted its status from a local non facility company to a foreign capital investment company, based on the approval from the Capital Investment Coordinating Board (BKPM) in its letter No. 42/V/PMA/2006 dated 10 March 2006. Memesan Efek Terlebih Dahulu (HMETD) sejumlah 440.176.800 saham baru dengan harga penawaran Rp 1.000 (seribu Rupiah) per saham dengan rasio setiap pemilik 100 saham berhak atas 294 (dua ratus sembilan puluh empat) HMETD untuk membeli 294 (dua ratus sembilan puluh empat) saham baru. Pada tanggal 3 Juni 2008 Sofos Pte, Ltd mengambil alih saham Perseroan secara tidak langsung melalui pembelian seluruh saham milik Nestl S.A. dan Refreshment Product Services di Water Partners Bottling, SA yang merupakan pemilik 542.347.113 saham yang mewakili 91,94% saham dalam Perseroan. Akibat pengambilalihan tidak langsung tersebut Sofos Pte, Ltd melaksanakan penawaran tender untuk membeli sampai dengan 47.540.687 saham Perseroan atau mewakili 8,06% dari jumlah seluruh saham Perseroan dengan nilai Nominal Rp 1.000 per saham. Melalui proses penawaran Tender tersebut Sofos Pte memiliki 1.191.428 saham Perseroan atau 0,2% dari jumlah seluruh saham Perseroan. Anggaran Dasar Perseroan telah diubah beberapa kali dan perubahan terakhir terdapat dalam Akta Pernyataan Keputusan Rapat Perubahan Anggaran Dasar Perseroan No. 280 tanggal 21 Oktober 2010 yang dibuat di hadapan Aulia Taufani SH, notaris pengganti Sutjipto SH, Notaris di Jakarta. telah disetujui oleh Menteri Hukum dan Hak Asasi Manusia No. AHU01060.AH.01.02 Tahun 2011 tertanggal 7 Januari 2011. Rights in the amount of 440,176,800 new shares with the offering price of Rp 1,000 (one thousand Rupiah) per share with a provision that every holder of 100 (one hundred) shares was entitled to receive 294 (two hundred and ninety four) Rights to buy 294 (two hundred and ninety four) new shares. On 3 June 2008, Sofos Pte, Ltd indirectly acquired the Company shares through the purchase of shares of Nestl S.A. and Refreshment Product Services in Water Partners Bottling, SA, a company which owned 542,347,113 shares or 91,94% shares of the Company. As a result of such indirect acquisition, Sofos Pte, Ltd subsequently conducted a tender offer to acquire up to 47,540,687 shares of the Company or representing 8.06% of total shares of the Company with nominal value of Rp 1,000 per share. With such tender offer process, Sofos Pte owned 1,191,428 shares of the Company or representing 0.2% of the total shares of the Company. Guna mendukung program pemerintah menghemat penggunaan energi Perseroan berhasil mengurangi penggunaan listrik secara signifikan di tahun 2010 dibandingkan tahun 2009; Perseroan berhasil mengoptimalkan penggunan air untuk proses produksi dan sisa air hasil produksi diolah kembali untuk kemudian digunakan untuk keperluan lain misalnya pembersihan fasilitas produksi dan pertamanan sehingga meminimalkan air yang tidak terpakai. Perseroan berhasil mencapai angka nol dalam kriteria kecelakaan yang mengakibatkan hilangnya waktu kerja di tahun 2010, angka yang sama dicapai Perseroan di tahun 2009. Perseroan merupakan Perusahaan di bidang Industri Air Minum Dalam kemasan yang menerapkan standard kualitas berdasarkan ketentuan SNI 2006. Perseroan berhasil meraih sertifikat standar mutu ISO 22000 yang merupakan standar untuk Sistem Manajemen Keamanan Pangan dan sertifikat standar mutu OHSAS 18001:2007 yang merupakan standar untuk sistem manajemen Kesehatan dan Keamanan Kerja.
2010 Achievements
In order to support the government program in energy efficiency, the Company successfully reduced significantly the electricity consumption in 2010 compared to 2009. The Company successfully optimized the water consumption in the production process and the waste of water from such production process was reused for other purposes such as cleaning the production facility and gardening so as it can reduce the water waste that was not utilized. The Company achieved zero loss time accident in 2010, the same accomplishment achieved by the Company in 2009. The Company is a company in the Bottled Drinking Water Industry which has implemented quality standards based on SNI 2006 provisions. The Company received ISO 22000 certification for Food Safety Management System and OHSAS 18001:2007 certification for Occupational Health and Safety Management System.

Divisi Sumber Daya Manusia termasuk departemen kompensasi & benefit, hubungan industrial, pelatihan dan perekrutan serta departemen pelayanan umum. 2. Menyetujui rencana Perseroan untuk melaksanakan akuisi aset yang sifatnya material berdasarkan Ketentuan Bepapam No. IX.E.2 Lampiran Keputusan Ketua Bapepam & LK No. Kep 413/BL/2009 tanggal 25 November 2009 mengenai Transaksi Material dan Perubahan Kegiatan Usaha Utama. 3. Menyetujui rencana Perseroan untuk menjaminkan sebagian besar aset Perseroan kepada Bank yang merupakan syarat untuk mendapatkan fasilitas pinjaman dari perbankan serta menyetujui seluruh tindakan Direksi Perseroan menandatangani dokumen dan/atau perjanjian-perjanjian yang disyaratkan untuk melaksanakan penjaminan aset tersebut. Rapat tersebut dihadiri oleh 92,02% dari seluruh saham yang ditempatkan oleh Perseroan dan disetujui oleh seluruh pemegang saham yang hadir dalam Rapat.

Board of Commissioners
Pursuant to the Companys Articles of Association, members of the Board of Commissioners of the Company are appointed and terminated by the General Meeting of Shareholders. Such appointment shall be effective for 3 years unless early dismissal or resignation occurs. Upon the expiration of the 3-year term of office, the Commissioners can seek reappointment for another term. The Board of Commissioners shall comprise of no less than 3 members, including the Independent Commissioner, in accordance with JSX Rule No. I.A on the Requirements for the Members of the Board of Commissioners. The Board of Commissioners is responsible to supervise the management of the Company and to give advice and guidance to the Board of Directors.

Komite Audit yang ada saat ini dibentuk berdasarkan keputusan Dewan Komisaris Perseroan tanggal 15 Januari 2009 dan dilaporkan pembentukannya dalam Rapat Umum Pemegang Saham tanggal 2 Juni 2009. Berdasarkan Piagam Komite Audit, Komite Audit mempunyai tanggung jawab membantu Dewan Komisaris untuk melaksanakan fungsi pengawasannya. Untuk itu Komite Audit wajib membangun komunikasi yang efektif dengan Dewan Komisaris, Direksi, Manajemen, Auditor Internal dan Auditor Eksternal.
Audit Committee
The current Audit Committee was established based on the Board of Commissioners resolution dated 15 January 2009 and its establishment was reported to the shareholders in The General Meeting of Shareholders on 2 June 2009. Based on the Audit Committee Charter, the Audit Committee has the responsibility to assist the Board of Commissioners in conducting its supervisory role. For such purpose, the Audit Committee shall develop effective communication with the Board of Commissioners, the Board of Directors, the management, the Internal Auditors and the External Auditors. Due to other engagement and activities, Ernie Susilawati tendered her resignation as Independent Commissioner of the Company in April 2010. This led to her automatic resignation as the Audit Committee Chairman. Subsequently she was replaced by Danny Yuwono.
Karena penugasan serta aktivitas lainnya, Ernie Susilawati telah mengajukan pengunduran diri selaku Komisaris Independen Perseroan pada bulan April 2010. Hal tersebut menyebabkan secara otomatis beliau juga mengundurkan diri selaku Ketua Komite Audit.

Penjelasan Mengenai Risiko dan Upaya untuk Mengelola Risiko Tersebut a. Risiko Kredit
Risiko kredit adalah risiko di mana Perseroan akan mengalami kerugian yang timbul dari pelanggan, klien atau pihak lawan yang gagal memenuhi kewajiban kontraktual mereka. Instrumen keuangan Perseroan yang mempunyai potensi atas risiko kredit terdiri dari kas dan setara kas, piutang usaha dan investasi jangka pendek. Jumlah eksposur risiko kredit maksimum sama dengan nilai tercatat atas akun-akun tersebut. Perseroan senantiasa mengelola risiko kredit dengan menetapkan batasan jumlah risiko kredit yang dapat diterima untuk masing masing pelanggan, melakukan review secara berkala terhadap pembayaran oleh pelanggan dan lebih selektif dalam pemilihan bank dan institusi keuangan, yaitu hanya bank-bank dan institusi keuangan ternama dan mempunyai kredibilitas baik yang dipilih.
d. Risiko Likuiditas
Risiko Likuiditas adalah risiko di mana posisi arus kas Perseroan menunjukkan pendapatan jangka pendek tidak cukup untuk menutupi pengeluaran jangka pendek. Perseroan saat ini tidak kesulitan dalam menghadapi risiko likuiditas. Perseroan senantiasa melakukan evaluasi antara pengeluaran jangka pendek dengan budget yang ditetapkan dan juga melakukan evaluasi terhadap penerimaan dari pelanggan dan juga analisa kredit yang diberikan kepada pelanggan sehingga risiko terjadi kesulitan likuiditas dapat diminimalisir.
d. Liquidity Risk
Liquidity risk is a risk when the cash flow position of the Company indicates that its short-term revenues are not enough to cover its short-term expenditures. Currently, the Company does not face liquidity risk. The Company evaluates its short-term expenditures with the budget and also evaluates the payment from customers and analyzes credit given to customers so that the issues concerning liquidity risk could be minimized.

Risiko harga adalah risiko fluktuasi nilai instrumen keuangan sebagai akibat perubahan harga pasar. Saat ini, Perseroan saat ini tidak menghadapi risiko harga.

f. Risiko Persaingan
Cukup banyak perusahaan air minum dalam kemasan di Indonesia dan persaingan makin ketat dengan masuknya pemain-pemain baru di bisnis air minum dalam kemasan akhir-akhir ini. Tingkat persaingan yang ada menyebabkan banyak pemain baru menjual produknya dengan harga murah dan produk murah tersebut menggerus pangsa pasar bisnis air minum dalam kemasan Perseroan untuk konsumen menengah ke bawah.
f. Risk of Competition
There are quite many Bottled Water companies in Indonesia and the competion becomes thougher with the entry of new players in the bottled water business in recent years. The magnitude of the competition has caused many new players to sell their products at low prices and the low-priced products have eroded the market share of the Companys bottled water business in the segment of medium low class.

i. Risiko Dihentikannya Perjanjian Lisensi dengan The Coca Cola Company dan Nestl, SA.
Perseroan saat ini memiliki perjanjian lisensi dengan The Coca Cola Company untuk memproduksi dan menjual air minum dalam kemasan dengan merek dagang AdeS dan dengan Nestl, SA untuk memproduksi dan menjual air minum dalam kemasan dengan merek dagang Nestl Pure Life di Indonesia. Ketidakmampuan Perseroan untuk memenuhi persyaratan dan ketentuan yang disyaratkan oleh The Coca Cola Company and Nestl, SA berdasarkan Perjanjian Lisensi dapat mengakibatkan pemutusan hubungan kerjasama dan akan mempengaruhi kegiatan usaha Perseroan. Dari waktu ke waktu, Perseroan senantiasa mencoba mengidentifikasi seluruh risiko yang dihadapi oleh Perseroan dengan mematuhi seluruh ketentuan dan peraturan hukum yang berlaku di Indonesia serta mematuhi semua syarat dan ketentuan yang diperjanjikan di dalam suatu perjanjian yang dibuat dan ditandatangani dengan pihak ketiga termasuk namun tidak terbatas dengan The Coca Cola Company dan Nestl, SA.
i. Risk of Termination of License Agreement with The Coca Cola Company and Nestl, SA.
The Company has entered into the license agreement with The Coca Cola Company to produce and market the bottled water product under the trademark of AdeS, and with Nestl, SA. to produce and market the bottled water product under the trademark of Nestl Pure Life in Indonesia. The inability of the Company to meet the requirement and condition required by The Coca Cola Company and Nestl, SA under the respective license agreements may result in the termination of agreement and will affect the Companys business activities. From time to time, the Company continuously indentifies all the risks which the Company may be exposed to by abiding to all the applicable rules and regulations in Indonesia and also complies with the terms and conditions governed by the Agreement executed and entered into with third parties including but not limited to The Coca Cola Company and Nestl,

Against the backdrop of the promising outlook, the Company decided to expand into a the beauty care industry, by acquiring the production facility of PT Damai Sejahtera Mulia for US$ 5 million towards the end of 2010. The beauty care industry has been growing fast and its growth rate is expected to accelerate even further when the Indonesias GDP per capita crosses the USD 4,000 mark within the next 5 years. With two business platforms, namely bottled drinking water and beauty care, the Company is expected to be able to accelerate the growth rate of its revenue and its profitability in the coming years. For the bottled drinking water business, the Company managed to deliver a moderate sales growth of 10% compared to 2009, even though the Company was focused more on the strengthening of its organization and infrastructure. Towards the end of 2010, the bottled drinking water business started to experience the pressure from the price increase of plastic resin, which may potentially erode the profit margin. The Company is coping with this margin squeeze through combination of price increase to share the burden with the consumers and more importantly through continual cost structure improvements. 2011 will be a year of hopes and uncertainties. While Indonesia together with BRIC countries and many Africa and Latin America countries seem to project optimism and positive outlooks, the rest of the world has became less certain with escalating financial problem in a number of EU countries, escalating political problem in a number of Middle Eastern countries and unyielding increases of commodity prices. The uncertainty level was up by one notch with recent big natural disaster in Japan, which threatens global supply chain of certain products, like automotive and electronic goods. Thus, in 2011 the Company is expected to continue to deliver strong financial performance since it is exposed to benefits from the strong consumer spending in Indonesia and its exposure to higher commodity price is somehow reduced indirectly through its beauty care

In order to improve the sales performance in bottlled drinking water business, the Company conducted a number of important measures, such as conducting organization restructuring in its sales division with an aim to boost further its product market penetration. In line with the measure, the Company also made some changes in its performance valuation method for its sales team in terms of both individuals and teams. This was intended to synchronize the sales team performance with the business objectives of the Company. One of the key important factors in the bottled drinking water business is product availability in the market. The Company is continously improving its product distribution points in several territories. This endeavor has yielded sizeable growth improvement in the traditional market segment. For the coming years the Company will continue to expand the spreading of its products as one of its primary strategies. In order to increase the bottled drinking market segment, the Company continuously organizes consumer programs, sponsorship activities, in store promotion and education to consumers on the product quality, all synchronized with the Public Relation program conducted by the Company with an aim to improve the brand awareness dan brand loyalty of the bottled drinking water consumers specifically, and of the greater public generally.
Salah satu kunci penting dalam bisnis air minum adalah tingkat ketersediaan produk di pasar. Perseroan secara berkelanjutan terus meningkatkan titik distribusi produk di berbagai daerah. Upaya ini membuahkan peningkatan pertumbuhan cukup baik di segmen pasar tradisional. Untuk tahun-tahun berikutnya Perseroan akan terus melebarkan sebaran (spreading) produk sebagai salah satu strategi inti. Untuk meningkatkan pangsa pasar air minum, Perseroan secara berkelanjutan membuat program konsumen (consumer program), aktivitas sponshorship, kegiatan promosi di outlet (in store promo) dan juga edukasi konsumen mengenai kualitas produk, yang semuanya disinkronisasi dengan program Public Relation dari Perseroan yang bertujuan meningkatkan brand awareness dan brand loyalty, khususnya bagi konsumen air minum dalam kemasan dan juga pada masyarakat pada umumnya.

Dengan banyaknya merek-merek baru masuk ke pasar air minum dalam kemasan dan juga hadirnya depot air isi ulang di banyak tempat, persaingan di industri air minum menjadi sangat ketat. Menghadapi persaingan ini, Perseroan tetap dengan komitmen yang konsisten untuk selalu menjaga mutu produk air minum yang diproduksi dengan kualitas terbaik dan juga proses produksi yang memiliki standar tinggi. Komitmen dalam hal kualitas menjadi keunggulan bersaing bagi Perseroan dalam bisnis air minum di Indonesia. Dalam hal efisiensi, Perseroan telah melakukan berbagai upaya penghematan di tahun 2010 antara lain mengurangi penggunaan total energi sebesar 0,3% dari penggunaan total energi di tahun 2009, mengurangi penggunaan bahan bakar solar sebesar 12,14% d i b a n d i n g k a n t a h u n 2 0 0 9, s e r t a b e r h a s i l mengoptimalkan penggunaan air untuk proses produksi menjadi sebesar 6,84% lebih sedikit dibandingkan tahun 2009. Keselamatan kerja merupakan kunci keberhasilan kegiatan operasi Perseroan. Perseroan berkomitmen untuk selalu menempatkan keselamatan kerja sebagai hal penting dalam prosedur operasi Perseroan. Sebagai bukti komitmen tersebut, Perseroan berhasil mencapai angka nol dalam kriteria kecelakaan yang mengakibatkan hilangnya waktu kerja di tahun 2010, angka yang sama dicapai Perseroan di tahun 2009. Dalam hal standar mutu, Perseroan telah memperoleh sertikat ISO 22000 yang merupakan standar mutu untuk Sistem Manajemen Keamanan Pangan dan OHSAS 18001:2007 yang merupakan standar untuk sistem manajemen Kesehatan dan Keamanan Kerja sejak tahun 2009. Hal ini membuktikan bahwa Perseroan secara berkesinambungan memastikan keamanan Pangan sejak suatu produk dalam proses produksi hingga produknya jadi dan siap dijual kepada konsumen. Sebagai perusahaan Publik, pertanggungjawaban terhadap pemangku kepentingan merupakan hal yang sangat penting. Oleh sebab itu penerapan GCG merupakan hal yang tidak bisa ditawar-tawar. Perseroan telah melaksanakan GCG dengan cara mematuhi peraturan-peraturan yang disyaratkan oleh Anggaran Dasar Perseroan, Peraturan Bapapem & LK, Bursa Efek, serta peraturan-peraturan yang berlaku untuk industri air minum dalam kemasan di samping terus-menerus menegakkan Kode Bisnis Perseroan. Kami sepenuhnya sadar bahwa bertanggung jawab terhadap masyarakat dan lingkungan (Tanggung Jawab Sosial) adalah tanggung jawab semua pihak baik perorangan maupun perusahaan, oleh sebab itu dengan biaya terbatas Perseroan tetap berkomitmen untuk melaksanakan program-program tanggung jawab sosial, antara lain mengurangi penggunaan bahan baku dalam memproduksi kemasan botol, melakukan inovasiinovasi untuk menghemat energi seperti listrik maupun With many new brands of bottled drinking water entering the bottled drinking water market and the establishment of water refilling stations in many places, the competition in the bottled drinking water business was becoming increasingly fierce. In terms of efficiency, the Company conducted various efforts for efficiency in 2010, such as reducing its total energy consumption successfully to 0.3% compared to 2009, reducing its diesel fuel consumption by 12.14% compared to 2009, and successfully optimizing water consumption in production processes by slashing down the consumption to 6.84% lower than in 2009.
Safety remains the key to the success of our daily operational activities. The Company is committed to putting work safety as an important element of our operational procedures. Serving as an evidence of our commitment, the Company achieved zero loss time accident in 2010, the same accomplishment achieved in 2009. In terms of quality standards, the Company received ISO 22000 certification for quality standard on Food Safety Management System and OHSAS 18001:2007 certification for quality standards on Occupational Health and Safety Management Systems since 2009. These certifications show that the Company has conducted continued efforts to ensure food safety, starting from the production process until the product is ready and available for sale to its consumers. As a public company, accountability to stakeholders is of utmost importance. Therefore, the implementation of GCG is mandatory, and non-negotiable. The Company has carried out the practices of GCG through the compliance with all the rules as prescribed in the Companys Articles of Association, regulations from Bapepam & LK, the Stock Exchange, and other regulations applicable for bottled water business, as well as conducting continuing efforts to uphold the Companys Business Code. We are fully aware that the responsibility to the community and the environment (Social Responsibility) is our common responsibility both as an individual and as a company. Hence, despite the limited funds available, the Company remains committed to carrying out its social responsibility initiatives, such as reducing raw material to produce our packaging bottles, finding innovative ways to reduce energy such as electricity or fuel consumption, reducing water in

Perseroan di tahun 2010 melakukan investasi berupa penempatan dana pada unit investasi yang dikelola Limegreen Capital Ltd sebesar US$ 775.000 dengan tingkat pengembalian 7,5% per tahun yang akan jatuh tempo pada tanggal 7 April 2011. Investasi tersebut telah dicairkan pada bulan Januari 2011.

In 2010 the Company invested its money by placing US$ 775,000 of its fund in an investment unit managed by Limegreen Capital Ltd with minimum investment return of 7.5% per annum which will be due on 11 April 2011. The investment was liquidated in January 2011.
Ekspansi
Sebagaimana telah disampaikan sebelumnya, di kuartal akhir tahun 2010 Perseroan melakukan ekspansi usaha di bidang industri kosmetika dengan membeli peralatan produksi kosmetika beserta perlengkapannya dari PT Damai Sejahtera Mulia. Pembelian tersebut bernilai US$ 5 juta atau sekitar Rp 45 milyar. Expansion
As already mentioned in a previous part of this Annual Report, in the last quarter of 2010 the Company expanded its business into the cosmetics industry by acquiring the production facility along with its equipment from PT Damai Sejahtera Mulia. The acquisition was valued at US$ 5 million or equal to Rp 45 billion. Considering the material value of the transaction the acquisition has been approved by the General Meeting of Shareholders in line with the Bapepam Rule No. IX.E.2.

The Impact of Price Change over the Sales dan Net Revenue of the Company
In general, the Companys business will be affected by price changes, particularly the change in the global oil prices. The changes in global oil prices will directly affect the major components of cost for the Company, such as the packaging material and transportation costs. Such price changes will immediately affect the Companys profit margin. To mitigate the impact of such price changes, the Company has planned its material procurements as an anticipatory measure.

Jumlah kewajiban Perseroan pada tanggal 31 Desember 2010 adalah sebesar Rp 224.6 milyar atau naik sebesar Rp 114,5 milyar dibandingkan tahun 2009. Kinerja Perseroan di tahun 2010 membaik, ditandai dengan peningkatan pendapatan penjualan dan pertumbuhan laba Perseroan yang positif, sehingga menyebabkan peningkatan jumlah ekuitas Perseroan per 31 Desember 2010 menjadi sebesar Rp 99,9 milyar.
Equity
The performance of the Company in 2010 was significantly better than the previous year, as indicated by the increase in the Companys sales revenue and the positive growth of the Companys profit. Due to that regard, the Companys total equity as of 31 December 2010 was Rp 99.9 billion.
Pendapatan Penjualan
Penjualan bersih Perseroan hingga 31 Desember 2010 adalah Rp 218,7 milyar sedangkan per 31 Desember 2009 adalah sebesar Rp 134,4 milyar. Peningkatan ini disebabkan oleh peningkatan penjualan di bisnis air minum dalam kemasan tahun 2010 serta pendapatan baru yang berasal dari bisnis kosmetika.
Sales Revenue
Total net sales booked by the Company as of 31 December 2010 was Rp 218.7 billion, while as of 31 December 2009 its value was Rp 134.4 billion. The increase was contributed by the increase in sales from bottled drinking water business and the new, additional revenue from the Companys cosmetic business.
Beban Usaha
Jumlah beban usaha Perseroan hingga 31 Desember 2010 sebesar Rp 52,2 milyar, sedangkan jumlah beban usaha per 31 Desember 2009 sebesar Rp 43,7 milyar. Kenaikan beban usaha sebesar 19% tersebut sehubungan dengan meningkatnya penjualan bersih Perseroan sebesar 63%. Dalam hal ini Perseroan telah melaksanakan upaya untuk perbaikan dan efisiensi biaya selama tahun berjalan.
Operating Expenses
Total operating expenses of the Company as of 31 December 2010 was Rp 52.2 billion, whereas its total operating expenses as of 31 December 2009 were Rp 43.7 billion. The increase in the Companys operating expense by 19% is in line with the increase in the Companys net sales, which rose by 63%. The Company has performed cost efficiency and improvement measures during the year.

Net Profit
The Companys net profit as of 31 December 2010 was Rp 31.7 billion, whereas its net profit as of 31 December 2009 was 16.3 billion. The increase was the result of the sale of more profitable SKUs, continuing efficiency improvement in production line of bottled drinking water business, and the sale of cosmetic products which have higher profit margins.

UMUM a. Pendirian dan Informasi Umum PT Akasha Wira International Tbk (Perseroan) didirikan dengan nama PT Alfindo Putrasetia pada tahun 1985. Nama Perseroan telah diubah beberapa kali, terakhir pada tahun 2009, ketika nama Perseroan diubah menjadi PT Akasha Wira International Tbk. Anggaran Dasar Perseroan telah mengalami beberapa kali perubahan. Perubahan terakhir dibuat dengan Akta Notaris Sutjipto, SH, M.Kn, No. 281 tanggal 21 Oktober 2010 mengenai perubahan maksud dan tujuan Perseroan. Perubahan Anggaran Dasar tersebut telah disetujui oleh Menteri Hukum dan Hak Asasi Manusia Republik Indonesia dengan Surat Keputusan No. AHU-01060.AH.01.02.Tahun 2011 tanggal 7 Januari 2011. Perseroan didirikan dalam rangka Undangundang No. 1 tahun 1967, jo Undangundang No. 11 tahun 1970 tentang Penanaman Modal Asing, yang telah dicabut dan diganti dengan Undang-undang No. 25 tahun 2007 dan telah memperoleh persetujuan dari Kepala Badan Koordinasi Penanaman Modal (BKPM) dalam Surat Keputusan No. 42/V/PMA/2006 tanggal 10 Maret 2006. Pada tahun 2010, Perseroan telah memperoleh Ijin Prinsip Perluasan Penanaman Modal berdasarkan Surat Keputusan No. 253/I/IP/II/PMA/2010 tanggal 26 Oktober 2010. Sesuai dengan Pasal 3 Anggaran Dasar, Perseroan, ruang lingkup kegiatan perseroan adalah industri air minum dalam kemasan, industri roti dan kue, kembang gula, makaroni, kosmetik dan perdagangan besar. Perseroan bergerak dalam bidang usaha pengolahan dan distribusi air minum dalam kemasan serta perdagangan besar produk-produk kosmetika. Produksi air minum dalam kemasan secara komersial dimulai pada tahun 1986 sedangkan perdagangan produk kosmetika dimulai pada bulan Oktober 2010.

GENERAL a. Establishment and General Information PT Akasha Wira International Tbk (the Company) was established under the name PT Alfindo Putrasetia in 1985. The Companys name has been changed several times, the most recent one in 2009, when its name was changed to PT Akasha Wira International Tbk. The Companys Articles of Association have been amended several times. The latest amendment was made by Notarial Deed of Sutjipto, SH, M.Kn, No. 281 dated October 21, 2010 concerning the change in the Companys objectives and business activities. The amendment was approved by the Minister of Law and Human Rights of the Republic of Indonesia in his Decision Letter No. AHU-01060.AH.01.02.Tahun 2011 dated January 7, 2011. The Company was incorporated within the framework of Foreign Capital Investment Law No. 1 year 1967, as amended by Law No. 11 of 1970 and No. 25 of 2007, and had obtained an approval from the Chief of Capital Investment Coordinating Board (BKPM) in Decision Letter No. 42/V/PMA/2006 dated March 10, 2006. In 2010, the Company obtained Investment Expansion Principle Licence based on Decision Letter No. 253/I/IP/II/PMA/2010 dated October 26, 2010.
In accordance with Article 3 of the Companys Articles of Association, the scope of its activities consists of drinking water bottling industry, bread and cake industry, candy, macaroni, cosmetic industry and wholeselling. The Company engaged in the drinking water bottling and cosmetic products distribution business. Commercial production of drinking water started in 1986 and trading of cosmetic products started in October 2010.

Simatupang Kav. 88, Jakarta. Plants are located in West Java. On October 19, 2010, the Company signed a conditional sale and purchase agreement for acquiring the operating assets owned by PT Damai Sejahtera Mulia which consist of building, machinery, tools and equipments, vehicles and inventories. Until May 2008, Water Partners Bottling S.A., the Companys major shareholder was a joint venture of The Coca Cola Company and Nestle S.A. The Company has transactions in the normal course of business with affiliates of The Coca Cola Company and subsidiaries/affiliates of Nestle S.A. Both The Coca Cola Company and Nestle S.A. have subsidiaries and affiliates throughout the world. On June 3, 2008, Sofos Pte. Ltd., a Singapore based company acquired Water Partners Bottling S.A., a joint venture of The Coca Cola Company and Nestle S.A. and owner of the controlling interest in the Company.

Pada tanggal 19 Oktober 2010, Perseroan menandatangani perjanjian jual beli untuk mengakuisisi aset operasi milik PT Damai Sejahtera Mulia berupa bangunan, mesin, peralatan dan perlengkapan, kendaraan serta persediaan. Sampai dengan bulan Mei 2008, Water Partners Bottling S.A., pemegang saham Perseroan, merupakan perusahaan joint venture antara The Coca Cola Company dan Nestle S.A. Perseroan dalam bisnis normal melakukan transaksi-transaksi dengan afiliasi dari The Coca Cola Company dan anak perusahaan/afiliasi dari Nestle S.A. Baik The Coca Cola Company maupun Nestle S.A. memiliki anak perusahaan dan afiliasi di seluruh dunia. Pada tanggal 3 Juni 2008, Sofos Pte. Ltd., perusahaan berbadan hukum Singapura, telah mengakuisisi Water Partners Bottling S.A., perusahaan joint venture antara The Coca Cola Company dan Nestle S.A. dan pemegang hak pengendalian atas Perseroan.

Establishment and General Information (Continued) Following the letter of the Chairman of Capital Market Supervisory Agency (Bapepam) No. S-48/BL/2006 dated May 18, 2006 regarding Notification that the Merger Statement becomes Effective, the Company held an Extraordinary General Meeting of Shareholders (EGMS) on May 19, 2006 (minutes prepared by notary public Sutjipto, SH by Deed No. 126). The EGMS resolved to approve the merger between the Company and its subsidiary, PT Pamargha Indojatim (PIJ) effective July 1, 2006, whereby the Company becomes the surviving company and PIJ is dissolved by the operation of law. Menindaklanjuti surat Ketua Badan Pengawas Pasar Modal (Bapepam) No. S48/BL/2006 tanggal 18 Mei 2006 mengenai Pemberitahuan Efektifnya Pernyataan Penggabungan Usaha, Perseroan mengadakan Rapat Umum Pemegang Saham Luar Biasa (RUPSLB) pada tanggal 19 Mei 2006 (risalah dibuat oleh Notaris Sutjipto, SH dengan Akta No. 126). RUPSLB tersebut memutuskan untuk menyetujui penggabungan usaha antara Perseroan dengan anak perusahaannya, PT Pamargha Indojatim (PIJ) efektif sejak tanggal 1 Juli 2006 dimana Perseroan menjadi pihak yang tetap ada (surviving company) sedangkan PIJ bubar demi hukum. Penggabungan usaha ini disetujui oleh BKPM pada tanggal 17 Juli 2006. b. Penawaran Umum Efek Perseroan
Sesuai dengan Surat Ketua Bapepam No. S-774/PM/1994 tanggal 2 Mei 1994 mengenai Pemberitahuan Efektifnya Pernyataan Pendaftaran, Perseroan telah melakukan penawaran umum kepada masyarakat melalui pasar modal sejumlah 15.000.000 saham dengan nilai nominal Rp 1.000 (dalam angka penuh) per saham. Perseroan mencatatkan seluruh sahamnya sejumlah 38.000.000 saham di Bursa Efek Jakarta pada tanggal 14 Juni 1994. Berdasarkan hasil Rapat Umum Pemegang Saham Luar Biasa pada tanggal 6 Juni 1997, Perseroan mengeluarkan 38.000.000 saham bonus yang berasal dari tambahan modal disetor dengan nilai nominal per saham sebesar Rp 1.000 (dalam angka penuh).

SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES The accounting and reporting policies adopted by the Company conform to generally accepted accounting principles in Indonesia and Financial Statements Presentation and Disclosure Guidance issued by Bapepam. The significant accounting policies, consistently applied in the preparation of the Financial Statements, are as follows : a. Basis of Preparation of the Financial Statements The Financial Statements have been prepared on the basis of Historical Cost, unless otherwise stated. The Financial Statements have also been prepared on the basis of accrual concept, except for the Statements of Cash Flows. The Statements of Cash Flows present the changes in cash from operating, investing, and financing activities, and are prepared using the Direct method. Figures in the Financial Statements are rounded to and presented in millions of Rupiah, unless otherwise stated. The preparation of the Financial Statements in conformity with generally accepted accounting principles in Indonesia requires management to make estimates and assumptions that affect the reported amounts of assets and liabilities and disclosure of contingent assets and liabilities at the date of the Financial Statements and the reported amounts of revenues and expenses during the reporting period. Actual results could differ from those estimates.

For all other financial assets, objective evidence of impairment could include : Significant financial difficulty of the issuer or counterparty; or Default or delinquency in interest or principal payments; or It becoming probable that the borrower will enter bankruptcy or financial reorganization. For financial assets carried at amortized cost, the amount of the impairment is the difference between the assets carrying amount and the present value of estimated future cash flows, discounted at the financial assets original effective interest rate. Post-Employment Benefits The Companys obligations for postemployment benefits, which are under a defined benefit plan, are calculated at the present value of estimated future benefits that the employees have earned in return for their service in the current and prior periods. The calculation is performed by an independent actuary using the Projected Unit Credit method. Actuarial gains and losses are recognized as income or expense when the net cumulative unrecognized actuarial gains and losses exceed the 10% of the defined benefit obligation at that date. These gains or losses are amortized on a straight-line basis over the expected average remaining working lives of the employees. When the benefits of a plan change, the portion of the increased or decreased benefits relating to past service by employees is charged or credited to the income statement on a straight-line basis over the average service period until the benefits become vested. To the extent that the benefits vest immediately, the expense is recognized immediately as expense in the statements of income as incurred.

Revenue and Expense Recognition Revenue from sales of bottled water and cosmetic products is recognized based on the delivery of goods to buyers, in accordance with the terms of sale. Expenses are recognized as incurred on an accrual basis. m. Income Tax Final Income Tax Final income tax expense is recognized proportionally with the accounting income recognized during the year. The difference between the final income tax paid and the final tax expense in the statement of income is recognized as prepaid tax or tax payable. If the income is subject to final income tax, the differences between the financial statement carrying value of existing assets and liabilities and their tax bases are not recognized as deferred tax assets or liabilities. Non Final Income Tax Current tax expense is determined based on the taxable income for the year computed using the prevailing tax rates.

As of December 31, 2010 and 2009, the inventories were insured against risk of fire, civil commotion damage, riots, strike, malicious damage, typhoon, storm and flood for Rp 10 billion (full amount), respectively. The management believes this insured amount is adequate.

Pajak Penghasilan Pasal 26 merupakan kelebihan pembayaran Pajak Penghasilan Pasal 26 atas pembayaran royalti untuk masa pajak bulan Januari sampai dengan April 2010 dan masa Agustus tahun 2010. Perseroan sedang dalam proses permohonan pemindahbukuan atas kelebihan pembayaran tersebut.
Income Tax Article 26 represents the overpayment of Income Tax Article 26 of royalty payments for the period from January to April 2010 and August 2010. The Company is in the process to refund such overpayment.

Uang jaminan kepada Marlene International Limited (Marlene) merupakan jaminan dalam rangka akuisisi hak lisensi tunggal dan ekslusif untuk menggunakan, memproduksi, memasarkan dan menjual produk-produk dengan merek dagang tertentu (Catatan 25a). Jaminan ini dapat digunakan untuk pelunasan tagihan Marlene kepada Perseroan.
Refundable deposits to Marlene International Limited (Marlene) represents deposit to acquire a sole and exclusive license, to manufacture, use, promote and sell products with certain trademarks (Note 25a). The deposit can be used for payment of Marlenes billing to the Company.

ASET TIDAK LANCAR YANG DIMILIKI UNTUK DIJUAL Perseroan berencana menjual kelompok tanah dan bangunan yang terletak di Pandeglang, Cibuntu dan Cilegon serta kelompok mesin yang terletak di Pandeglang, yang tidak digunakan lagi dalam operasi Perseroan. Pada tahun 2009, Perseroan menunjuk perantara untuk membantu Perseroan dalam proses pelepasan. Sampai dengan tanggal Laporan Keuangan ini, Perseroan telah mendapatkan beberapa calon pembeli yang memenuhi persyaratan dan dalam proses negosiasi harga. The Company is planning to sell its group of land and buildings located in Pandeglang, Cibuntu, and Cilegon and also its group of machinery located in Pandeglang which not been used anymore under Companys operation. In 2009, the Company appointed brokerages to assist the Company in disposal process. Until the date of this Financial Statements, the Company already meet certain qualified buyers and in the progress of price negotiation. As of December 31, 2010, the Company has not succeeded in selling asset by a negotiated price discrepancy. But, the Company still plans to sell these assets.

Sehubungan dengan akuisisi atas aset tetap tersebut, Perseroan menunjuk Kantor Jasa Penilai Publik (KJPP) Amir, Nirwan, Alfiantori & Rekan untuk melakukan perhitungan estimasi nilai pasar atas aset tetap yang akan diakuisisi dari DSM. Dalam Laporan No. 258.7.9.2.4.11.09.10 tanggal 14 September 2010, nilai pasar atas aset tetap tersebut adalah sebesar Rp 12.244.730.000 (dalam angka penuh). Berdasarkan penilaian yang dilakukan oleh KJPP Amir, Nirwan, Alfiantori & Rekan atas aset tetap Perusahaan dalam Laporan No. 259.5.1.2.4.11.09.10 tanggal 22 September 2010, nilai pasar atas seluruh aset tetap dan aset tidak lancar yang dimiliki untuk dijual (Catatan 8) milik Perseroan sebesar Rp 160.010.900.000 (dalam angka penuh). Dasar penilaian yang diterapkan adalah Nilai Pasar. Aset dalam penyelesaian terutama terdiri atas mesin, peralatan dan perlengkapan. Pada tanggal 31 Desember 2010, persentase aset dalam penyelesaian adalah 78% dari total nilai kontrak. Aset dalam penyelesaian diperkirakan selesai pada tahun 2011. Manajemen mengidentifikasikan mesin menganggur (termasuk mesin yang dimiliki untuk dijual) dengan nilai buku masing-masing sebesar Rp 21.304 (harga perolehan Rp 45.446 dan akumulasi penyusutan Rp 24.142) dan Rp 23.159 (harga perolehan Rp 45.446 dan akumulasi penyusutan Rp 22.287) pada tanggal 31 Desember 2010 dan 2009. Mesin tersebut telah pernah diturunkan nilainya ke harga jual neto pada tanggal 31 Desember 2007. Tanah milik perseroan yang terletak di Ungaran telah diturunkan nilainya ke nilai pasar sebesar Rp 177 pada tanggal 31 Desember 2010. Tanah dan bangunan milik Perseroan yang terletak di Benda, Jawa Barat disewakan ke PT S. Coil Indonesia untuk jangka waktu 2 tahun yang akan berakhir pada bulan Juni 2012 dengan harga sewa per tahun sebesar Rp 300.
In connection with the fixed asset acquisition, the Company engaged Public Appraisers Office (KJPP) Amir, Nirwan, Alfiantori & Rekan to estimate the fair value of property, plant and equipment that would be acquired from DSM. In its Report No. 258.7.9.2.4.11.09.10 dated September 14, 2010, the market value of such assets amounting to Rp 12,244,730,000 (in full amount). Based on the valuation performed by KJPP Amir, Nirwan, Alfiantori & Rekan, in its Reports No. 259.5.1.2.4.11.09.10 dated September 22, 2010, the market value of the Companys property, plant and equipment and non current assets held for sale (Note 8) amounting to Rp 160,010,900,000 (in full amount). The valuation was performed based on Market Value. Assets under construction mainly consist of machinery, tools and equipment. As of December 31, 2010, the percentage of the assets under construction is 78% of total value of contracts. Assets under construction are estimated to be completed in 2011. Management has identified idle machinery (including machinery held for sale) with net book value of Rp 21,304 (acquisition cost of Rp 45,446 and accumulated depreciation of Rp 24,142) and Rp 23,159 (acquisition cost of Rp 45,446 and accumulated depreciation of Rp 22,287) as of December 31, 2010 and 2009, respectively. This machinery has been ever impaired to its net selling price as of. December 31, 2007. The Companys land in Ungaran has been impaired to its market value of Rp 177 as of December 31, 2010. The Companys land and building located in Benda, West Java are rented to PT S. Coil Indonesia for the period of 2 years which will end in June 2012 with annual rental price amounting to Rp 300.

Aset tetap tertentu dijadikan agunan untuk fasilitas kredit sebagaimana dijelaskan pada Catatan 10 dan 14. Pada tanggal 31 Desember 2010 dan 2009, aset tetap diasuransikan terhadap risiko kebakaran, penjarahan, huru hara, pemogokan, tindak kejahatan, angin topan, badai dan banjir berdasarkan suatu paket polis gabungan dengan nilai pertanggungan masing-masing sebesar Rp 164 milyar dan Rp 230 milyar (dalam angka penuh). Manajemen menganggap jumlah pertanggungan tersebut memadai. 10. PINJAMAN BANK JANGKA PENDEK Akun ini merupakan saldo pinjaman jangka pendek yang diperoleh Perseroan di tahun 2010. Pada Oktober 2010, Perseroan memperoleh fasilitas Pinjaman Promes Berulang (PPB) dari PT Bank Internasional Indonesia Tbk (BII) dengan nilai pinjaman maksimum sebesar Rp 50 milyar (dalam angka penuh) untuk membiayai kebutuhan modal kerja Perseroan. Pinjaman ini berjangka waktu 1 tahun yang akan berakhir pada tanggal 19 Oktober 2011 dan dikenakan bunga sebesar 12,75% per tahun pada tahun 2010. Jaminan kredit yang digunakan sama dengan jaminan kredit atas hutang jangka panjang yang diperoleh dari bank yang sama seperti yang diungkapkan di Catatan 14. Di dalam perjanjian bank termasuk pembatasan-pembatasan seperti yang diungkapkan di Catatan 14.
Certain property, plant and equipment are used as collateral to secure loans as discussed in Notes 10 and 14. As of December 31, 2010 and 2009, the property, plant and equipment were insured against risk of fire, civil commotion damage, riots, strike, malicious damage, typhoon, storm and flood under blanket policies with a coverage of Rp 164 billion and Rp 230 billion (full amount), respectively. The management believes that the insurance coverage is adequate. 10. SHORT-TERM BANK LOANS This account represents short-term obtained by the Company in 2010. loan
In October 2010, the Company obtained revolving loan facility from PT Bank Internasional Indonesia Tbk (BII) with maximum amounts of Rp 50 billion (in full amount) for the Companys working capital. The agreement period is one year which will fall due on October 19, 2011 and bears annual interest at 12.75% in 2010. The above credit facility is secured by the same collateral for the long-term loan obtained from the same bank as disclosed in Note 14. The agreement includes certain restrictive covenants as disclosed in Note 14.

PINJAMAN JANGKA PANJANG (Lanjutan) PT Bank Internasional Indonesia Tbk (BII) Pada Oktober 2010, Perseroan memperoleh fasilitas Pinjaman Berjangka (PB) dari BII dengan nilai pinjaman maksimum sebesar Rp 150 milyar untuk membiayai pembelian aset milik PT Damai Sejahtera Mulia serta pembiayaan sehubungan dengan transaksi akuisisi tersebut dan melunasi seluruh pinjaman Perseroan kepada Limegreen Capital Ltd. Pinjaman ini berjangka waktu 5 tahun yang akan berakhir pada tanggal 19 Oktober 2015 dan dikenakan bunga sebesar 13% per tahun pada tahun 2010. Jaminan atas fasilitas pinjaman yang diperoleh Perseroan adalah sebagai berikut : a. Tanah dan bangunan yang terletak di Cibinong, Benda, Cibuntu, Pandeglang, Cilegon, Ungaran dan Sengon; Jaminan Fidusia atas mesin dan perlengkapannya; Jaminan Fidusia atas Piutang; Jaminan Fidusia atas barang dagangan/ barang persediaan; Gadai atas beberapa rekening bank milik Perseroan di PT Bank Internasional Indonesia Tbk (Catatan 3); Intellectual Property Right (Hak Milik Intelektual) yang akan dibeli oleh Perseroan, yaitu Makarizo; Gadai atas seluruh saham Water Partners Bottling S.A.; Jaminan Pribadi dari Presiden Komisaris; Aset tetap maupun kekayaan lain sehubungan dengan transaksi yang dibiayai dari pinjaman tersebut.

LONG-TERM LOANS (Continued) PT Bank Internasional Indonesia Tbk (BII) In October 2010, the Company obtained term loan facility from BII with maximum amounts of Rp 150 billion used for financing relating to acquisition assets owned by PT Damai Sejahtera Mulias asset and related costs and for settlement the Companys loan to Limegreen Capital Ltd.
The loan period is 5 years which will fall due on October 19, 2015 and bear annual interest at 13% in 2010. The collateral for the loan are as follows : a. Land and Buildings located in Cibinong, Benda, Cibuntu, Pandeglang, Cilegon, Ungaran and Sengon; Fiduciary Transfer of the Companys machinery and equipments; Fiduciary Transfer of the Companys receivables; Fiduciary Transfer of the Companys merchandise/ inventories; Pledge of the Companys certain bank accounts in PT Bank Internasional Indonesia Tbk (Note 3); Intellectual Property Right of Makarizo which will be acquired by the Company; Pledge of all Water Partners Bottling S.A. shares; Personal Guarantee from the Companys President Commissioner; Fixed assets or other property in connection with the transaction financed by bank loan.

Berdasarkan perjanjian pinjaman dengan BII, Perseroan harus mempertahankan rasio-rasio keuangan tertentu sebagai berikut : Rasio lancar minimal 1,5 Rasio hutang terhadap ekuitas maksimal 3; Rasio kemampuan pembayaran bunga minimal 1,5 yang dimulai pada Juni 2011 dan minimal 2 dimulai pada Desember 2011. Rasio kemampuan pembayaran hutang minimal 1.
Under the restrictive financial covenants, the Company must maintain certain ratios as follows : - Current ratio minimum 1.5 - Debt to Equity Ratio maximum 3; - Interest Coverage Ratio minimum 1.5 begin since June 2011 and minimum 2 which will begin in December 2011. - Debt Service Coverage Ratio minimum 1. The loan agreements with BII include certain restrictive covenants on the part of the Company to obtain the written approval of the BII, relating to, among others, merger, reverse merger, acquisition, business takeover, changing its Articles of Association and corporate structure, changing of the Companys major shareholder, obtaining any loan, sharing dividend, except for fulfilling Bapepams requirements, sale, rent, transfer of the Companys revenue or fixed asset or investment, except for operating activities.
Dalam perjanjian dengan BII terdapat pembatasan kepada Perseroan yang mewajibkan Perseroan untuk mendapatkan persetujuan tertulis dari BII apabila akan melakukan merger, reverse merger, akuisisi, pengambilalihan usaha, perubahan anggaran dasar dan susunan struktur Perseroan, merubah susunan pemegang saham utama, perolehan pinjaman dalam bentuk apapun, membagikan dividen kecuali untuk memenuhi persyaratan Bapepam, menjual, menyewakan, mengalihkan pendapatan atau aset tetap atau investasi Perseroan, kecuali dalam rangka usaha sehari-hari. Limegreen Capital Ltd., British Virgin Island Perseroan mendapatkan persetujuan dari Limegreen Capital Ltd., British Virgin Island untuk merubah fasilitas pinjaman jangka pendek menjadi pinjaman jangka panjang dengan tingkat bunga per tahun adalah sebesar 1,92% pada tahun 2009. Pinjaman ini telah dilunasi seluruhnya pada bulan Oktober 2010.
Limegreen Capital Ltd., British Virgin Island The Company obtained an approval from Limegreen Capital Ltd., British Virgin Island to change short-term loans facility into long-term loans facility with annual interest of 1.92% in 2009. The loan has been settled in October 2010.

UANG JAMINAN PELANGGAN Akun ini merupakan setoran jaminan botol dari pelanggan yang dapat diklaim oleh pelanggan pada saat pengembalian botol. Pada tanggal 31 Desember 2009, setoran jaminan pelanggan sebesar Rp 4.007 dihapuskan. Manajemen berpendapat bahwa jumlah tersebut tidak akan dikembalikan kepada pelanggan karena pelanggan tersebut tidak mampu mengembalikan botol.

CUSTOMERS DEPOSITS This account represents bottle deposits made by customers which can be claimed by customers upon return of the related bottles. As of December 31, 2009, customers deposits of Rp 4,007 were written off. The management believes that the amounts will not be returned to customers since the customers will not be able to return those bottles.

IMBALAN PASCA KERJA Sesuai dengan Undang-undang Republik Indonesia No. 13/2003 mengenai peraturan ketenagakerjaan, Perseroan diwajibkan untuk memberikan imbalan pasca kerja bagi karyawan pada saat pemutusan hubungan kerja atau pada saat karyawan pensiun. Imbalan tersebut terutama berdasarkan masa kerja dan kompensasi karyawan pada saat pemutusan hubungan kerja atau pensiun. Jumlah karyawan yang berhak atas imbalan pasca-kerja tersebut adalah 288 di tahun 2010 dan 266 di tahun 2009. POST-EMPLOYMENT BENEFITS In accordance with Law of the Republic of Indonesia No. 13/2003 relating to labor regulations, the Company is required to provide post-employment benefits to its employees when their employment is terminated or when they retire. Berdasarkan Surat dari Direktorat Jenderal Pajak (DJP) tertanggal 14 Mei 2010, Lebih Bayar atas Pajak Penghasilan Badan tahun 2008 dikompensasikan dengan Surat Ketetapan Pajak Kurang Bayar dan Surat Tagihan Pajak Penghasilan dan Pajak Pertambahan Nilai sejumlah Rp 17. Selisih antara lebih bayar dan kurang bayar pajak sebesar Rp 1.290 telah diterima pada bulan Juli 2010. Pada bulan Februari 2009 dan September 2009, Perseroan menerima Surat Ketetapan Pajak dari otoritas pajak atas pajak-pajak PIJ. Hasil pemeriksaan atas pajak penghasilan pasal 21, 23, 4 (2), dan pajak pertambahan nilai menunjukkan adanya pajak kurang dibayar sebesar Rp 33.
Based on Letter from the Directorate General of Taxes (DGT) dated May 14, 2010, the overpayment for the 2008 Corporate Income Tax was compensated with the Tax Assessment Letters on Underpayment and Tax Collection Letters of Income Tax and Value Added Tax totalling Rp 17. The difference between the tax overpayment and the tax underpayment amounting to Rp 1,290 was received in July 2010. In February 2009 and September 2009, the Company received Tax Assessment Letters from tax authorities on PIJs taxes. The assessment on income tax articles 21, 23, 4 (2) and value added tax resulted in total tax under payment of Rp 33.

Perubahan Tarif Pajak Pada bulan September 2008, Undang-undang No. 7 Tahun 1983 mengenai Pajak Penghasilan diubah untuk keempat kalinya dengan Undang-undang No. 36 Tahun 2008. Perubahan tersebut juga mencakup perubahan tarif pajak penghasilan badan dari sebelumnya mengunakan tarif pajak bertingkat menjadi tarif tunggal yaitu 28% untuk tahun fiskal 2009 dan 25% untuk tahun fiskal 2010 dan seterusnya.

INCOME TAX (Continued) e. Tax Rates Changes In September 2008, Law No. 7 Year 1983 regarding Income Tax has been revised for the fourth time with Law No. 36 Year 2008. The revised Law stipulates changes in corporate tax rate from a marginal tax rate to a single rate of 28% for fiscal year 2009 and 25% for fiscal year 2010 onwards.

PERJANJIAN YANG SIGNIFIKAN a. Perjanjian Lisensi Pada tanggal 25 Oktober 2010, Perseroan telah menandatangani perjanjian Lisensi dengan Marlene International Limited (Marlene). Berdasarkan perjanjian ini, Marlene memberikan Perseroan hak tunggal dan ekslusif untuk menggunakan, memproduksi, memasarkan dan menjual produk dengan merek dagang tertentu di Asia (kecuali Hongkong), Australia, Uni Eropa dan Amerika Utara (mencakup Amerika Serikat, Kanada dan Meksiko). Perjanjian ini berlaku sampai dengan 31 Desember 2025. Efektif 1 Januari 2011, Perseroan akan membayar kepada Marlene biaya lisensi sebesar 1,5 persen dari penjualan bersih produk yang dijual hingga tanggal 31 Desember 2013 dan meningkat menjadi 5 persen dari penjualan bersih mulai awal tahun 2014. Selain itu, untuk menjamin kelancaran pembayaran, Perseroan memberikan jaminan kepada Marlene sebesar USD 8.750.000 (dalam angka penuh) dimana jaminan tersebut dapat digunakan untuk pelunasan tagihan Marlene kepada Perseroan (Catatan 7).

SIGNIFICANT AGREEMENTS a. License Agreements On October 25, 2010, the Company entered into license agreement with Marlene International Limited (Marlene). Under this agreement, Marlene grants to the Company a sole and exclusive license to use, manufacture, promote and sell products with certain trademarks within Asia (excluding Hongkong), Australia, European Union and North America (covering United States of America, Canada and Mexico). The agreements are valid until December 31, 2025. Effective January 1, 2011, the Company shall pay to Marlene, license fees totaling 1.5 percent of the net sales up to December 31, 2013 and increase to 5 percent of the net sales from beginning 2014. Besides that, to secure the payments, the Company placed a refundable deposit to Marlene amounting to USD 8,750,000 (full amount) in which the deposit can be used for payment of Marlenes billing to the Company (Note 7).

PERJANJIAN YANG SIGNIFIKAN (Lanjutan) b. Perjanjian Sub Lisensi Pada tanggal 2 Juni 2008, Perseroan telah menandatangani perjanjian Sub Lisensi dengan The Coca Cola Company (TCCC). Berdasarkan perjanjian ini, TCCC memberikan Perseroan hak eksklusif, wewenang dan lisensi untuk menggunakan merek dagang tertentu dan keahlian di Indonesia. Perjanjian ini berlaku sampai tanggal 2 Juni 2011 atau lebih lama jika disetujui oleh TCCC. Perseroan akan membayar kepada TCCC, biaya lisensi sebesar 5 persen dari penjualan bersih produk yang dijual. Pada tanggal 2 Juni 2008, Perseroan telah menandatangani perjanjian Sub Lisensi dengan Societe Des Produits Nestle S.A. (Pemegang Lisensi). Berdasarkan perjanjian ini, Pemegang Lisensi memberikan Perseroan hak eksklusif, wewenang dan lisensi untuk menggunakan merek dagang tertentu dan keahlian di Indonesia. Perjanjian ini berlaku sampai tanggal 2 Juni 2018 atau lebih lama jika disetujui oleh Pemegang Lisensi. Perseroan akan membayar kepada Pemegang Lisensi, biaya lisensi sebesar 5 persen dari penjualan bersih produk yang dijual. c. Perjanjian Distributor dan Sub-Distributor Pada tanggal 1 Nopember 2010, Perseroan telah menandatangani perjanjian kerjasama distribusi dengan PT Damai Sejahtera Mulia (DSM). Berdasarkan perjanjian ini, Perseroan akan menjadi agen tunggal untuk menjual dan menyalurkan produk-produk yang diproduksi oleh DSM di wilayah Indonesia untuk jangka waktu 1 tahun terhitung mulai tanggal 1 Nopember 2010. Pada tanggal 1 Nopember 2010, Perseroan telah menandatangani perjanjian sub distribusi produk kosmetik dengan PT Makarizo Indonesia (MI). Berdasarkan perjanjian ini, MI akan menjadi sub agen untuk menjual dan menyalurkan produk di wilayah Indonesia untuk jangka waktu 1 tahun terhitung mulai tanggal 1 Nopember 2010.

On June 2, 2008, the Company entered into Sub License agreement with Societe Des Produits Nestle S.A. (Licensee). Under this agreement, the Licensee grants to the Company an exclusive right, authority and license to use certain trademarks and knowhow within Indonesia. The agreement is valid until 2 June 2018 or longer if agreed by Licensee. The Company shall pay to Licensee, license fees totaling 5 percent of the net sales of the products sold.
c. Distributor and Sub-Distributor Agreements On November 1, 2010, the Company entered into a Distribution Agreement with PT Damai Sejahtera Mulia (DSM). Under this agreement, the Company will be the sole agent to sell and distribute products manufactured by DSM within Indonesia for 1 year effective as of November 1, 2010.
On November 1, 2010, the Company entered into a Sub-Distribution Agreement of cosmetic products with PT Makarizo Indonesia (MI). Under this agreement, MI will be the sub agent to sell and distribute products within Indonesia for 1 year effective as of November 1, 2010.

Perjanjian Sewa Aset Berdasarkan perjanjian sewa yang dibuat antara Perseroan dengan DSM pada tanggal 1 Oktober 2010 dan 1 Nopember 2010, Perseroan menyetujui untuk menyewakan semua aset tetap yang telah diakuisisi dari DSM (Catatan 1a) kepada DSM dengan harga sewa per bulan sebesar Rp 237 untuk jangka waktu 1 tahun. Nilai wajar aset dan kewajiban keuangan disajikan dalam jumlah di mana instrumen tersebut dapat dipertukarkan dalam transaksi kini antara pihak-pihak yang berkeinginan (willing parties), selain penjualan akibat kesulitan keuangan atau likuidasi yang dipaksakan. Metode yang digunakan untuk mengestimasi nilai wajar untuk setiap aset dan kewajiban keuangan mengikuti kebijakan akuntansi seperti yang dijelaskan pada Catatan 2j. i. Risiko Kredit Risiko kredit adalah risiko dimana Perseroan akan mengalami kerugian yang timbul dari pelanggan, klien atau pihak lawan yang gagal memenuhi kewajiban kontraktual mereka. Instrumen keuangan Perseroan yang mempunyai potensi atas risiko kredit terdiri dari kas dan setara kas, piutang usaha dan investasi jangka pendek. Jumlah eksposure risiko kredit maksimum sama dengan nilai tercatat atas akun-akun tersebut.
The fair values of the financial assets and liabilities are presented at the amount at which the instrument could be exchanged in a current transaction between willing parties, other than in a forced sale or liquidation. The methods were used on determining the estimated fair value of the financial assets and liabilities according to the accounting policies as describe in Note 2j.

Credit Risk Credit risk is the risk that the Company will incur a loss arising from their customers, clients or counterparties that fail to discharge their contractual obligations. The Companys financial instrument that potentially containing credit risk are cash and cash equivalents, trade receivables and temporary investments. Maximum total credit risks exposures are equal to the amount of the respective accounts.

Risiko Kredit (Lanjutan) Perseroan senantiasa mengelola risiko kredit dengan menetapkan batasan jumlah risiko kredit yang dapat diterima untuk masing masing pelanggan, melakukan review secara berkala terhadap pembayaran oleh pelanggan dan lebih selektif dalam pemilihan bank dan institusi keuangan, yaitu hanya bank-bank dan institusi keuangan ternama dan mempunyai kredibilitas baik yang dipilih. ii. Risiko Nilai tukar mata Uang Risiko nilai tukar mata uang adalah risiko dimana nilai wajar atas arus kas masa depan dari suatu instrument keuangan akan berfluktuasi akibat perubahan nilai tukar mata uang asing. Instrumen keuangan Perseroan yang mempunyai potensi atas risiko nilai tukar mata uang terutama terdiri atas semua akunakun aset dan kewajiban moneter Perseroan seperti yang dijelaskan pada Catatan 26. Perseroan juga melakukan pembelian valuta asing disaat nilai tukar mata uang sedang stabil dan murah untuk digunakan sebagai pembayaran kepada hutang usaha kepada supplier. Kas dan setara kas yang disediakan oleh Perseroan dalam mata uang asing selalu dianalisa sesuai dengan kebutuhan perusahaan setiap saat.

Credit Risk (Continued) The Company manages and controls this credit risk by setting limits on the amount of risk they are willing to accept for respective customers and more selective in choosing banks and financial institutions, which only choose reputable and creditworthy banks and financial institutions.

Foreign Exchange Rate Risk Foreign exchange rate risk is the risk that the fair value of future cash flow of a financial instrument will fluctuate because of changes in foreign exchange rates.
The Companys financial instrument that potentially containing foreign exchange rate risk are all of the Companys monetary assets and liabilities as described in Note 26. The Company also purchases foreign currency when the exchange rate is stable and cheap as payment of trade accounts payables to suppliers. The Companys Foreign Currency is always analyzed according to the needs of the Company at any time.

Risiko Suku Bunga Risiko suku bunga adalah risiko dimana nilai wajar atas arus kas masa depan dari suatu instrumen keuangan akan berfluktuasi akibat perubahan suku bunga pasar. Saat ini Perseroan mendapatkan pinjaman dari institusi keuangan untuk modal kerja dan investasi. Perseroan hanya melakukan penarikan dana apabila memang benar-benar dibutuhkan sehingga meminimalkan pembayaran bunga yang tidak perlu selain juga mengupayakan agar arus kas Perseroan juga mampu untuk menutupi pembayaran bunga pinjaman. Perseroan selalu melakukan analisa terhadap perubahan suku bunga pasar, dan manajemen selalu mempersiapkan langkah-langkah yang dianggap perlu untuk mengantisipasi fluktuasi perubahan suku bunga pasar tersebut, walaupun sampai saat ini suku bunga cenderung stabil. iv) Risiko Likuiditas Risiko Likuiditas adalah risiko dimana posisi arus kas Perseroan menunjukkan pendapatan jangka pendek tidak cukup untuk menutupi pengeluaran jangka pendek. Perseroan saat ini tidak kesulitan dalam menghadapi risiko likuiditas. Perseroan senantiasa melakukan evaluasi antara pengeluaran jangka pendek dengan budget yang ditetapkan dan juga melakukan evaluasi terhadap penerimaan dari pelanggan dan juga analisa kredit yang diberikan kepada pelanggan sehingga risiko terjadi kesulitan likuiditas dapat diminimalisir.

Interest Rate Risk Interest rate risk is the risk that fair value of future cash flow of a financial instrument will fluctuate because of changes in market interest rate. Currently, the Company obtained loans from financial institution for working capital and investment. The Company withdraws the funds if really need it for minimizing unnecessary interest payments while also expecting the Companys cash flow is also able to cover the payment of interest on the loan. The Company always performs an analysis of changes in market interest rates and management always prepares the necessary ways to anticipate changes in market interest rate fluctuations, although until now interest rates are relatively stable.
iv. Liquidity Risk Liquidity risk is a risk when the cash flow position of the Company indicated that the short-tem revenue is not enough to cover the short-term expenditure. Currently, the Company do not encounter liquidity risk. The Company evaluates the short-term expenditure with the budget and also evaluates the payment from customer and customer credit analysis given to the customer so that the risk of liquidity problems could be minimized.

GOING CONCERN Measures have been taken by management to restructure, streamline and reorganize its business operation, and continue improving overall efficiencies. As a result from these measures, the Companys performance has improved which impact on the increase of the Companys operating profit significantly in 2010. REKLASIFIKASI AKUN Beberapa akun dalam laporan keuangan pada tanggal dan untuk tahun berakhir 31 Desember 2009 telah direklasifikasi agar sesuai dengan penyajian laporan keuangan pada tanggal dan untuk tahun berakhir 31 Desember 2010 sebagai berikut : a. Piutang karyawan dan piutang lainnya yang dicatat sebagai aset lancar lainnya pada tanggal 31 Desember 2009 sebesar Rp 274 telah direklasifikasi ke piutang lain-lain bersih. Uang muka pembelian dan uang muka karyawan yang dicatat sebagai aset lancar lainnya pada tanggal 31 Desember 2009 sebesar Rp 67 telah direklasifikasi ke uang muka dan biaya dibayar dimuka. SUBSEQUENT EVENTS In January 2011, all the Companys short-term investment managed by Limegreen Capital Ltd., British Virgin Island has been liquidated. The Company earned a minimum investment return of 7.5 % per annum.
