0DEFINITIONS"LicensedSoftware"meanstheJavaSERuntime Environment(JRE),Version6,prereleasesoftwareinbinaryand/or sourcecodeforms,anyothermachinereadablematerials(including,but notlimitedto,libraries,sourcefiles,headerfiles,anddatafiles), Feedback(asdefinedinSection5.0),anyusermanuals,programming guidesandotherdocumentationprovidedtoLicenseebySununderthis Agreement. 2.0LIMITEDLICENSE 2.1SourceCode.SungrantstoLicensee,anonexclusive,non transferable,royaltyfreeandlimitedlicensetoviewthesourcecode portionsoftheLicensedSoftwareinternallyforthepurposesof evaluationonly. 2.2BinaryCode.SungrantstoLicensee,anonexclusive,non transferable,royaltyfreeandlimitedlicensetousethebinarycode portionsoftheLicensedSoftwareinternallyforthepurposesof evaluationonly. 2.3NolicensesaregrantedtoLicenseeforanyotherpurposes, Licenseemaynotsell,rent,loanorotherwiseencumberortransfer LicensedSoftwareinwholeorinpart,toanythirdparty. 3.0LICENSERESTRICTIONS 3.1LicenseemaynotduplicateLicensedSoftwareotherthanfora singlecopyofLicensedSoftwareforarchivalpurposesonly.Licensee agreestoreproduceanycopyrightandotherproprietaryrightnotices onanysuchcopy. 3.2LicensedSoftwareis"ConfidentialInformation".Licenseemaynot discloseoruseConfidentialInformation,exceptforthepurposes specifiedinthisAgreement.LicenseewillprotecttheConfidential Informationwiththesamedegreeofcare,asLicenseeusestoprotect itsownConfidentialInformation. 3.3Exceptasotherwiseprovidedbylaw,Licenseemaynotmodifyor createderivativeworksoftheLicensedSoftware,orreverseengineer, disassembleordecompilebinaryportionsoftheLicensedSoftware,or otherwiseattempttoderivethesourcecodefromsuchportions. 3.4Noright,title,orinterestinortoLicensedSoftware,any trademarks,servicemarks,ortradenamesofSunorSun'slicensorsis grantedunderthisAgreement.

3.5LicenseeshallhavenorighttousetheLicensedSoftwarefor productiveorcommercialuse. 4.0NOSUPPORTSunisundernoobligationtosupportLicensedSoftware ortoprovideLicenseewithupdatesorerrorcorrections(collectively "SoftwareUpdates").IfSun,atitssoleoption,suppliesSoftware UpdatestoLicensee,theSoftwareUpdateswillbeconsideredpartof LicensedSoftware,andsubjecttothetermsofthisAgreement. 5.0LICENSEEDUTIESLicenseeagreestoevaluateandtesttheSoftware foruseinLicensee'ssoftwareenvironmentandprovidefeedbacktoSun inamannerreasonablyrequestedbySun.Anyandalltestresults, errordata,reportsorotherinformation,feedbackormaterialsmadeor providedbyLicenseerelatingtoSoftware(collectively,"Feedback") aretheexclusivepropertyofSunandLicenseeherebyassignsall FeedbacktoSunatnocosttoSun.SunmayusesuchFeedbackinany mannerandforanypurpose,withoutlimitation,liabilityorobligation toLicensee. 6.0TERMANDTERMINATIONOFAGREEMENT 6.1ThisAgreementwillcommenceonthedateonwhichLicenseereceives LicensedSoftware(the"EffectiveDate")andwillexpiretwelve(12) monthsfromtheEffectiveDate,unlessterminatedearlierasprovided herein. 6.2EitherpartymayterminatethisAgreementuponten(10)days' writtennoticetotheotherparty.However,Sunmayterminatethis AgreementimmediatelyshouldanyLicensedSoftwarebecome,orinSun's opinionbelikelytobecome,thesubjectofaclaimofinfringementof apatent,tradesecretorcopyright. 6.3SunmayterminatethisAgreementimmediatelyshouldLicensee materiallybreachanyofitsprovisionsortakeanyactionin derogationofSun'srightstotheConfidentialInformationlicensedto Licensee. 6.4UponterminationorexpirationofthisAgreement,Licenseewill immediatelyceaseuseofanddestroyLicensedSoftwareandanycopies thereof. 6.5RightsandobligationsunderthisAgreementwhichbytheirnature shouldsurvive,willremainineffectafterterminationorexpiration hereof. 7.0INSTALLATIONANDAUTOUPDATE. TheSoftware'sinstallationandautoupdateprocessestransmita limitedamountofdatatoSun(oritsserviceprovider)aboutthose specificprocessestohelpSununderstandandoptimizethem.Sundoes notassociatethedatawithpersonallyidentifiableinformation.You canfindmoreinformationaboutthedataSuncollectsat http://java.com/data/. 8.0DISCLAIMEROFWARRANTY 8.1LicenseeacknowledgesthatLicensedSoftwaremaycontainerrorsand isnotdesigned,licensed,orintendedforuseinthedesign,

construction,operationormaintenanceofanynuclearfacility ("HighRiskActivities").Sundisclaimsanyexpressorimpliedwarranty offitnessforsuchuses.LicenseerepresentsandwarrantstoSunthat itwillnotuse,distributeorlicensetheLicensedSoftwareforHigh RiskActivities. 8.2LICENSEDSOFTWAREISPROVIDED"ASIS".ALLEXPRESSORIMPLIED CONDITIONS,REPRESENTATIONS,ANDWARRANTIES,INCLUDINGANYIMPLIED WARRANTYOFMERCHANTABILITY,SATISFACTORYQUALITY,FITNESSFORA PARTICULARPURPOSE,ORNONINFRINGEMENT,AREDISCLAIMED,EXCEPTTOTHE EXTENTTHATSUCHDISCLAIMERSAREHELDTOBELEGALLYINVALID. 9.0LIMITATIONOFLIABILITY 9.1LicenseeacknowledgesthattheLicensedSoftwaremaybe experimentalandthattheLicensedSoftwaremayhavedefectsor deficiencies,whichcannotorwillnotbecorrectedbySun.Licensee willholdSunharmlessfromanyclaimsbasedonLicensee'suseofthe LicensedSoftwareforanypurposesotherthanthoseofinternal evaluation,andfromanyclaimsthatlaterversionsorreleasesofany LicensedSoftwarefurnishedtoLicenseeareincompatiblewiththe LicensedSoftwareprovidedtoLicenseeunderthisAgreement. 9.2Totheextentnotprohibitedbylaw,innoeventwillSunbeliable foranyindirect,punitive,special,incidentalorconsequentialdamage inconnectionwithorarisingoutofthisAgreement(includinglossof business,revenue,profits,use,dataorothereconomicadvantage), howeveritarises,whetherforbreachorintort,evenifSunhasbeen previouslyadvisedofthepossibilityofsuchdamage. 10.0U.S.GOVERNMENTRESTRICTEDRIGHTS IfthisSoftwareisbeingacquiredbyoronbehalfoftheU.S. GovernmentorbyaU.S.Governmentprimecontractororsubcontractor (atanytier),thentheGovernment'srightsintheSoftwareand accompanyingdocumentationshallbeonlyassetforthinthislicense; thisisinaccordancewith48C.F.R.227.72024(forDepartmentof Defense(DOD)acquisitions)andwith48C.F.R.2.101and12.212(for nonDODacquisitions). 11.0GENERALTERMS 11.1AnyactionrelatingtoorarisingoutofthisAgreementwillbe governedbyCalifornialawandcontrollingU.S.federallaw.TheU.N. ConventionfortheInternationalSaleofGoodsandthechoiceoflaw rulesofanyjurisdictionwillnotapply. 11.2LicensedSoftwareandtechnicaldatadeliveredunderthis AgreementaresubjecttoU.S.exportcontrollawsandmaybesubjectto exportorimportregulationsinothercountries.Licenseeagreesto complystrictlywithallsuchlawsandregulationsandacknowledges thatithastheresponsibilitytoobtainsuchlicensestoexport,re exportorimportasmayberequiredafterdeliverytoLicensee. 11.3Itisunderstoodandagreedthat,notwithstandinganyother provisionofthisAgreement,Licensee'sbreachofthisAgreementwill causeSunirreparabledamageforwhichrecoveryofmoneydamageswould beinadequate,andthatSunwillthereforebeentitledtoseektimely injunctiverelieftoprotectSun'srightsunderthisAgreementin

additiontoanyandallremediesavailableatlaw. 11.4Neitherpartymayassignorotherwisetransferanyofitsrights orobligationsunderthisAgreement,withoutthepriorwrittenconsent oftheotherparty,exceptthatSunmayassignthisAgreementtoan affiliatedcompany. 11.5ThisAgreementistheparties'entireagreementrelatingtoits subjectmatter.Itsupersedesallpriororcontemporaneousoralor writtencommunications,proposals,conditions,representationsand warrantiesandprevailsoveranyconflictingoradditionaltermsofany quote,order,acknowledgment,orothercommunicationbetweenthe partiesrelatingtoitssubjectmatter,includinganyBinaryCode Licenses,SupplementalTerms,orotherlicensescontainedwithin LicensedSoftware.NomodificationtothisAgreementwillbebinding, unlessinwritingandsignedbyanauthorizedrepresentativeofeach party.
