Prices are Ex-Factory, Bahadurgarh, Haryana. 10.3% included (Nil in case of exports) 12.5% or 2% against form-C(Nil in case of exports) is extra To be supplied by buyer before dispatch, if required. Delivery of the Generator sets 4weeks from the date of receipt of confirmed purchase order along with advance. Extra as applicable 50 % advance and balance against Performa invoice before dispatch. Transit insurance if required shall be extra. The offer is open for acceptance up to 30days from the date of offer. A Force Majeure Event shall mean any unforeseeable act or event that prevents the affected party from performing its obligations under this agreement or complying with any conditions required by the other party under this agreement if such act or event is beyond the reasonable control of and not the fault of the affected party and such party has been unable to avoid such act or event by the exercise of prudent foresight and due diligence such as (a) war and other hostiles (whether war be declared or not), invasion, act of foreign enemies, mobilization, requisition or embargo; (b) ionizing radiation or contamination of nuclear fuel, radioactive toxic explosives, or other hazardous properties of any explosive nuclear assembly or nuclear components thereof; (c) rebellion, revolution, insurrection, military or usurped power and civil war; (d) riot, civil commotion, terrorism or public disorder except where solely restricted to employees of Supplier or any subcontractor (e) flood, lightning, cyclone, typhoon, earthquake, fire, explosion, shipwrecks, transportation accident or other accidents or act of God; (f) discovery of historically significant artifacts on the facility site. Arbitration Rules: Any arbitration proceedings or award rendered hereunder and the validity, effect and interpretation of this Clause shall be governed by arbitration rules of COMMERCE (ICC). conducted in accordance with INTERNATIONAL CHAMBER OF COMMERCE (ICC) Arbitration Rules as in effect on the date of this Agreement. Number of Arbitrators: The arbitral tribunal shall consist of three arbitrators appointed one each by Supplier and Purchaser and one neutral. Place of Arbitration: The arbitration proceedings shall be conducted in the courts of New Delhi. All appendices and special conditions shall be mutually agreed between PGC and the Purchaser before finalization of Contract. Any major or minor Civil and/or Related work of any kind is not included in Offer. This includes diesel gen. set foundations, pumps system foundations, remote radiator foundations, breaking of walls, trenches, etc. Any Item/Component not specifically and clearly mentioned in the Offer is not included in scope of supply and work. Inspection / Testing witness of various equipments at respective manufacturer's works abroad by customer or his representative have not been included in Offer. However, all materials will go through quality / inspection checks at the manufacturers end before dispatch to site. Any proposal for inspection may be suitably discussed / considered at an appropriate time along with cost implication. Unloading of set at site.

Control Panel AMF panel shall be fabricated out of M.S. sheet. Panel will be suitable for indoor installation, dust and vermin proof. ACOUSTIC ENCLOSURE The generator will be housed in acoustic enclosure. The acoustic shall be pre-treated with Zinc phosphate, and powder coated, shall be suitable for outdoor installation. The size of canopy shall be as per catalogue specifications. FUEL TANK Daily service tank having adequate capacity complete with drain valve, air vent, inlet & outlet connections. BATTERIES Suitable number batteries of suitable size with battery leads for electrical starting. ANTI VIBRATION PADS Four numbers AVM pads for reducing the transmission of vibration from the set to the building.
