I express my deep sense of gratitude and heartily respect to Mr. Helal, Head of HR, to take initiative to place me on Southeast Bank Ltd. My Special thanks to the officials of Southeast Bank Ltd. Specially Mr.Sabbir, Senior Vice President and Mr. Abid First Vice President, and all the executives of the motijheel Branch. Last but not the least, I am grateful to my family for their spontaneous support which was very much necessary for me to complete this report.

Executive Summary

The internship is the linkage between the theoretical knowledge and real life experience. It is designed to have a practical experience while passing through the theoretical understanding. This report aims toward providing an overview on the rules, procedures practiced in the Corporate Governance of Southeast Bank Ltd. In the first chapter I explained the objective of my study and the importance of my report. I have also explained the methodology regarding this report. Only secondary data and information have been used in preparing this report. Like all study, this report has certain limitations which were in some cases unavoidable. I tried to highlight the organization and tried to mention the vision, mission, strategies and future outlook of the bank along with a description of its operation in a nutshell. In the second chapter I discussed the origin of my report. Here, I briefly discussed about corporate Governance, how it is practiced in our country and gave a Literature Review. In the third chapter I gave some basic information about Southeast Bank where I have done my internship. In the fourth chapter I highlighted the compliance of the corporate governance of this bank. Here I mentioned different corporate governance rules and the Banks response. There are some uniform rules for performing CG. In this chapter I also discussed the evaluation of boards performance, corporate behavior, environmental responsibility of the bank and different governing sectors of the bank. Finally in the last chapter I have mentioned some findings that I have observed during my course of internship in the branch. Based on these findings I have tried to make some suggestions for the bank which I think will make this bank more competitive with other commercial banks.
