AGREEMENT

This Agreement is made at Ambala Cantt. on this ____th day of January 2012 between

_______________School, here in after called the party of the first part

AND

MAMONA MEHTA W/o Sh. Mohit Mehta Proprietor of ANVI NEW SCHOLOR PUBLISHING HOUSE having its registered office at Ambala Cantt, here in after called the party of the second part .

The party of the First & Second part will mean and include their respective heirs , executors , legal representatives , administrators and successors.

WHEREAS Party of first part has agreed to purchase the books from the party of second part for Rs.300000/- ( Three Lakhs ) after ____ % of Discount within the period of three consecutive years from the date of the said agreement.

AND WHEREAS party of second part has agreed to provide 32`` LCD (Panasonic) and DVD PLAYER (Brand/Company as per the choice of party of second part) to the Party of first part.

AND WHEREAS it is deemed expedient and in the interest of both the parties to put the terms and conditions of the said agreement into writing.

NOW, THEREFORE, THIS AGREEMENT WITNESSETH AS UNDER:

1. That the Party of first part will purchase the books from party of second part for Rs.300000/- after ___ % of discount , in three consecutive years from the date of agreement.

2. That the Party of first part is bound to purchase the books from the party of second part for a minimum amount of Rs. 75000/- in the first year of the agreement, Rs. 150000/- in second year and balance in third year so as to make the total purchases for Rs. 300000/- after ___% discount in the three consecutive years .

3. That if party of the first part purchases the books of Rs. 300000/- from the party of second part before the end of the three years from the agreement date then contract will be deemed to be completed and both the parties will be relieved from this contract.

4. That party of the second part will provide the party of first part 32 PANASONIC LCD and DVD PLAYER (brand/company will be as per the choice of party of second part) and in addition to that party of second part will bear the cost of painting of room with cartoonist colours where LCD and DVD PLAYER will be installed by the party of first part.

5. That the party of second part will hold one Teacher Training Program for the teachers of the primary wing of the Party of first part . The date for the training will be set as per convenience of both the parties and all sort of expenditure for the Teacher Training Program will be borne by the party of second part.

6. That the ownership of the LCD and DVD PLAYER will remain with the party of second part till the completion of the contract and party of first part will be considered only the users of the property.

7. That after completion of the contract, the ownership in the property (LCD and DVD PLAYER) will be transferred to the party of first part and the party of the second part will have no right over the property.

8. That Terms of Payments of the books purchased by the party of first part from the party of second part will be as under :For the Amount Billed upto 31th March 2012

60% in the 2nd weak of the April 2012. 15% in the 2nd weak of May 2012. 10% in the 1st weak of August 2012. Balance is to be paid till 30th Sept 2012.

For the Amount Billed after 31th March 2012

Within the 2 months from the bill date.

9. That if party of first part wants to return certain books to the party of second part then it can do so only up to the first week of the September 2012.

10. That in the case of dispute between the parties hereto, the same shall covered under the Jurisdiction of Ambala Cantt. Courts only.
