RISK FACTORS Investment in the film industry is speculative and has its risks. There can be no assurances of the economic success of any motion picture since revenue derived from the production and distribution of a motion picture depend upon its acceptance by the public which, cannot be predicted. The commercial success of a motion picture also depends upon the quality and acceptance of other competing films released into the market at or near the same time, general economic factors and other tangible and intangible factors, all of which can change and cannot be predicted with certainty. The entertainment industry in general and the motion picture industry are continuing to evolve primarily due to technological developments. Although these developments have resulted in the availability of competing forms of leisure time entertainment, they have also resulted in the creation of additional revenue sources through the licensing of rights to these new mediums. In the future, these technological advancements can lead to a reduction in production and distribution costs (i.e. delivering films to theaters digitally thus reducing P&A costs). Additionally, the success of a motion picture remains a crucial factor in generating revenue from other media such as video/DVD rental and sales and television output. Due to the rapid evolution of technology and changing consumer tastes it is impossible to predict the overall effect these factors will have on the potential revenue and profitability of any motion picture. RISK MITIGATION In an effort to minimize the risk, the Producers of THEY, THE THREE MAGIC QUESTIONS have purposely kept the films budget small enough to reduce the recuperation stress while making it large enough to attract high quality talent, in front of and behind the camera. In the current state of the motion picture business, there are a significant amount of bankable stars available. The Director of the picture will have previously made two films that have been sold to market. Further, the Thriller/Suspense genre attracts an audience that is less interested in the trappings of an expensive studio picture and is more interested in the thrill. These viewers are also predisposed to see any and all films, large or small, within this genre. By shooting the film in Florida, the producers have relationships with equipment houses, crews, and local film commissions. The film qualifies for film incentives which would potentially be 22.5 percent of the budget rebated to the production entity, thereby mitigating investors and producers exposure.

THEY, THE THREE MAGIC QUESTIONS -SYNOPSIS Genre: Thriller/Suspense Budget: $1,151,000 After receiving a traffic citation JOEY BYERS does some research online regarding The Three Magic Questions. Joey finds what he is looking for and decides to defend himself in court using his newly acquired knowledge of the legal system. On the way to court, Joey is in a near fatal car accident that results in another traffic citation. Finally Joey arrives for his court date and defends himself successfully. Outside of court, his new love interest appears, the beautiful, Melissa. As Joey begins to unearth the truth regarding the local politics, he learns that he is a government target. Under the orders of the Mayor of Cocoa Beach, Joey soon realizes his life is in danger. Joey decides its time to write a book and speak out against the injustices going in local traffic court. And the truth shall set you free, so he thinks, until ... After his house is burned down and his best friend is killed in the fire, Joey realizes that the only recourse is to bring this to the attention of the national media. Luckily he has the help of some unseen Special Forces friends whom he has helped in traffic court. The finale builds to a hair-raising car chase with a final showdown between the corrupt police, Joey and the NY Times and some Special friends. And the truth sets him free.

KEY CREW DIRECTOR: NICK LYON Nick Lyon is a Los Angeles-based director and writer and a native of Portland, Oregon. Nick Lyon spent 9 years in Germany where he attended the Film Academy BadenWurtemburg in Ludwigsburg, Germany. After graduating film school, Nick Lyon went on to direct Academy Award winner Maximilian Schell, in "I Love You, Baby", a thriller produced by Warner Bros. Germany. which was theatrically released in 2000. From 2001 to 2005, Nick resided between Los Angeles and Portland, Oregon where he finished his second feature, "Punk Love", which won "Best Feature" in Roma Independent Film Festival, "The DGA Directors Award" at Moondance 06, and "Best Actor" at the 2007 Drake International Film Festival in Caserta, Italy. In 2006, Nick Lyon directed "Grendel" for NBC/Universal/ Sci Fi and Species: The Awakening for MGM with Frank Mancuso Jr. producing, and is currently in post-production on Doomsday: Extinction for Sci-fi channel. PRODUCER: ADRIAN BRUNORI With a commitment to the feature film business that spans over almost two decades, Mr. Sterrett found his beginning, while in college, in industrials and commercials. After graduating, Robert produced a short film, which earned him his first major producing role at age 24. Working on set as an Assistant Director, Production Manager, and in various other departments, for over a decade Roberts production credits include Donnie Darko, Borat, and Nobel Son. He worked on over 200 productions in Los Angeles while producing music videos, commercials and a couple feature films. Always the producer, Robert optioned and sold screenplays to independent distributors and production companies, and in July 2001 he established the sales/distribution firm Riley Sterrett Films, with former Warner and Fox executive, Kevin Riley. His expertise encompasses production, film packaging, distribution contracts, script sales, film sales, motion picture funding, and talent attachment. Robert has directed and produced several short films, music videos, and commercials. He has produced seven films, West From North Goes South, Glam 2000, Mikey Was Here, Ghost Game, Burial at Sea, and Along the Way and Misconceptions. Recently Robert finished the re-shoots for Burial at Sea. Robert resides on the board of directors of The Gasparilla International Film Festival as one of the founding members. PRODUCER: RONALD FARNHAM Stacia Crawford has received acclaim for her producing and screenwriting, as well as her acting performances (ranging from ingnues to psychopaths). Her production company, SaigeBelle Films, currently has several feature films in production including 'Sheltered', 'Straight Forward' and 'Normal Again'. Her award-winning short film 'Back to One', in which she served as writer/producer/actress can be frequently seen on television. She is also developing a television series centered around influential women, as well as a

documentary on Chiari, a brain malformation that has affected her sister. Born and raised in Ft. Lauderdale, Stacia currently spends her time between Los Angeles and New York City, with frequent visits to Wilmington, NC where her family now resides. PRODUCER: MATTHEW ORENSTEIN A fourteen year veteran of Home Box Offices Affiliate Sales/Marketing division Matt and his handpicked team were responsible for nearly 20% of HBOs revenue. Working with cable distributors, Matt made sure that the HBO and Cinemax brands were properly positioned, packaged, marketed and sold in order to yield revenue and cash flow for both HBO and for his cable partners. Further, Matt was responsible for working with HBO Programming to develop the most cost-effective campaign strategies that leveraged key HBO programming (Original Movies, Original Series and Hollywood Theatricals, Sports, Events and Documentaries) from The Sopranos to Sex And The City to Entourage to successfully grow subscribers and viewers. More recently as a Founder/Producer of Film One Partners, Matt developed Film Funds by marrying equity investors/partners with debt financing. By leveraging the equity multiple times against debt he was able to build film slates to maximize investor rates of return. Partners have included Patriot Pictures, Irreverent Media and Creanspeak Productions. As a Principal/Producer of IM2 Entertainment, Matt continues to help other production entities put the puzzle together through film financing and distribution. A native of The Bronx, Matt has lived in Boston, Dallas and now resides in Los Angeles. CO-PRODUCER/WRITER: JHON DORIA A New York native, Jhon majored in theatre at Boston College. Upon graduation he worked for Arnold Kopelson and Michael Tadross on "Eraser" (Warner Bros.) in both NYC and LA. For the past ten years Jhon has worked both onstage and in film, in varying capacities, as a writer, actor, director, and producer. He starred opposite Alan King in "A Family of Orphans"; premiered the role of Ed in Carter W. They would manage global theatrical exhibition, video/DVD rental and retail as well as PPV, Premium Cable and Broadcast Television distribution. This includes all aspects of marketing, print delivery and advertising. Based on the Producers and Directors relationships with actors, film buyers both domestically and internationally, along with the genre and proposed cast, this film has a myriad of distribution and selling opportunities.
