CONTRACT

TERM AND NATURE OF EMPLOYMENT The Institute agrees to engage the consultant as an independent contractor and not as an employee or agent, with no power of the contractor to bind the Institute on any way and the contractor agrees to provide the services to the Institute during the term of this contract term in accordance with this Agreement. The Institute will engage the contractor in the position of Associate Professor (title) for the provision of services stated in Schedule 1 and Schedule 2 The Institute will engage the contractor and the contractor will serve the Institute from 03/02/2011 (commencement date) on the terms and conditions set forth in this contract. The terms and conditions of this contract will come into force from the commencement date and will continue in force until the contractors engagement is terminated by the contractor or by the Institute in accordance with this contract. The contractor shall not sub-contract or assign this contract or otherwise arrange for any other person to provide any of the Services without the consent of the Principal of the Institute. TIME AND ATTENTION During the continuance of this contract, the contractor will devote their whole time and attention during working hours to the Institutes duties, and will do all in their power to promote, develop and extend the business of the Institute. The contractor will not, while contracted to the Institute, directly or indirectly engage or be engaged in, or be interested in, any other business of a similar kind where the potential for a conflict of interest may arise or exist without the consent in writing of the Institute. HOURS and PLACE OF WORK Hours worked and the place of work will be as required to fulfil the Institutes requirements, normally this will be at the St Jamess Campus, London SW1Y 6QY, and may be varied from week to week, in accordance with discussions with the Institutes management and to mutual satisfaction of both parties. The actual hours worked each week may vary according to the volume of work on hand. The payment prescribed in clause 4 of this contract includes payment for all services provided by the contractor, irrespective of the number of hours worked. The contractor is expected to maintain skills and knowledge of industry, relevant to their work, through appropriate activities such as further study, reading journals, attending seminars and industry work experience. Time spent at such activities will attract no additional payment; unless an arrangement has been made to the contrary.

REMUNERATION

The contractor shall, when and where appropriate, be entitled to claim the standard current remuneration rates for student assessment (ie. marking assignments and exams). The contractor shall be entitled to claim direct costs incurred which are clearly necessary to their work for the Institute, upon presentation of receipts, and where the spending has been approved by the Institutes management, either in principle or precisely, and in writing. The consultant shall submit invoices, no less than quarterly, to the Institute. Upon receipt, the Institute will pay the Fees to the Consultant as set out in clause 4.1 of this contract. Payments will be made to an account nominated by the contractor. TRAVEL FOR BUSINESS PURPOSES If the Institute desires the contractor to undertake significant travel for business purposes, the Institute will reimburse for second class public transport; or alternatively personal car use costs at double the amount of petrol used. When a claim is made, it must include all receipts and tickets. INSTITUTE shall be entitled to request petrol receipts if there is any dispute.

At all times, the means of transport will be determined and approved by the Institute, prior to any funds being committed. CONTRACT RENEWAL A contract may be considered for renewal at the end of a contract period. Remuneration rates specified in all contracts will normally be reviewed by the Institute within the autumn; each year, and be applied to any contracts that are renewed. CONTRACT EVALUATION The contractor will be required to participate from time to time, in work evaluation. Whenever any aspect of work by the contractor is evaluated and recorded in writing, the Institute will provide for a copy that documentation to the contractor. Methods used to evaluate performance may be varied in nature and scope, in line with the current state of affairs in the organisation. If an evaluation indicates that the contractors performance is not to the Institutes reasonable satisfaction, the contractor will be provided with a written statement of the performance

deficiencies. The contractor will have an opportunity to submit a written statement explaining any mitigating circumstances related to the performance deficiency; and outlining their plan for addressing the deficiencies. 7.5 Should the Institute still regard performance as unsatisfactory, following a reassessment of performance no less than one week, and not more than one month after the date of issue of the written statement, the Institute may terminate the contract in accordance with the provisions of this contract. RESPONSIBILITIES The contractor will be required to carry out tasks in accordance with procedures and tasks set down by the management of the Institute, in a way that supports, and never contravenes the smooth and consistent operations of the Institute. The contractor is deemed to have been engaged to contribute toward the successful operations of the Institute within the scope of their area of expertise, for the specified period of the contract; giving priority to those tasks which will have the greatest benefit toward furthering the business of the Institute Any Job Description for a contractors position will provide an outline of their primary duties and responsibilities at the time of commencement. The detail of such duties and responsibilities may be changed at the discretion of the Institutes management to reflect the requirements of the Institute, as it varies from time to time, and will be discussed with the contractor prior to implementation. Any changes to duties or responsibilities will be within the scope of the contractors ability to perform them. POLICIES AND PROCEDURES The contractor agrees to maintain awareness, and actively enforce and adhere to all policies and procedures, as issued by the Institute, and varied from time to time. Where a written Job Description has not been provided, the contractor is deemed to have been engaged to contribute toward the successful operations of the Institute within the scope of their area of experience and expertise, for the specified period of the contract; giving priority to those tasks which will have the greatest benefit toward furthering the business of the Institute. 10.1 The contractor will be provided with access to use physical facilities of the Institute, at its premises, during mutually agreed upon hours. 10.2 These hours will not include any time when the office is closed (eg. Christmas-New Year; Easter, night time and weekends), and/or at any time when services are reduced (eg. Institute Holidays). 10.3 The contractor may arrange to suspend their work, during the course of the contract, provided they give ample notice, and the time is mutually agreed upon by management. 11. 11.1 11.2 TERMINATION OF CONTRACT Either party may terminate the contract by giving 1 months notice in writing to the other party. Nothing in this clause will affect the Institutes right to terminate the contract at any time. In the event that the contractor:Commits any serious or persistent breach of the provisions of this contract; Is found to be guilty of any misconduct or wilful neglect in discharging the contractors duties;

Is found to be guilty of incompetence or behaviour which is, in the reasonable opinion of the Institute, prejudicial to the business or interest of the Institute; 12 RETURN OF COMPANY PROPERTY

12.1 Upon termination, the contractor will be required to promptly (a) (b) return to the Institute all property of the Institute under the contractors control or in the contractors possession; return to the Institute any material or information relating to the business or financial affairs of either the Institute or any party with which the Institute conducts a commercial relationship, which is under the contractors control or in the contractors possession. sign all documents and do all things that may be required to effect the continued business of the Institute.

CONFIDENTIALITY The contractor will not while engaged by the Institute or thereafter; without the Institutes prior written consent or as otherwise required by law; disclose directly or indirectly to any person for any reason other than the conduct of the contractors business any confidential information or information which might damage the Institute; which has come to the contractors notice during the period of this contract. Furthermore, the contractor will not during the period of the contract, or thereafter without the Institutes prior written consent or as otherwise required by law use any part of the Institutes confidential information other than is required in the performance of the contractors duties. For the purposes of this clause, 'confidential information' means information divulged to the contractor by the Institute or its management, in circumstances of confidence, where such information is not in the public domain. GENERAL PROVISIONS The provisions of this contract, including schedules, constitute the entire contract and are severable and if part or all of any clause of this contract is judged by a competent court of jurisdiction to be illegal or unenforceable, it will be severed from this contract and will not affect the continued operation or validity of the remaining provisions of the contract. This contract terminates and supersedes any prior oral or written contracts, agreements or understandings between the parties concerning the contractors engagement, and it constitutes the entire understanding between them. The contractor is expected to understand and abide by both national and international copyright law. Where the contractor is found to have breached copyright through plagiarism, or any other activity, the contractor shall be considered financially liable for their action. It is a condition of your contract that all ownership rights to any ideas, inventions and experimental work developed (including writing and images) by the contractor while employed by or as a direct result of employment by the Institute, will be vested with the Institute. The laws of England shall be the binding jurisdiction for this contract. Section headings are for information only and are not part of the contractual terms.

OTHER DOCUMENTS 15.1 Various working documents adopted by the Institute, constitute further terms and conditions of the contract. Schedule 2 (Insert Title -) Role and Responsibilities Example: The Module Leader is expected to support the Programme Leader in the management, delivery and marketing of the Modules for which they act as Leader. These can be classified into 4 categories as follows: Role 1 Quality Management and Enhancement Assist the Programme Leader in the development of the curriculum within the Modules Assist the Programme Leader in the monitoring and review the programmes of study as a whole Assist the Programme Leader in the review and write the Module leaders report in preparation for annual self-monitoring Assist the Programme Leader in the review/revalidation of the programme Attend Award Boards for programme Organise conferment/exclusion results in advance of Award Boards and prepare recommendations for individual students

Role 2 Pastoral Care and Student Support Assist academic and pastoral support for students studying on their Modules Help the Programme Leader in the organisation, design and delivery of those parts of the student induction specific to their Modules Answer student correspondence (including e-mails and letters) Attend programme social events at both induction and during the delivery of the programme Provide advice on career opportunities as appropriate and advice on educational opportunities

Role 3 Programme Management Assist the Programme Leader in the organisation and liaison, as appropriate, for residential, field trips and related social events Suggest nominations to the Programme Leader for prizes from among students on the programme

Role 4 Admissions Marketing and Recruitment Draft/edit prospectus entries, leaflets and other programme publicity material as directed by the Programme Leader Attend relevant publicity fairs, open days/evenings and similar recruitment events Facilitate the marketing and student recruitment staff in the decisions on applications for relevant programme when assistance is requested Support the programme activities related to building up external relations with external organisations through corporate events

Accountability/Reporting Leaders are accountable to Programme Leader in respect of the operational aspects of duties listed above.
