LEASE AGREEMENT This Lease Agreement made on this. _______t Day June 2011 at Gurgaon by Capt.

Sukhjit Singh Bindra S/o Col. K.S.Bindra & Ms. Sonia Bindra W/o Capt. Sukhjit Singh Bindra both R/o A-1605, Oberoi Parkview, Thakur Village, Kandivali East, Mumbai400101.(hereinafter referred to as The Lessor, which expression unless repugnant to the context mean and include his legal representatives, assigns, and successors in title) of the Other Part. BETWEEN Mr. Rohit Arora S/o Sh. Bharat Bhushan Arora having Indian passport no.H8454601 R/o B-339, Prashant Vihar, Delhi110085 (hereinafter referred to as The Lessee, which expression unless repugnant to the context mean and include his legal representatives, assigns, and successors in title) of the Other Part. Whereas the Lessor is the lawful owner in possession of residential Apartment No.B-403 situated at BPTP ParkLife, Sector-57, Gurgaon Whereas the Lessor has agreed to let out to the Lessee and the Lessee has agreed to take on rent the Apartment comprising Three Bedroom with attached bathrooms, Drawing Cum Dining, Kitchen.(hereinafter referred to as The Demised Premises) subject to and on the terms and conditions contained in this Agreement and; Whereas the Lessor has represented that the Demised Premises are free from all encumbrances and the Lessor has a clean and unrestricted right to the Demised Premises and is legally competent to enter into this Lease Agreement (the Agreement) on the terms and conditions contained herein. NOW THIS LEASE AGREEMENT WITNESSETH AS FOLLOWS:

That the Lessors being legally authorized to let out the Demised Premises known as B-403,situated at BPTP parkLife, Sector-57, Gurgaon and comprising Three Bedroom with attached bathrooms, Drawing Cum Dining, Kitchen, do hereby grant, demise and lease unto the Lessee, the Demised Premises subject to the covenants, conditions and agreements contained in this Agreement. That the lease shall be for a period of 12 months commencing from 15 th June 2011 to 14th June 2011. Subject to the other provisions in this Agreement, the lease shall stand automatically terminated and expire on the expiry of the period mentioned above. The Lease may be extended for a further period at the sole discretion of the Lessor only, with an increase of monthly rent or as per market rate. That the Lessee shall pay to the Lessor for the Demised Premises a monthly rent of Rs. 18,500/-(Eighteen Thousand Five Hundred Only) excluding of monthly maintaince charges which is paid by the lessee directly to the company & hand over the receipt to the lessor. The Lessee shall pay the monthly rent on or before 15th day of the month in advance of every month of the lease. . That the Lessee has deposited with the Lessor an interest free security deposit in the sum of Rs. 47,000/-(Rupees Forty Seven Thousand Only) which shall be refunded by the Lessor to the Lessee forthwith on the expiry or earlier termination of the lease for any reason whatsoever simultaneously upon handing over the Demised Premises to the Lessor. The Lessee shall not sub-let, assign or otherwise part with the possession of the Demised Premises to any one else or use the Demised Premises for any other purpose. The Lessee shall use the Demised Premises for the residential purpose only. That the Lessee shall pay all the charges for the electricity (power,light and backup) and water consumed in the Demised Premises during the period of this Agreement levied by the municipal or local authorities from time to time as per the readings and meters separately installed for the Demised Premises. The Lessee shall however not be liable for out going of any kind whatsoever for the period prior to the commencement date of this Agreement or after the expiry or termination thereof. That the Lessee will carry out the day to day minor repairs such as fuses, leakage of taps, replacement of bulbs, tube lights, lighting fittings, shades, fans with regulators and bearings, geysers with elements, thermostats and

connecting pipes, cisterns showers, sinks etc and other such repairs at his/her own cost. However, all major repairs, such as structural repairs, bursting of sanitary pipes, cracks etc shall be repaired forthwith by the Lessor as and when required. 9) That the Lessee has satisfied itself that all the water, sanitary and electrical installations are in good working order and also no mirrors and glass panes are broken or missing. Hereafter, the Lessee shall be responsible to maintain and restore them in the same condition, normal wear and tear excepted. That the Lessee shall not carry out any structural additions or alterations(temporary or permanent) to the Demised Premises without the written consent of the Lessor. The Lessee, however, shall have the right to install air conditioner units, coolers, exhaust fans and other electrical appliances, and shall on the expiry or earlier termination of the Agreement be entitled to remove all such units, appliances etc without any objection by Lessor. On vacating the demised premises the Lessee needs to pay the expenses all any damages while removing the A/Cs, exhaust fan etc installed by him. That the Lessee shall permit the Lessor or his/her dully authorized agents, etc upon reasonable prior notice to enter upon the Demised Premises for the purpose of inspection and/or to carry out any structural or major repairs as and when necessary at a mutually agreed time. It is understood that such repairs shall be carried out in a manner so as to cause least inconvenience and disturbance to the Lessee. That the Lessee shall comply with all the rules, conditions and regulations, laws and bye laws of the local authorities, municipal authorities or any statutory development authority or a Government department or agency with relation to the Demised Premises. That the Lessor shall pay all present and future corporation municipal rates, taxes, fees, levies and all other taxes, cesses and charges levied by the Government and the laws, rules and regulations of the Government and the local authorities as an owner would do. That the Lessor confirms that the Demised Premises has been connected to or provided with electricity and water supply in the Demised Premises for the consumption of the Lessee in a satisfactory manner, subject to force majeure circumstances. The Lessor hereby agrees that the benefits of such use of available electricity and water supply shall not be disturbed, withdrawn or interrupted by any action of the Lessor The Lessor covenants with the Lessee:

a) That the Lessee paying the rent herein reserved and observing and performing the terms and conditions on the part of the Lessee as herein contained shall be entitled to peacefully and quietly hold and enjoy the Demised Premises during the period of this lease free of any interference interruption or objection whatsoever from the Lessor or any person or persons whatsoever claiming through, under or in trust for the Lessor. b) That the Lessor shall indemnify and keep the Lessee fully indemnified and saved harmless from and against all damages, costs and expenses caused to or incurred by the Lessee, as a result of any defect in title of the Lessor which disturbs or interferes with the possession and enjoyment of the Demised Premises by the Lessee under the covenant set out in Clause 18(a). 17) The Lessee convenants with the Lessor and declares as under: a) That the Demised Premises are free from all encumbrances whatsoever and that he has not entered into any agreements or arrangement in any way disposing of or dealing with the Demised Premises or any part thereof/or the Lessors right title and interest in the Demised Premises, in any manner whatsoever. b) That the Lessor has the full right, absolute power and authority to deal with the Demised Premises upon such terms as he deems fit including by way of Lease upon the terms herein contained. c) Notwithstanding anything to the contrary herein contained or implied, if at any time during the continuance of the lease the Demised Premises or any part thereof shall be destroyed or damaged by fire, earthquake or the Demised Premises becomes unfit for the use by the Lessee as a result of any occurrence or circumstance beyond the Lessees control and which is not in the ordinary course, then and in that event the Lessee shall have the option to terminate this lease with immediate effect. 18) The Lessor and the Lessee agree that in the event the Lessee desires to vacate the Demised Premises before the expiry of the lease period as referred to in Clause 2, or the Lessor desires to get the Demised Premises vacated before the expiry of the Lease Period as referred to in Clause 2, both shall have the right to do so by giving to each other 30 days advance notice of their intention to do so, in writing or making payment of rent (in case the Lessee vacates) in lieu thereof. In the event of expiry of the Lease or any earlier termination of this lease, the Lessee shall hand over the vacant peaceful possession of the Demised Premises to the Lessor upon settlement of all accounts between the Lessee and

the Lessor, including any unpaid electricity/water bills and major damage, not of the normal course. That the Lessee shall on expiry of the lease period or earlier termination of the lease hand over the vacant possession of the Demised Premises to the Lessor in good condition subject to normal wear and tear arising from day to day use or from such causes as are beyond the control of the Lessee via fire, earthquake, floods etc. That any notice required to be served upon the Lessee shall be sufficiently served and given if delivered to it at the address first given above and duly acknowledged by the Lessee. 21) That any notice which may be required to be served upon the Lessor shall be sufficiently served and given if delivered to it at the address first given above ad duly acknowledged by the Lessor. That in the event of dispute, if any, the Lease Agreement is subject to the jurisdiction of the Court in Gurgaon Only.
