The above named at the said address do hereby agree to undertake work in the capacity as a subcontractor according to the rules and conditions of Squire Mech Engineering (Pvt) Ltd (SMEPL). Scope of Work: Work: This contract commenced on .. 2011 and valid up to complete the above project. Conditions : (1) Rates for the works to be submitted as per annexure 1 and those rates are not negotiable until complete the above project. (2) All necessary labours, machinery & equipments have to be deployed by the subcontractor.

(3) A store to be established and maintained by the sub-contractor to store weekly supply of any materials by the SMEPL and The Subcontractors materials & equipment. (4) A yard to be established and maintained to park his machinery and vehicles. (5) All the materials to be get certified by the relevant authorities prior to erection. (6) Sub contractors responsibility to maintain the mentioned standard as per the tender document. (7) If there any extra work, variation or unspecified item, it is sub contractors responsibility to get clarify before supply materials/erection. Work Force : Workface has to be maintained to suit the programme of the Site Engineer and their salary payments should be made by sub-contractor as per government requirement EPF & ETF should be covered by subcontractor. Payment Terms : The advance payment will be paid on the basis of 50% of the value of work done each work done at site recommended by the prior to payment date. The sub contractor should make sure to submit the relavant monthly bills approved by authorized Site representative based on the rates agreed. The bill payment will be paid on last Friday of each month. The sub-contractor should submitt the above approved bills 2 days prior to payment due date. Material reconciliation should be done by sub contractor before submission of monthly bill. Materials : Any material requirement per week should be requested by the sub-contractor in writing with the Site Engineers approval. SMEPL will deduct invoice cost + 5% of the invoice value for transport & administration charges if SMEPL supply the materials instead of the subcontractor. (Only valid if the subcontractors rates included materials). Standard of Work : In the event the company is not satisfied with the relavant standard of work, the sub-contractor will have to re-do such sub-standard work on his own expenses and the cost of materials/machinery & tools used for such abortive work will be deducted from the contractor. Extra Works & Variations : In all extra works or Variation works carried out other than agreed items of work before commencement of such work, the rate will have to be agreed with the authorized Site representative and the prior in writing approval will have to be obtained from the Head Office.

Retention : Retention of 5% of the value of work done to be held in each bill and will be retained until 12 months maintenance period effective from the date of total project hand over to the client. The retention will be released on the request of sub contractor after the approval by Site Engineer. Delay of Work: If the contractor is unable to complete the work on agreed duration Rs...00 per day will be deducted as penalty for the total duration of this delay. In the event if work of the sub contractor is delayed due to the fault of the SMEPL, payment for idling hours for machinery has to be paid by the SMEPL. Payment has to be calculated jointly with Site Engineer and sub contractor and agreed by Project Manager. I am agreeable for the above terms and conditions and the rates given in the schedule of works. (Annexure 1)
