NON-COMPLIANCE CHARGEBACKS Falabella objective is receive 100% floor ready apparel in our stores and Distribution Center. Floor Ready includes the following components: pre-ticketed, pre-hung on Falabella approved hangers, pre-folded to our store presentation requirements and shipped with minimal trash. The Floor Ready Specifications provided in this section cover all of requirements to successfully implement floor ready with Falabella. Compliance with Falabella pre-ticketing, folding, pre-hanging and trash-free requirements is a condition of business with Falabella. If you are unable to comply, Falabella requires that you reimburse us for the incremental cost of doing business with you. Falabella Sr. Buyers/Buyers will not have the ability to grant exceptions to this program or reverse Chargebacks. All chargeback disputes will handled through the Vendor Operations Helpline at (562)-380-2252 or mail to vendorhelpline@falabella.cl

COUNTERFEIT HANGER POLICY Falabella is committed to assisting in the protection of the unique worldwide patented hanger design of our designated supplier,. MAINETTI jleung@shanghai.mainetti.com contact Mr.John Leung In addition, the receipt of garments on non-conforming hanger undercuts Falabella goals of quality and consistency and slows the hanger reuse process. Therefore, Falabella enforces a Counterfeit Hanger Penalty Policy. The policy is as follows: In the event Falabella receives shipments with hangers and/or size caps that have been purchased by a Vendor from any resource other than MAINETTI, Falabella shall, at its discretion, assess a penalty against the vendor: a) First offense - a penalty in the amount of $.30 per unit. b) Second offense - a penalty in the amount of $1.00 per unit and Management review of the Vendors status as a Falabella resource. c) Third offense - a penalty of $2.00 per unit possible termination of the Vendor relationship. In addition, with any offense, the Vendor will be required to (i) prove that it has ordered approved hangers for any outstanding orders, and (ii) identify the factory/manufacturer that purchased and/or manufactured the non-complying hangers and/or size caps. The Vendors account will be placed on hold pending receipt of this information.

Counterfeit hanger penalties will, at Falabella option, be paid in cash, credited against other goods on order, deducted from outstanding Vendor invoices, or charged back against the Vendors account.

---------------------------------------------------------------------------------------------------------------------------FALABELLA PRETICKETING POLICY With our emphasis on guest service and floor ready product, it is critical that we work with our vendors to ensure that every item arrives in our distribution centers and stores preticketed correctly. Ticketing is vital to improving data intergrity and eliminating rework for our stores. To reinforce our commitment, Falabella implementd a policy in January 2002 that requires that every item must arrive preticketed by the vendor. Failure to preticket or ticket correctly may result in a vendor chargeback for the rework expenses incurred. VENDOR RESPONSIBILITIES
Vendors are responsible for procuring and applying all required price tickets, attachments and Owned Brand graphic tag and woven labels. Owned Brand tags and labels must be purchased from Falabella designated suppliers. Any costs associated with the procurement and applicaton of these trim items must be included in the vendors cost of goods. Immediately upon receipt, inspect all printed ticket information for accuracy. Vendors will be charged for ticket errors. Report any shortages or errors in the shipment to the supplier at once. Destroy any unused tickets, integrated hangtags or matchbooks at the end of the season. Apparel, intimates, shoes, accessory, beach towel, sporting goods and luggage vendors must review the Floor Ready Requirements for ticket placement on your product category. Vendors are responsible for the timely payment of all supplier invoices for price tickets, attachments, size strips, Owned Brand graphic tag and woven labels.
At time of commitment, the should obtain all required ticket information from the Falabella Buyer and adhere to the following ticketing specifications: Multiple Piece Items Only one (1) UPC is allowed on the product or package or package. Multiple piece products are allowed to have only one (1) ticket with a UPC applied to them. Packaged Product Ensure the UPC is securely attached to the product.
