PREAMBLE
We, members of the Philippine Association of Chemistry Students, Inc., in order to serve our nation, our community, and our scholastic institutions, establish ourselves into a united group that shall effectively embody our ideals and aspirations, to encourage academic excellence in chemistry, to advance scientific inquiry and expression, to promote the general welfare, and to recognize outstanding achievements in and in service to the chemical sciences, do hereby ordain and promulgate this constitution.

(1) To encourage academic excellence in chemistry, PACS, Inc. shall: (a) organize academic-related activities and projects that encourage intellectual inquiry in the study of science in general and chemistry in particular; (b) assist in the efforts of the universities, colleges, and schools in improving and maintaining high standards of instruction in chemistry; and (c) promote educational discipline and responsibility among its members so as to commit them to serving for the growth and development of chemistry. (2) To advance scientific inquiry, PACS, Inc. shall: (a) disseminate information among its member societies through reports, seminars, and publications, in cooperation with the various professional organizations for the advancement of chemistry in all its branches; and (b) provide updated information to its members regarding academic scholarships, study and research grants, job openings, and on-the-job training facilities. (3) To promote the general welfare, PACS, Inc. shall: (a) attend to the needs of the members and protect their rights and interests; (b) lead its members in the promotion of solidarity through socio-civic, cultural, physical, and recreational activities that increases the interaction of the different member societies; (c) coordinate the efforts of the member societies to make them more effective in service to their members; and (d) act as liaison officer between its members and the professional organizations it is affiliated with. (4) To recognize outstanding achievements in and in service to chemistry, PACS, Inc. shall grant citations and awards and confer honorary memberships as may be necessary in recognition of such.
ARTICLE 3 MEMBERSHIP
Section 1. Definition PACS, Inc. shall be composed of students duly organized into Chemical or Biochemical Societies officially recognized in their respective institutions. Section 2. Application for Membership (1) Any Chemical or Biochemical Society officially recognized by their respective institutions can apply for membership into PACS, Inc., in compliance with the requirements set and approved by the Executive Committee. (2) All applications for membership shall be managed by the Vice-President for Membership and the Membership Committee, and is subject to the approval of the Executive Committee.

(1) Continuing member societies and individual members of PACS, Inc. shall renew their membership annually at the first General Assembly meeting of the association year. (2) Renewal of membership shall be handled and validated by the Membership Committee and noted by the President. Section 4. Classification (1) Active member societies are registered societies that can regularly participate in PACS, Inc.s affairs. Individual members of these societies shall be known as active individual members. (2) Auxiliary member societies are registered societies that cannot regularly participate in PACS, Inc.s affairs upon the discretion of the majority of its individual members. The Executive Committee must be informed of such decision before the first General Assembly meeting of the association year. Individual members of these societies shall be known as auxiliary individual members. (3) Honorary members are individuals who had either distinguished themselves in the study and application of the chemical sciences or have contributed significantly to PACS, Inc. in achieving its objectives, and have been granted membership by the Executive Committee. Honorary members shall enjoy rights and privileges the Executive Committee may endow upon confirmation of membership. (4) Suspended members are officers of PACS, Inc. or individuals who belong to member societies that are subject to disciplinary proceedings. (5) Probationary members are officers of PACS, Inc. or individuals who belong to member societies whose suspension has been lifted. Section 5. Fees and Dues (1) Annual Society and Individual Membership Fees shall be paid by all member societies and individual members of PACS, Inc. All continuing active or auxiliary member societies and individual members of PACS, Inc. shall pay such fee upon the renewal and validation of their membership by the Membership Committee. (2) Society and Individual Membership Fees shall be decided upon by the Finance Committee and subject to the approval of the Executive Committee and the General Assembly. Any change to the Society and Individual Membership Fees to be recommended by the Finance Committee shall take effect immediately after such change is approved.

(6) Pay all fees and dues required by PACS, Inc. on or before the date set by the Finance Committee. (7) Help and assist other members in a manner to be specifically promulgated by an authorized body. (8) Fulfill other responsibilities as may be designated by the Executive Committee.

Duties of the Member Society Representatives It shall be the duty of the member society representatives to: (1) Join two working committees, subject to the provisions stipulated in Article 5, Section 5 of this Constitution and By-Laws. (2) Attend General Assembly meetings, and any committee meetings that shall be called by their respective committee chairpersons. (3) Inform the individual members of their society of the affairs of PACS, Inc. (4) Perform such other responsibilities as the Executive Committee or any working committee may designate. Section 5. Committee Membership (1) Each of the duly designated member society representatives shall join one committee, one representative from between the Operations and Finance Committees, and the other from between the Membership and Publications Committees. (2) All members of both the Operations and Finance Committees shall automatically be members of the Special Projects Committee. (3) All members of both the Membership and Publications Committees shall automatically be members of the Academic Committee. Section 6. Meetings (1) The General Assembly shall convene regularly twice a month. An attendance of fifty percent plus one shall constitute a quorum. (2) A majority vote of those in attendance shall be necessary for the approval of all contracts, business transactions, and any undertaking to be entered into by PACS, Inc. All resolutions and motions approved by the General Assembly shall be binding on all members. (3) Special meetings of the General Assembly may be called by any officer or upon a petition of at least one-third of the members of the General Assembly, both with the approval of majority of the Executive Committee, and shall have the requirements and authority of a regular meeting. (4) Committee meetings of the different working committees shall and may be called as necessary by any of the committee chairpersons. Any such meeting shall be recorded, and must be reported at the General Assembly or Executive Committee meeting immediately following it.

(4) In case any one of the Faculty Advisers resigns or takes a leave of absence, the Executive Committee shall immediately elect a replacement not later than twenty days after notification.

(8) Be the chairman of the Constitutional Commission whenever a proposal or initiative to amend or revise the Constitution and By-Laws is passed to and approved by the General Assembly. (9) Exercise powers and perform other duties that the Executive Committee or General Assembly may designate. Section 3. The Secretary The Secretary shall: (1) Be in-charge of disseminating information regarding General Assembly and Executive Committee meetings. (2) Keep all records of proceedings and resolutions of the General Assembly and Executive Committee, and shall update PACS, Inc.s records as necessary. (3) Be in-charge of the transmission of directives, memoranda, and resolutions to the General Assembly and Executive Committee. (4) Be an ex-officio member of all the working committees together with the President and Rules Minister and shall coordinate all their operations. (5) Preside in all cases of disciplinary actions if and when the Rules Minister is the subject of, or included in, such. (6) Together with the President, submit an annual report to the General Assembly on the results of the operations, programs, projects, and activities of PACS, Inc. for the association year. (7) Exercise powers and perform other duties that the Executive Committee or General Assembly may designate. Section 4. The Vice-President for Operations The Vice-President for Operations shall: (1) Be in-charge of all external and operational correspondence of PACS, Inc. (2) Be in-charge of all inter-organization activities of PACS, Inc. (3) Be the liaison officer between PACS, Inc. and the faculty; and if possible, between PACS, Inc. and its alumni from the different member societies. (4) Be the chairman of the Operations Committee. (5) Exercise powers and perform other duties that the Executive Committee or General Assembly may designate. Section 5. The Vice-President for Finance The Vice-President for Finance shall: (1) Be the custodian of the funds of PACS, Inc. and shall be responsible for its general financial management. (2) Sign all checks, bills, accounts, and countersign the disbursement of funds as authorized by the Executive Committee.

(3) Issue notices of fees and dues payable as approved by the Executive Committee and shall take charge in the collection of such. (4) Issue notices of delinquency to member societies with standing financial obligations. (5) Submit a financial report detailing the financial standing of PACS, Inc., signed by both the President and the Auditor, before the last General Assembly meeting of the association year. (6) Be the chairman of the Finance Committee. (7) Exercise powers and perform other duties that the Executive Committee or General Assembly may designate. Section 6. The Vice-President for Membership The Vice-President for Membership shall: (1) Be the liaison officer between PACS, Inc. and all the member societies and individual members. (2) Be in-charge of attendance during General Assembly meetings and activities of PACS, Inc. (3) Attest to all certificates of membership and to all recommendations for disciplinary actions against any member society or individual member. (4) Procure the requirements for membership and manage the application of any society applying into PACS, Inc. (5) Be the chairman of the Membership Committee. (6) Exercise powers and perform other duties that the Executive Committee or General Assembly may designate. Section 7. The Vice-President for Academic Affairs The Vice-President for Academic Affairs shall: (1) Be in-charge of the promotion of the educational well-being of all members of PACS, Inc., especially in the chemical sciences. (2) Be in-charge of the preparation and organization of all academic activities PACS, Inc. may organize or take part in. (3) Be in-charge of assigning members that will take part in all academic activities outside PACS, Inc. (4) Be the chairman of the Academic Committee. (5) Exercise powers and perform other duties that the Executive Committee or General Assembly may designate. Section 8. The Vice-President for Special Projects The Vice-President for Special Projects shall: (1) Be in-charge of the preparation and organization of all activities that promote the physical, recreational, and socio-cultural well being of all members of PACS, Inc.

(2) Be in-charge of assigning members that will take part in all socio-civic, recreational, and cultural activities outside PACS, Inc. (3) Be in-charge of any other activity directed by the Executive Committee to the Special Projects Committee. (4) Be the chairman of the Special Projects Committee. (5) Exercise powers and perform other duties that the Executive Committee or General Assembly may designate. Section 9. The Vice-President for Publications The Vice-President for Publications shall: (1) Be in-charge of the dissemination of information regarding PACS, Inc. and its activities. (2) Be in-charge of all publications and all media or press releases that would be needed in carrying out the objectives of PACS, Inc. (3) Be the editor-in-chief of PACS, Inc.s official newsletter. (4) Be the chairman of the Publications Committee. (5) Exercise powers and perform other duties that the Executive Committee or General Assembly may designate. Section 10. The Auditor The Auditor shall: (1) Oversee the finances of PACS, Inc. and shall ensure that all financial transactions are carried out according to the budget set by the Vice-President for Finance. (2) Together with the President, countersign all disbursement receipts from PACS, Inc.s funds and financial reports from the Vice-President for Finance. (3) Be the custodian of all organizational properties and shall submit a detailed annual property report of PACS, Inc. before the last General Assembly meeting of the association year. (4) Be the chairman of the Auditing Committee. (5) Exercise powers and perform other duties that the Executive Committee or General Assembly may designate.

(2) Be responsible for establishing contacts with persons, agencies, associations, and organizations outside PACS, Inc. in connection with the activities, projects, and operations of PACS, Inc. (3) Be responsible for student-faculty relations, and if possible, relations with PACS, Inc.s alumni. (4) Take charge of solicitations and donations to PACS, Inc. Section 2. The Finance Committee The Finance Committee shall: (1) Be chaired by the Vice-President for Finance. (2) Organize and take charge of fund-raising projects and other income-generating activities of PACS, Inc. (3) Conduct financial studies and submit feasibility reports of any project or activity PACS, Inc. may wish to undertake. (4) Take charge and be responsible for the collection of fees and dues from all member societies. Section 3. The Membership Committee The Membership Committee shall: (1) Be chaired by the Vice-President for Membership. (2) Be responsible for member to member relations. (3) Keep a list containing general information of all individual members of PACS, Inc., and submit such list if necessary or needed. (4) Deliberate on member society resignations and handle the prosecution in all cases of disciplinary actions. Section 4. The Academic Committee The Academic Committee shall: (1) Be chaired by the Vice-President for Academic Affairs. (2) Strive for the encouragement of academic excellence in the study of science in general and chemistry in particular. (3) Promote scientific awareness and stir the scientific interests of the members of PACS, Inc through academic-related activities. (4) Manage all academic-related activities and projects of PACS, Inc. Section 5. The Special Projects Committee The Special Projects Committee shall: (1) Be chaired by the Vice-President for Special Projects.

(2) Organize and manage all activities that promote the social, cultural, recreational, and physical development of the members. (3) Organize and manage activities that promote the general welfare and solidarity of the member societies. (4) Be responsible for the procurement of supplies in all activities, projects, and undertakings of PACS, Inc. Section 6. The Publications Committee The Publications Committee shall: (1) Be chaired by the Vice-President for Publications. (2) Be responsible for the dissemination of information regarding PACS, Inc. and its activities. (3) Act as editors of the official newsletter of PACS, Inc. (4) Take charge of all publications and the contents therein, and its distribution to each of the member societies. Section 7. The Auditing Committee The Auditing Committee shall: (1) Be chaired by the Auditor. (2) Be composed of the Auditor, the President, the Rules Minister, and the Secretary. (3) Examine the records of the Vice-President for Finance and ensure the necessary safeguards in the administration of PACS, Inc.s funds. (4) Maintain an inventory of all organizational properties and attest to the annual property report that shall be submitted by the Auditor.

(4) If a member society fails to attend or ignores any invitation to discuss its resignation, it shall be deemed to have been expelled from PACS, Inc. as approved by the Executive Committee. Section 2. Resignation from Office (1) Any member of the Executive Committee not under impeachment may resign from his office upon submission of a letter of resignation or intent to resign to both the President and the Rules Minister. (2) The Executive Committee shall deliberate on the resignation of any officer, and shall approve the resignation by a majority vote. (3) If the Executive Committee finds no merit in an officers reasons for resigning his office, he shall be suspended for a maximum period of thirty days. (4) Any member of the Executive Committee who is dismissed or discharged from his society or institution for academic or disciplinary reasons shall be considered to have resigned from office as approved by the Executive Committee. Section 3. Expulsion of Member Societies (1) Any member society may be expelled for the following reasons: (a) unauthorized representation of PACS, Inc.; (b) using the name of PACS, Inc. in bad faith; (c) culpable violation of the Constitution and By-Laws; (d) dishonorable and disorderly conduct during activities and meetings of PACS, Inc.; (e) insubordination; (f) gross negligence of its duties to the association; and (g) lack of interest in the activities and affairs of PACS, Inc. (2) If any member of the General Assembly files a formal complaint under oath against any member society, such complaint shall be deliberated upon by the Executive Committee. (3) If after the deliberation it has been established that there is basis for the complaint(s), the Executive Committee shall request the society officers and its representatives to attend special proceedings or discussions pertaining to its expulsion from PACS, Inc. (4) If the Executive Committee, by a two-thirds vote, files a formal complaint under oath against any member society, discussions with the society concerned shall proceed at the soonest possible time after such action is approved. (5) Proceedings concerning the expulsion of any member society of PACS, Inc. shall at all times be recorded and must be terminated and resolved within thirty days from the time of the first dialogue with the member society concerned. (6) All decisions shall be given by a two-thirds vote of the Executive Committee through the Rules Minister or Secretary, and shall be final and binding. (7) The decision(s) shall be transmitted and circulated to all members of the General Assembly not later than one week after the decision(s) has or have been given.

(1) Any officer may be removed from office for the following reasons: (a) using the name of PACS, Inc. in bad faith; (b) culpable violation of the Constitution and By-Laws; (c) malversation of funds; (d) dishonorable and disorderly conduct during activities and meetings of PACS, Inc.; (e) insubordination; (f) gross negligence of his duties as a member of the Executive Committee; and (g) lack of interest in the activities and affairs of PACS, Inc. (2) Individual members of PACS, Inc. can file a formal complaint under oath to remove or suspend from holding office any member of the Executive Committee. Such complaint must be endorsed by a majority of the active member societies. (3) The Executive Board acting as a body can recommend to the General Assembly or Executive Committee to remove or suspend from office any member of the Executive Committee. (4) All formal protests and recommendations against an officer of PACS, Inc. shall be deliberated upon by the Executive Committee excluding the officer concerned. (5) If after the deliberation it has been established that there is basis for the complaint(s), the Executive Committee shall request the officer concerned to attend special proceedings or discussions pertaining to his impeachment. (6) The proceedings shall at all times be recorded and must be terminated and resolved within thirty days after the Executive Committee has received the complaint. If no decision is reached within that time, the petition to impeach shall be dismissed. (7) All decisions shall be given by a two-thirds vote of the General Assembly, through the Rules Minister or Secretary, and shall be final and binding. (8) Any member of the Executive Committee removed from office through impeachment shall be prohibited thereafter from holding any elective office of PACS, Inc. Section 5. Probation and Suspension (1) Any member society or officer of PACS, Inc. under inquiry for expulsion or impeachment, respectively, shall automatically be suspended and will remain in such status for the duration of the proceedings. (2) During this period of suspension, the member society loses its first four rights as enumerated in Article 4, Section 1 of this Constitution and By-Laws; the individual members on the other hand lose their first three rights as enumerated in Article 4, Section 2 of this Constitution and By-Laws. The concerned, however, shall retain their duties as members of PACS, Inc. (3) Suspension, and the lifting of such status, shall be given by the Rules Minister or the Secretary. (4) In case any member society or officer of PACS, Inc. is suspended, and after such status has been lifted, the member society or officer shall be under probation for sixty days and shall only be allowed a limited number of absences as set by the Executive Committee or General Assembly.

(5) Member societies or officers of PACS, Inc. under probation are not allowed to vote in any undertaking of PACS, Inc. that requires such. (6) If the maximum number of absences is reached, the member society or the officer concerned shall automatically be expelled from PACS, Inc. or removed from office, respectively. Section 6. Dissolution of the Executive Committee (1) The Executive Committee, for reasons aforementioned in Article 10, Section 4, of this Constitution and By-Laws, or through a vote of no confidence, can be dissolved by the Executive Board upon submission of a written recommendation to both the Faculty Advisers of PACS, Inc. endorsed by all of the member society Presidents. (2) The Faculty Advisers shall deliberate upon receipt of such recommendation. If it has been established by the Advisers that the complaint has basis, they shall notify the Executive Committee of such complaint. (3) The Executive Board shall then convene and proceed without delay to discussions concerning the reasons for dissolution. These shall be recorded at all times and must be terminated and resolved within thirty days after the Faculty Adviser had received such recommendation from the society Presidents. If no decision has been reached after thirty days, then the motion or resolution to dissolve the Executive Committee shall be dismissed. (4) Decisions regarding this matter shall be given by a two-thirds vote of all the members of the Executive Board in attendance. The decision shall be final and binding. (5) No motion or resolution to dissolve the Executive Committee shall be initiated or authorized more than once within an association year.
ARTICLE 11 ELECTIONS
Section 1. The Commission on Elections (1) The Commission on Elections shall be composed of all outgoing members of the Executive Committee not seeking reelection. (2) It shall be chaired by the Rules Minister, who shall preside over all election proceedings and meetings of the Committee. Quorum shall be established by a simple majority. (3) It shall prescribe the manner of general and special elections, supervise all election procedures, count votes, and proclaim election results. (4) It shall hear and decide on all election protests. The decision of the commission on all matters pertaining to the elections shall be final and binding. (5) If in case the Rules Minister is seeking reelection or is unable to perform his duties as chairman, the Secretary shall assume the chairmanship of the commission. (6) If in case the Executive Committee is dissolved, the Executive Board shall assume the powers of the Commission on Elections.

(1) Candidates for all positions must be recognized individual members of any active member society for the previous association year. (2) Candidates for office must not hold any elective or appointive position of responsibility in their respective society, school, college, or university whose term of office is concurrent with the terms of office of PACS, Inc. (3) Any candidate for President must be a member of the Executive Committee of the previous association year. (4) Candidates for President and Rules Minister must be in their third year of undergraduate study at the time of election. (5) Any candidate for Auditor must not be from the same school, college, or university as any of the candidates for the position Vice-President for Finance. (6) No individual member of PACS, Inc. shall hold the same position after two consecutive terms. Section 3. Voting Procedures (1) Voting shall be done by secret ballot. (2) Each member society shall have at most two votes, one for each duly designated representative, regardless of the number of a member societys representatives in attendance. (3) If there shall only be one representative for a member society, then that member society shall have at most, one vote. (4) Members of the Executive Committee or any candidate for any position in the general elections shall not be allowed to vote. Section 4. Electoral Process (1) The general elections for the officers of PACS, Inc. shall be held not later than the last week of March, at the designated time and place to be decided by the Commission on Elections. (2) Certificates of candidacy and any other related requirements for all positions must be submitted to the Commission on Elections not later than one week before the day of the election. (3) The formal presentation of candidates shall be done on the day of the election. (4) Candidates obtaining a simple majority of the votes cast shall assume the position. (5) In case of a tie for a position at stake, the candidate obtaining the majority of the votes from all members of the Executive Board in attendance not running for such office shall assume the position. Section 5. Special Elections (1) In case a lone candidate fails to obtain a majority of the votes, a special election shall be held.

(2) Any vacancies resulting from resignations, impeachment of officers, or expulsion of member societies shall be filled by special election to be called by the Commission on Elections within a period not exceeding twenty days after the acceptance of resignation and expulsion. (3) Special elections to fill vacancies shall be called for by the Executive Board not later than twenty days after the motion to dissolve the Executive Committee has been passed.

(5) Copies of the proposed amendments or revisions in its final form shall be disseminated to all member societies not later than two weeks before the plebiscite. The copies shall be attached to their respective appendices without altering the original copies. (6) The Commission shall be headed by the Rules Minister. Section 3. Ratification (1) Any amendment to, or revision of, the Constitution and By-Laws of PACS, Inc. shall be valid by a two-thirds vote of all active member societies, represented by their respective Presidents. (2) Any amendment or revision to this constitution and by-laws shall take effect only after the expiration of the term of the incumbent Executive Committee during which such amendments or revisions were approved. (3) The names of the signatories that ratified each amendment or revision to the Constitution and By-Laws of PACS, Inc. must be appended to the new version of the Constitution and By-Laws. (4) Any amendment or revision to the Constitution and By-Laws shall be invalidated if it does not comply with the above-mentioned provisions.

ARTICLE 13 EFFECTIVITY
This Constitution and By-Laws of the Philippine Association of Chemistry Students, Inc., revised on the 23rd day of April, 2005, and ratified on the 21st day of August 2005, shall be final and binding.
