Posting Date June 27, 2011 POSITION: Volunteer Committee Members PURPOSE: Skills for Change is Looking for

volunteer committee members to join our governance and finance committees. WHO WE ARE: Skills for Change is a non-profit, charitable organization that has been serving immigrants and refugees since 1982. We specialize in offering language training, skills upgrading, employment preparation programs, and settlement services to internationally educated professionals and trades people. We have a staff of 90 employees, four locations throughout the GTA and an annual budget of approximately $6 million. RESPONSIBILITIES: We are seeking committee members to take an active role in the governance and finance committees of the organization. Finance and Audit Committee Committee members act as advisors to the board of directors who are the custodians of the assets of the organization, and who in turn guard the financial viability of the organization from undue risk. In order to perform this task the committee must: Review the monthly internal financial statements to ensure they truly represent the financial position of the organization and recommend those statements to the board for acceptance or rejection; Recommend the appointment of external auditors of the organization to the board; Review the annual audited statements and audit report as prepared by the external auditors and recommend to the board their acceptance or rejection; Make recommendations to the board as it sees fit related to financial, custodial and risk management issues which will allow the board to perform its duties. Formulate/review/update financial policy and internal controls over financial reporting, e.g. cheque signing authority, working capital policy, expense claim guidelines, etc. and recommend to the board for approval.

Governance Committee Committee members oversee the effectiveness of the Board and its Committees through the establishment of policies and processes to monitor and improve performance. It also oversees the development of policy to assist the ED in the management of the Agency. In order to perform this task the committee must: Review of the by-laws or proposed changes to the by-laws of the Agency Develop policies and procedures (other than those relating to the finances, controls and operational risks of the Agency) and develop and monitor a process of policy renewal. Process the nomination of Directors and Officers Create of a nomination slate of Directors for the AGM Provide orientation of new Directors and succession planning for Directors and Officers Create policies relating to the mandate and structure of Board Committees Process the evaluation of the performance of the Board, its Directors and its Committees SKILLS, EDUCATION & ATTRIBUTES: Financial management experience Previously responsible for organizational governance Experience in developing and implementing strategic planning processes Keen interest in improving the community. Ability to make the minimum time commitment.
