AGREEMENT This agreement of Consignment Agency entered on ___ day of April 2011 between M/s __________________________ having its

registered office at ______________________________________ and Manufacturing unit at ____________________________________ through its Authorized Signatory ___________________ (hereinafter referred to us as "The Principal") and M/s N E Enterprises having its registered office at Plot No. 107, Nepali Kashiram Village, Dimapur- 797112, Nagaland hereinafter referred to as "The Agent"). Whereas the Agent has come forward to act as Consignment Sales Agent of The Principal and the parties are desirous of reducing into writing the terms and conditions of the consignment sale agency for the sale of the products manufactured by The Principal including "___________" Meals Ready to Eat. That The Agent shall be responsible for the safe custody and storage of the goods received from time to time from the Principal. That The Agent shall take registration under the Sale Tax Laws and shall take License and other permission that may be required from the State, Central, Municipal etc. That The Agent shall sell the goods according to the prevailing best profitable market rates and as per the instructions to be given by The Principal from time to time. That The Agent shall hold the goods of The Principal as the property of The Principal and shall not be entitled to offer such goods as security and borrow money or take loans by pledging the goods of The Principal. That The Agent shall pay all freight charges on behalf of the Principal for transportation.

That The Agent is authorized to draw commission, brokerage, loading and unloading charges, bank commission, insurance, postage and telegrams etc. paid on behalf of the Principal and the same expenses is to be noted in the Sale Statement (note) rendered by the Agent to the Principal along with supporting evidence and The Agent will issue the Statutory Forms "F" to The Principal at periodical intervals. That The Agent shall maintain all accounts as prescribed under the Local Sale Tax Act including day to day register of goods received and sold and sent to The Principal when required. That The Agent is responsible to collect tax whatever necessary from the buying dealers and the same shall be paid to the respective Sale Tax Authorities and send the proof of deposit to The Principal. That any tax liability or any legal proceedings arising out of any irregularity of operations or negligence on part of The Agent, The Principal shall not be responsible in this regard and stands fully indemnified by the Agent. That the agent is liable to get commission as mutually understood between The Principal and The Agent.

TERMINATION OF AGREEMENT
1.

That The Principal shall stop the supply of goods to The Agents in case if The Agent is found violating any of the conditions of this agreement. On termination of this agreement the agent shall surrender all stocks of goods to the principal lying with him and thus account fully of the stock of the principal goods. This agreement of consignment sales agency shall be for a period of three financial years w.e.f. - 2011-12, 2012-13 and 2013-2014 and may be renewed on written agreement for such further term.

This agreement is subject to appropriate Jurisdiction, with the abovementioned condition between both the parties.
