DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS: This Deed of Sale entered into this 9th day of July 2010 by and between: PLANTERS PRODUCTS, INC., a corporation duly organized and existing under and by virtue of the laws of the Republic of the Philippines, with office address at 109 PPI Bldg. Esteban Street, Legaspi Village, Makati City, represented herein by its duly authorized Officer-in-Charge, JOHN PAOLO ROBERTO A. WHEREAS, The VENDEE has offered to purchase the above-described motor vehicle from the VENDOR on an As Is Where Is basis and the latter has accepted said offer; NOW, THEREFORE, for and in consideration of the foregoing premises and of the mutual covenants and stipulations of the parties, the VENDOR hereby SELLS, CONVEYS, TRANSFERS AND CEDES the abovedescribed motor vehicle to the VENDEE on an As Is Where Is basis and free from any lien and encumbrances under the following term and condition, to wit: 1. PRICE - That in consideration of the sale of the motor vehicle, the VENDEE shall pay the VENDOR the amount of ONE HUNDRED SEVENTY THOUSAND PESOS ONLY (P170,000.00) Philippine Currency, receipt of which shall be acknowledge from the VENDEE by the VENDOR; 2. TRANSFER AND REGISTRATION EXPENSES - That in consideration of the sale of the motor vehicle, all expenses relating to the transfer and registration of the said motor vehicle shall be for the account of the Vendee; 3. LIABILITY - The VENDEE shall be free from any legal or contractual liability consequent upon an accident involving the vehicle and that the VENDEE shall fully assume responsibility for such liability upon the effectivity of this sale.
