BY LAWS
2010 Revision
ARTICLE I
Name

The name of this organization is the DOUGLAS COUNTY REPOUBLICAN CENTRAL


COMMITTEE (referred to as the central committee in the balance of these bylaws).

ARTICLE II
Purpose

Section 1. The general purposes of the central committee are:


A. Promoting, preserving and protecting sound, honest and representative
government at all levels;
B. Promoting, preserving and protecting the dignity, rights and liberties
of the individual;
C. Encouraging the citizens of this county, state and country to
maintain their constitutional liberties and freedoms by not allowing
any level of government to do those things for people that they can
do as well individually or collectively for themselves;
D. Upholding the Constitutions of the United States of America and
the State of Nevada.

Section 2. The specific objectives of the central committee are:


A. Providing leadership for and management of the affairs of the
Republican Party in Douglas County, Nevada;
B. Electing; encouraging and promoting Republican Party candidates
in all levels of government by:
1) Building and maintaining an active party organization;
2) Recruiting and supporting strong, qualified candidates;
3) Raising adequate funds;
4) Maintaining solid precinct organization to assist in registration
drives;
5) Assisting candidates;
6) Encouraging Republican Party members to vote.
C. Supporting Republicans in office;
D. Informing Republican Party members and the general electorate on
Republican philosophy, issues, candidates and office holders
through political education and activities;
E. Promoting and encouraging participation by all Republicans in
party activities;
F. Promoting and encouraging loyalty to the Republican Party and the
Party's ideals.

ARTICLE III
Members

Section 1. Voting Members


A. To be eligible for membership in the central committee, a person
must be a registered Republican voter in Douglas County, Nevada
and must physically reside in the precinct the person represents;
B. Members of the central committee, elected at the county convention,
serve for a period of two (2) years and until their successors have been
elected;
C. Voting members are counted in determining a quorum of the central
committee. They may vote and make motions.
D. Each member must keep the secretary advised of his/her correct
address and telephone numbers;
E. It is each central committee member's responsibility to be familiar with
these bylaws;
F. A member of the central committee must not actively and openly
support a candidate of another political party or an independent
candidate for any public office. A member of the central committee
may support and independent candidate for non-partisan office
provided there is no candidate registered as a Republican seeking the
same non-partisan office.

Section 2. Resignation, removal and replacement of members:


A. Members may resign from the central committee by notifying the chair
of the central committee in writing. Resignations are effective as of
the date specified in the letter of resignation. If not date is specified in
the letter of resignation, the resignation becomes effective the date it is
received by the chair of the central committee.
B. The executive committee must consider the removal of a member of
the central committee after written notification to the member for the
following reasons:
1) The member's failure to appear in person at three (3) consecutive
regular meetings;
2) The member's failure to support and adhere to the general purposes
and specific objectives of the central committee as provided in
Article II;
3) The member's violation of Article III, Section 1. F.
4) Other good cause as found by the executive committee.
C. The executive committee must present its recommendations at the next
regular meeting of the central committee, at which time the central
committee must take appropriate action in accord with NRS 293.157(2)
D. Vacancies in central committee membership may be filled between
county conventions by the central committee by:

1) Approving the election of a qualified Republican elector physically


residing in the precinct for which the vacancy exists;
2) A person must satisfy the requirements of Article III, Section 1. of
these bylaws in order to be elected to fill a vacancy in the central
committee;
3) Any person elected pursuant to this paragraph serves until the next
county convention and his/her successor has been elected;
4) Applications for membership must be presented at a regular
monthly meeting for nomination and at one of the next (2) two regular
monthly meetings [and] be voted upon before they can become a
voting member.

Section 3. Honorary members:


A. Honorary members include, but are not limited to the following
individuals, unless they are voting members of the central committee:
1) The immediate past Douglas County Central Committee chair;
2) Current presidents of county and Nevada Republican Women
Clubs;
3) Current presidents of nationally recognized Nevada Republican
auxiliary groups officially recognized by the Nevada State
Republican Party'
4) Republican legislators representing Douglas County in the Nevada
Legislature'
5) Republicans elected to public office in Douglas County;
6) Officers of the Republican State Central Committee residing in
Douglas County;
7) Members of the Republican National Committee residing in
Douglas County.
B. Honorary members have not vote, may not make motions and must not
be counted in determining a quorum of the central committee.
C. Honorary members must receive written notification of and be
encouraged to attend all regular meetings of the central committee.

Section 4. Associate members:


A. Associate members include, but are not limited to the following
individuals:
1) Republicans waiting for vacancies on the central committee;
2) Former central committee members who are not able to actively
participate in central committee meetings but wish to continue their
association with the central committee;
3) Republicans wishing to receive information from the central
committee such as the newsletter;
4) Republicans wishing to assist with central committee events.
B. Associate members have no vote, may not make motions and must not
be counted in determining a quorum of the central committee.

C. Associate members must receive written notification of and be


encouraged to attend as well as participate in all regular meetings of the
central committee.

Section 5. Total membership:


Honorary and associate members are not counted in determining the number
of central committee members as prescribed in NRS Section 293.143.

ARTICLE IV
Officers

Section 1. Election, term of office, resignation and replacement


A. The officers of the central committee are the chair, vice-chair
representing East Fork Township, vice-chair representing Tahoe
Township, recording secretary, corresponding secretary, and a
treasurer.
B. Officers must be elected by the members of the central committee at
their March meeting of each odd numbered year during a regular
meeting of the central committee.
C. Officers serve for a period of two (2) years from the adjournment of
the meeting at which they are elected and serve until their successors are
duly elected. Officers are eligible for re-election to their positions.
D. Vacancies in any elected central committee office must be filled by
special election of the central committee at the next regular meeting of
the central committee. Any member elected to a central committee
office pursuant to this paragraph serves the unexpired term of the officer
the member replaces.
E. Officers of the central committee have general charge of the affairs of
the Republican Party in Douglas County and have the powers usually
exercised by these officers, subject to the election laws of the State of
Nevada and the Nevada Republican State Central Committee Bylaws.

Section 2. Duties of the officers:


A. The Chair:
1) Presides at all meetings of the central committee and the executive
committee;
2) Oversees officers and committees;
3) Calls to order the county convention for the purpose of electing a
temporary chair of the convention;
4) Appoints the chair of standing committees and any special
committees as needed;
5) Represents the central committee on the state central committee at
other functions and in any other capacity as may be required by
virtue of the chair's position.

B. Vice-Chairs
1) First Vice-Chair
a) Resides in the same township as the chair and in the chair's
absence, must perform all the duties of the chair;
b) Represents the central committee on the state central committee
in accordance with Article VI, Section 1, A, 3, b of these bylaws.
2) Second Vice-Chair:
Resides in the other township than that of the chair and must in
the absence of the chair and the first chair, residing in the
township of the chair, perform all the duties of the chair.
3) Responsibilities of vice-chairs:
a) Each in their respective township is responsible for precinct
organization and coordination;
b) Ensure that all precincts are represented on the central
committee;
c) Keep a list of candidates to fill precincts;
d) Direct precinct chairs and workers in canvassing voters;
e) Register Republicans to vote;
f) Encourage people to vote;
g) Assist with organizing Republican activities.
4) Perform other duties as may be assigned.
C. Recording Secretary:
1) Keeps a current record of names, addresses (physical and mailing),
telephone numbers and emails of central committee members by
precinct;
2) Takes roll at each central committee meeting for the purposes of
determining that a quorum is present to conduct business and to
maintain a record of attendance;
3) Keeps accurate minutes of all meetings'
4) Is the custodian of all records of the central committee and its
standing or special committees;
5) Records retained for three (3) years;
6) Performs other duties as assigned.
D. Corresponding Secretary:
1) Mails notices of meetings to all members, including honorary and
associate of the central committee, unless responsibility assigned by
the chair to someone else;
2) Prepares all regular correspondence of the central committee;
3) Provides each prospective member of the central committee with:
a) Copy of the central committee bylaws;
b) Application form;
c) List of member responsibilities;
d) Copy of Republican Philosophies.
4) Perform other duties as assigned.

E. The Treasurer
1) Receives and is custodian of all monies and financial records of the
central committee and keeps an accurate account of all monies
received and disbursed;
2) Disburses money owed with proper authorization from the central
committee or the executive committee. All checks must have the
signature of at least two (2) of the following officers: the chair, the
vice-chairs, recording secretary and the treasurer;
3) Maintains accounts in approved banks or institutions for any
temporary committee;
4) Reports at each central committee meeting and makes full and
complete report at the county convention;
5) Makes an accounting of the funds on deposit, revenues and
expenditures of the central committee available to the executive
committee at all times;
6) Submits all books of account, vouchers and receipts for audit,
biennially, immediately prior to the expiration of each term of
office;
7) Is informed of and complies with all federal, state and local statutes
and regulations regarding the collection, management, disbursement
and reporting of political party funds;
8) Performs other duties as assigned.

ARTICLE V
Meetings

Section 1. Central Committee:


A. Regular meetings:
1) Regular meetings of the central committee will be held at the call of
the chair on the second Thursday of each month at 7:30 P.M.,
unless, otherwise ordered by the central committee or the executive
committee and may alternate between the valley and the lake areas
of the county;
2) With proper cause, the chair may cancel or continue a meeting at
his/her discretion;
3) A minimum of nine (9) meetings must be held annually;
4) All members of the central committee must receive from the
corresponding secretary written notice of the call for all regular
meetings at least five (5) days prior to the date set for the meeting;
5) Meetings of the central committee can either be open to non-
members of the committee (who by general consent may be granted
the courtesy of speaking) or conducted in executive session at the
discretion of the chair or other presiding officer. However, if a
majority of the members of the central committee present so desire,
the chair must declare the meeting to be in executive session;

6) Each voting member of the central committee has one (1) vote;
7) One-fourth (1/4) of the voting members of the central committee
constitute a quorum for the transaction of business. No business of
the central committee shall be transacted at any meeting unless it
has been determined that a quorum of the voting membership is
present.
B. Special meetings of the central committee shall be:
1) At the call of the chair;
2) Or on written request of ten (10) members of the central committee,
other than members of the executive committee, delivered to the
recording secretary;
3) All members of the central committee must receive from the
corresponding secretary notice of the call for any special meeting at
least forty-eight (48) hours before the date and time set for the
meeting.

Section 2. Precinct meetings:


A. Precinct meetings for all registered Republican voters in Douglas
County are the responsibility of the central committee. These precinct
meetings must be called and conducted in accordance with NRS
293.135 and 293.137;
B. All registered Republican voters residing within that precinct are
entitled to attend and participate in precinct meetings;
C. the purpose of the precinct meetings is to elect delegates to the county
convention and make recommendations for the county platform.

Section 2. County convention:


A. The purpose of the county convention is to:
1) Elect delegates t the Nevada Republican State Convention;
2) To adopt a county platform;
3) To elect a county central committee.
B. The county convention for all registered Republican voters in Douglas
County is the responsibility of the central committee to call at a time and
date set by Douglas County Republican Central Committee, to be held
each year in which a general election is held;
C. Any registered Republican residing in Douglas County is entitled to
attend this convention. However, only delegates elected at their
precinct meeting are eligible to vote;
D. Each precinct is entitled to one or more delegates in the convention in
accordance with NRS Section 293.143.
E. The notice for the county convention must be given in compliance with
NRS Section 293.130.

ARTICLE VI
Executive Committee

Section 1. Members of the executive committee:


A. The executive committee consists of:
1) Elected officers;
2) The immediate past chair
3) Any Additional Representatives elected to serve on the state central
committee;
a) The central committee shall elect these representatives to the
Nevada Republican State Central Committee, elected at its first
meeting following the election of the central committee at the
county convention;
b) The chair and first vice-chair shall be automatic representatives;
c) The number of Additional Representatives to the state central
committee is determined on the basis of one Additional
Representative for each 2,000 Republican voters, or major
fraction thereof, in \Douglas County as of the first Monday in
January in each year in which a state convention is held;
d) These additional Representatives to the state central committee
serve two (2) year terms.
4) Three (3) members-at-large from the East Fork Township and three
(3) members-at-large from the Tahoe Township, elected by the
central committee at its first meeting following the election of the
central committee at the county convention.
B. Purpose of the executive committee:
1) The executive committee is the governing body of the central
committee between central committee meetings and conventions;
2) The executive committee transacts any necessary business on
behalf of the central committee between regular meetings of the central
committee;
3) Makes recommendations regarding policies of the central
committee;
4) Advises the chair.
C. Meetings of the executive committee:
Meetings of the executive committee are held at the call of:
1) The chair;
2) Or on the written request of at least five (5) members of the
executive committee, giving notice to the chair who shall issue a
call for the meeting within three (3 days of receiving notification;

3) Members are to be given at least forty-eight (48) hours notice of any


executive committee meeting.
Section 2. Vacancies on the executive committee:
A. A vacancy in an elective office of the executive committee must be
filled by the central committee in accordance with Article IV, Section 1,
D.
B. During a vacancy in the office of chair, the first vice-chair will
exercise the powers and perform the duties of the chair.

ARTICLE VII
Committees

Section 1. Standing committees:


A. Standing committees include, but are not limited to, publicity, finance,
candidate recruitment, audit, budget and bylaws.
B. Creation of any standing committee must be appointed by the chair of
the central committee.
Section 2. Special committees:
A. Special committees may be appointed by the central committee chair as
needed;
B. The committee will serve no longer that the time needed to accomplish
the task for which they are assigned.

ARTICLE VIII
Parliamentary Authority and Interpretation of Bylaws

Section 1. Parliamentary authority:


The most recent edition of Robert's Rules of Order must govern all
proceedings of the central committee except when those procedures are inconsistent
with these bylaws.

Section 2. Interpretation of bylaws:


Nothing contained in these bylaws must be interpreted in a manner contrary to
the provisions of the election laws or statutes pertaining to political parties,
which are codified in the Nevada Revised Statutes or the Republican Party of
Nevada Bylaws.

ARTICLE IX
Amendments

Procedure:
A. These bylaws may be amended at the county convention by a majority
vote of the delegates;
B. These bylaws may be amended by a two-thirds vote, at any meeting of
the central committee, providing proper notice is given;
C. If time does not permit an amendment to be presented at one meeting of
the central committee and voted on at the next meeting, then the
proposed amendment must be set forth, in full, in a written notice to
each member, at least fourteen (14) days prior to the meeting when it
will be presented for vote.

Adoption:
These bylaws are adopted this 27th Day of February, 2010 at the Douglas County
Republican Central Committee Convention
