LEASE DEED AGREEMENT

THIS LEASE AGREEMENT made and executed at Gurgaon on this 16th day of January 2011.

BY AND BETWEEN

Mrs (Herein after referred to as “THE LESSOR” which Expression shall mean and
include their successors, legal representatives, executors, Administration or assigns) of the One
Part.

AND

Mr.
Herein after referred to as “THE LESSEE” which expression shall mean and include their
successors, legal representatives, executors, administrators or assigns) of the Other Part.

WHEREAS the Lessor is the absolute owner and in possession of the premises , more
fully described in the schedule and herein after referred to as “THE SCHEDULED
PREMISES.”AND WHEREAS the Lessor has agreed to lease and the Lessee has agreed to take
on lease

‘THE SCHEDULED PREMISES” along with flooring, roofing, lighting, plaster, furnishing and
paint for the purpose of residential use on the terms and conditions hereinafter set out.

NOW THIS AGREEMENT WITNESSES AND THE PARTIES HERETO AGREE AS

1. That in consideration of the rests hereby reserved and in the terms, condition and
Covenance of the lease contained and on the part of the parties to be observed and
Performed the Lessor hereby agrees to grant and the lessee hereby agrees to accept a
Lease of the Scheduled Premises.

2. RENT AND SECURITY DEPOSIT

a) That the lessee shall pay a sum of Rs. 17,750/- (Rupees Seventeen thousand five
hundred only) excluding maintenance charges, per month as to the Lessor. The
lessee shall also pay the monthly maintenance charges to the society association.

b) That lessee hereby agrees to pay an amount Rs. 35,500/- (Rupees Thirty Five
thousand five hundred only) as an interest free refundable security Deposit (equivalent to 2
month of rent) which has to be paid by the lesse in two equal installments of Rs 17,750 each on
17th January, 2011 and 1st February, 2011, respectively. The Lessor undertakes that interest free
refundable security deposit shall be forthwith refunded on expiry or earlier termination of the lease
subject to conditions mentioned in the agreement.

3. LEASE DURATION RENEWAL

a) The lease will be initially for a period of 24 months commencing from 16th of
January, 2011 to 15th of January, 2013.

b) The rent is to be paid on every 16th of the month.

c) Either party can give 30 days notice to vacate the premises in between the lease
duration with assigning any reason.

d) The rent post a period of 12 months will increase by 10%.

e) The lease can be extended further for the period of another 11 months on mutually
agreeable terms and conditions.

4. TAXES, DEPOSITS, ASSESSMENT CHARGES

The Lessor shall pay all taxes, Deposits, Assessment Charges and other outgoings whatsoever
of every description including corporation charges which under the statue are primarily
leviable to the lessor.

5. ELECTRICITY & WATER CHARGES


The Lessee shall pay electricity and water charges utilized for the scheduled premises.
6. THAT LESSEE CONENANTS WITH LESSOR AS FOLLOWS

a) That the Lessee shall keep the scheduled premises in a fit and proper state and
ensure no structural damage.

b) That the Lessee shall carry out routine repairs of water or sanitary or phone line,
electrical fixtures and other fittings therein whatsoever necessary at his/her own cost or expense.

c) Neither make nor permit anyone to make any structural alteration in the scheduled
premises without the prior written consent of the lessor except provision of decorations fittings and
fixtures, air-conditioning etc. which may be considered necessary. Incase any structural damage
occurs the lessee is liable to repair it.

d) That the lessee may not use the said premises for any other purpose except for the
purpose of his residence.

e) The residence will not be further given on rent, Sub-let to anyone.

f) The lessee shall return the furniture and fittings to the lessor in good working
condition.

7. THE LESSOR COVENANTS WITH THE LESSEE AS FOLLOWS.

a) The Lessor has assured the lessee that they are the owners and Possessed of the
rights of the scheduled premises and are in a position to grant this lease and they will also keep the
lessee harmless of any demands, claims, actions or proceedings by others in respect of the
possession of the scheduled premises.

b) The Lessor has declared and confirmed that the scheduled premises is not a subject
matter of any HUF and is also not owned by any minor.

c) It is here by confirmed by the Lessor that they have cleared all dues and payment
and in particular all dues of the builder and corporation taxes that they may be liable to pay on any
account for the scheduled premises before execution of this lease agreement.

d) The lessor will provide the furniture and fittings mentioned in Annexure A.

e) Assignment/ Sale: The lessor shall have the right to sell the demised premises in
full to any third party(ies) during the time of the lease and the lessee shall not have any objection
to same.

8. TERMINATION THE LEASE

The lease shall be terminable under all or any of the following circumstances namely:

a) In the event of any non payment of the rent by the lessee for a period of two
consecutive months.

b) In the event of breach by either party of the terms conditions and covenants hereof.

c) That if the scheduled premises or any part of it is severely damaged or destroyed


due to any unforeseen circumstances or civil commotion, act of god, etc. and these damages be not
restored to be the lessor within a reasonable time or if the scheduled premises is acquired
compulsorily by any authority.

9. HANDING OVER THE POSSESSION

a) The Lessee shall deliver back the vacant possession of the scheduled premises to the
Lessor immediately on termination of the lease.

b) At the time of handing over the peaceful vacant possession by the Lessee to Lessor, the
Lessor shall immediately refund the interest-free security deposit to the Lessee.

c) The lessor reserves the right to make deductions from the security deposit for any damage
done to the property beyond reasonable wear and tear.

10. The courts in Gurgaon alone shall have jurisdiction in all matters arising out of this
transaction.

SCHEDULE

All that pieces part and parcel of the premises at Flat No. S-605, 6th Floor, AWHO, Sohna
Road, Sector-49, Gurgaon-122001.

IN WITENESS WHEREOF the parties hereto have set their respective hand and deal to this
Agreement on the day, month and year first herein above written.
