Project Proposed: Structured Finance( Corporate Restructuring)

Description of Project in brief:

Corporate restructuring presents a significant challenge to companies; integrating previously


distinct companies or business units requires a clear understanding of how each organization’s
process will affect communal structure, technology requirements, and employee morale. As each
organization comes together, it brings its own diverse systems and applications, which contribute to
an increasingly complex IT infrastructure.

Project covers the various aspects of corporate restructuring covering Mergers and Acquisitions and
international Take overs in detail. This project aims at analyzing the needs, forms, various aspects,
effects, advantages and disadvantages of corporate restructuring. The most common form of
corporate restructuring are mergers/amalgamations, acquisitions/takeovers, financial restructuring,
divestitures/demergers and buyouts. The Report will put more emphasis on finer aspects of M&A
from an integrated strategic perspective, i.e., not limited to finance or human resources alone,
assumes significant importance.

Deals are forever on the increase. This year, notwithstanding the massive global meltdown in the
aftermath of the Sub-prime crisis, the consequent tapering off of Private Equity-led going private
transactions which had only recently reached dizzying heights. Indian business houses, not
forgetting new technology companies, which seem to be relatively less directly affected, should see
many attractive global opportunities in this domain in the near term, as, depressed valuations of
many businesses are bound to be the order of the day.

The intent is to address the most critical issues in all aspects of Corporate Restructuring. The Report
will start with an introduction to the various types and forms of Corporate Restructuring. Therefore
develop an appreciation of M & A as one of the strategic levers for creating sustained profitable
growth rather than as an end in itself. Understanding the phenomenon of Merger Waves would help
to appreciate why there is a periodic clamor for M & A and then, just as suddenly, why the frenzied
activity just tapers off and dies, only to resurface again with even more enthusiasm during the next
economic boom. Such understanding would help to improve skills in avoiding the usual pitfalls and
in making M & A work better. In developing this understanding the report will need to go beyond
economics and draw insights from institutional theory, strategy, and other inter-related disciplines.

Objective of the Project:


• Recognize situations in which restructuring can add significant value or create opportunity
• Identify the best restructuring options for a specific problem or challenge
• Use financial valuation and credit analysis to measure the potential value gains available
through restructuring
• Manage the complex accounting, tax, legal, and regulatory issues that characterize many
restructuring actions, avoiding pitfalls that can delay or derail the process
• Emphasis on finer aspects of M&A from an integrated strategic perspective, i.e., not limited
to finance or human resources alone, assumes significant importance.

Methodology:
Research on restructured finance, special emphasis on Mergers and takeovers .
Including the live case studies of international as well as domestic takeovers.
Any other Details: The report will also cover the other aspects of structures finance
which will include the taxation, Legal, Procedural aspects of Structured Finance

Limitations of the Study:

• A common problem with all research Project is Data availability. Information on


restructuring Strategy and motivation is difficult to obtain.
• Mergers and Acquisitions process also need the managers own inside instinct and view
about various assumptions and this could not be reflected in this research report.
