SALE DEED

THIS SALE DEED is executed at Marakkanam


on this the ------ Day of --------- 2015,

BY

M/s. MANJU FOUNDATIONS PVT. LTD., (PAN No. AAFCM2511C) a company


incorporated under the Companies Act, 1956, having its registered office at
No.8, Sapthaswara Apartments, 2nd Floor, First Avenue, Ashok Nagar, Chennai
–600 083, represented by its Authorized Signatory one Mr.S.CHELLAKANNAN,
Son of Mr.Seeni, aged about 36 years, residing at Maraikhan Kudieruppu
Vandal (Po), Ilayangudi Taluk, Sivagangai District, Pin code - 623 710
(D.L.No.F/TN/063/002166/2004), vide Board Resolution dated ----------------
to sign and execute the deeds on behalf of the company for the Schedule
mentioned property, hereinafter referred to as the “VENDOR” which term shall
mean and include wherever the context so requires or permits its legal
representatives, executors, administrators, nominees, successors, successors-
in-title and assigns of the ONE PART;

TO AND IN FAVOUR OF

Mrs.SUNDHUS ISTHAPARAK .K ( ) wife of Mr.S.Akbar Ali,


aged about 33 years, residing at 49,Dharmaraja koil
street,Vandavasi,Thiruvannamalai District.604408. (Contact No.9894755563)
hereafter referred to as the “PURCHASER”, which term shall mean and
include wherever the context so requires or permits her legal heirs, legal
representatives, executors, administrators, nominees and assigns of the
OTHER PART;

WHEREAS the VENDOR represented to the PURCHASER the large extent


of lands situated at Keezhpettai village, measuring Acre 1.89 Cents in
R.S.No.67/6 (Old Survey No.126/2,4) and Acre 2.87 Cents in R.S.No.69/3
(Old Survey No.126/1,8) in Keezhpettai Village was owned by Selvaraj
Gounder, Lakshmipathy, Manivannan and Durairaj. They sold the
said properties along with some other properties total measuring Acre
10.87 Cents in Keezhpettai Village to and in favour of M/s. Sri
Ponniamman Educational Trust, represented by its Power Agent
J.V.Pandurangan, by Sale Deed dated 06.03.1992, registered as Document
No.274/1992, at the Office of the Sub-Registrar, Marakkanam.

WHEREAS the said M/s.Sri Ponniamman Educational Trust, represented by its


chairmen V.Pandurangan sold and conveyed the properties measuring 0.52
Cents out of Acre 1.89 Cents in R.s.No.67/6 (Old Survey No.126/2,4) and
Acre 2.87Cents in R.S.No.69/3 (Old Survey No.126/1,8 to and in favour of
M/s.Heritage Colonial Partnership firm, (registered as No.110/2004 in the
registrar of firms, Pondicherry) represented by its partner Mr.Bruno Paul
Julien Goutaland Rosset De Greysier, by way of sale deed dated 04.11.2004,
registered as document No.2361/2004, on the file of the Sub Registrar office at
Marakkanam.

WHEREAS the above said M/s.Heritage Colonial Partnership firm dissolute by


way of Deed of Retirement and Dissolution dated 16.03.2006, after dissolution
of a partnership firm Mr.Bruno Paul Julien Goutaland Rosset De Greysier has
got a peaceful possession ownership and enjoyment of the above said
properties.

WHERAS the all revenue records mutated in the name of Mr.Bruno Paul Julien
Goutaland Rosset De Greysier, bearing Patta No.286 for the schedule

mentioned properties; the same has been issued by Deputy Tahsildar of Head
Quarters, Tindivanam.

WHERAS the aforesaid Mr.Bruno Paul Julien Goutaland Rosset De Greysier


has created a private welfare trust named as ARAVINDARAJ BRUNO PRIVATE
WELFARE TRUST for the beneficiary of Master.ARAVINDARAJ BRUNO by way
of Declaration of Trust executed at Pondicherry, on 03.12.2009 and registered
as Document No.1180/2009, in the registrar office at Pondicherry.

WHEREAS the aforesaid Mr.Bruno Paul Julien Goutaland Rosset De Greysier


has settled the above said properties to and in favour of ARAVINDARAJ BRUNO
PRIVATE WELFARE TRUST, represented by its trustees for the time being
Mr.Bruno Paul Julien Goutaland Rosset De Greysier and M/s. Law Solvers for
the beneficiary of Master.ARAVINDARAJ BRUNO, VENDOR herein, by virtue of
a Deed of Settlement dated 07.12.2009, registered as Document
No.4028/2009, on the file of the Sub Registrar Office at Marakkanam.

WHEREAS the vendor is in the absolute ownership possession and enjoyment


as of 25-09-2014 by virtue of deed of declaration of private trust dated 03-12-
2009 and registered as document No.1180/2009 of Book-IV in the District
Registrar’s Office, Puducherry, of land properties to an extent of 13.61.988
Acres.

WHEREAS the VENDOR has appointed and retained his father Mr.Bruno Paul
Julien Goutaland Rosset De Greysier as his General Power of Attorney agent to
deal with the above said properties, Comprised in Re Survey Numbers 41/1B
(Old S.No.127/1), 41/2B (Old S.No.127/2), 41/3B (Old No.127/3A), 41/4B
(Old S.No.127/3B), 41/5B (Old S.No.127/3C), 67/6A (Old S.No.126/2,4),
67/8A (Old S.No.126/2B), 68/2 (0ld S.No.119/9A & 126/2,14), 69/1 (Old
S.No.126/2,15) and 69/3B1 (Old S.No.126/1,8) to an extent of total measuring
Acre 13.61.988 cents. By virtue of a General Power of Attorney dated
26.12.2014, registered as document No.4200/2014, on the file of Sub Registrar
office at Marakkanam and the same was cancelled by the Principal on
26.02.2015, registered as Document No.546/2015, at the office of Sub
Registrar, Marakkanam.

WHEREAS the VENDOR sold and conveyed the properties comprised in Re


Survey Numbers. 41/1B (Old S.No.127/1), 41/2B (Old S.No.127/2), 41/3B
(Old No.127/3A), 41/4B (Old S.No.127/3B), 41/5B (Old S.No.127/3C), 67/6A
(Old S.No.126/2,4), 67/8A (Old S.No.126/2B), 68/2 (Old S.No.119/9A &
126/2,14), 69/1 (Old S.No.126/2,15) and 69/3B1 (Old S.No.126/1,8) totally
measuring to an extent of Acre 6.80.05 Cents (2.75.51 Hectares) to and in

favour of M/s. MANJU FOUNDATIONS PVT LTD, represented by its Managing


Director Mr.K.M.Vidhyasagar, by way of sale deed dated 26.02.2015, registered
as document No.547/2015, on the file of Sub Registrar office at Marakkanam
WHEREAS the VENDOR had converted the above said Survey Numbers along
with some other Survey Numbers into layout of Farm Lands and named it as
“BARUNA BEACH ”.

WHEREAS the VENDOR has got right, title and interest and further the
VENDOR has got unfettered authority to convey the above said property to
anyone.

WHEREAS the VENDOR herein offered to sell and the PURCHASER evinced
interest to buy the Farm Plot No.214, which is marked orange in colour in the
attached layout plan sanction, measuring to an extent of 1724 Sq.Ft,
comprised in Old Survey No.126/1,8 and R.S Nos. 69/3B1, in the project
named as “BARUNA BEACH” situated at Keezhpettai Village, Marakkanam
Panchayat Union Limit, Tindivanam Taluk, Villupuram District, which is more
fully described in the Schedule hereunder, for a sale consideration of sum of
Rs.86,200/- (Rupees Eighty Six Thousand Two Hundred Only), And the
VENDOR has also agreed to convey the said Schedule mentioned property unto
the PURCHASER herein, for the said price or consideration.

NOW THIS DEED OF SALE WITNESSES THAT:

1. That in pursuance of the aforesaid agreement and the entire sale


consideration of the sum of Rs.86,200/- (Rupees Eighty Six Thousand Two
Hundred Only), paid by the PURCHASER to the VENDOR and the receipt of
which sum, the VENDOR hereby admits, acknowledges and releases the
PURCHASER from any further payment obligation, the VENDOR hereby
gives, grants, transfers, conveys and sell to unto the PURCHASER by way of
absolute sale of Farm Plot No.214, which is marked orange in colour in
the attached layout plan, measuring to an extent of 1724 Sq.Ft, comprised
in Old Survey No. 126/1,8 and R.S No.69/3B1, in the project named as
“BARUNA BEACH”, situated at Keezhpettai Village, Marakkanam
Panchayat Union Limit, Tindivanam Taluk, Villupuram District, which is
more clearly described in Schedule hereunder free from all encumbrances.

2. That the VENDOR hereby assures the PURCHASER that the VENDOR has
got full absolute and indefeasible proprietary right to sell the schedule

property to the PURCHASER and no one else has any right vested or
contingent which are in any way derogate from the absolute indefeasible
proprietary right and interest in the property hereby conveyed.
3. That the VENDOR hereby assures the PURCHASER that the VENDOR has
not done or knowingly suffered any act or deed or thing by which the title to
the schedule property herein has in any manner affected or hampered.

4. That the VENDOR hereby assures and indemnifies the PURCHASER that
there are no encumbrances, mortgages, charges, and land acquisition
proceedings, whatsoever over the schedule property.

5. That the VENDOR hereby further covenants with the PURCHASER that all
taxes, rates betterment charges, Kist and other public charges in respect of
the said land have been paid up to the date of this indenture.

6. That the VENDOR’S contribution being limited to and having provided the
land for road space as set out for the common use of all the Purchasers and
Owners of other plots in the project at free of cost.

7. That the VENDOR shall at all times at the request and cost of the
PURCHASER execute and do every lawful assurance and things for the
further or more perfectly assuring the said property unto the PURCHASER
as by herself be reasonably required.

8. That the VENDOR hereby covenants with the PURCHASER that


he will sign and execute any letter, application, deed or anything
that may be required for the mutation of names in the Revenue
and the Municipal Property Tax Register, Water Supply and
Sewerage connection and Deposit Account and Transfer of Patta and
Electricity connection service and further covenant to co-operate with the
PURCHASER in doing such acts, deeds and things as and when required to
do so. The VENDOR herein further doth declare that he has “NO
OBJECTION” whatsoever for mutation of names in the respective registers.

9. That the VENDOR has on this day handed over vacant possession of the
schedule property to the PURCHASER along with copies of previous Sale
Deeds prior to this indenture and also with copies of other relevant
documents pertaining to the schedule Property and the PURCHASER hereby
acknowledges the same.

SCHEDULE PROPERTY

All that piece and parcel of Farm Plot No.214, which is marked orange in
colour in the attached layout plan, measuring to an extent of 1724 Sq.Ft,

comprised in Old Survey No.126/1,8 and R.S No.69/3B1, in the project


named as “BARUNA BEACH”, situated at Keezhpettai Village,Marakkanam
Panchayat Union Limit, Tindivanam Taluk, Villupuram District,
Bounded on the:
NORTH BY : Farm Plot No.171,
SOUTH BY : 40 Feet Road,
EAST BY : Farm Plot No.214A,
WEST BY : Farm Plot No.213,

and with the following linear measurements:


East to West on the Northern side - 30 Feet,
East to West on the Southern side - 30 Feet,
North to South on the Eastern side - 57 Feet and 6 Inches,
North to South on the Western side - 57 Feet and 5 Inches,

Situated within the Sub Registration District of Marakkanam and Registration


District of Tindivanam.

The Market value of the Schedule Property Rs.86,200/- (Rupees Eighty


Six Thousand Two Hundred Only),

IN WITNESS WHEREOF BOTH THE PARTIES HAVE SIGNED THIS SALE DEED
