MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This MEMORANDUM OF AGREEMENT is entered by and between:

, Filipino, of legal age, and a resident of , and represents

and herein referred to as the CONTRACTOR for brevity ;

FERDINAND C. AMARILLO, MAYLINDA E. MOY, OMAR R. MANGALIMAN, GEORGE M. BANGKAS AND

PERCIVAL V. ALISASIS.

WITNESSETH THAT:

WHEREAS, CONTRACTOR has business interest related to construction/development of roads, vertical

and horizontal buildings, warehouse, terminals and ports , houses and office ; construction supplies
,CCTV, Solar facilities and related services and products;

WHEREAS, the BROKERS has offered to the CONTRACTOR the facilitation / brokering/acquiring, of
projects for the CONTRACTOR .

WHEREAS, the parties are capacitated to enter into a contract and to freely make legitimate covenants
and stipulations therein ;

FOREGOING PREMISES considered, the parties have hereunto voluntarily agreed on the following
covenants:

1. 1. The BROKERS shall receive commission from the CONTRACTOR on the projects that it will be
able to acquire for and accepted by the CONTRACTOR ;

2. The CONTRACTOR agrees to the following commissions and releases of commissions.

a. Upon release of the 30% down payment on the project the CONTRACTOR
shall release 8% of the project cost minus the taxes to the BROKERS.

3. Parties agree that suits arising out or related to this agreement shall be cognizable by
any court of competent jurisdiction in .
IN WITNESS WHEREOF, the parties have hereunto affixed their signatures this day ,
