SALE BY INSTALLMENT

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT made by and between –

MELCHOR C. CAÑETE III, of legal age, Filipino, married to Grace R. Cañete

and a resident of 17 Fatima Village, Tacloban City, hereinafter referred to as the
SELLER; and

ATTY. NILDA ARCALES TORREVILLAS, of legal age, Filipino, married and with
postal address at Catbalogan, Samar, hereinafter referred to as the BUYER,

WITNESSETH: That

SELLER agrees to sell and BUYER agrees to buy AS IS WHERE IS:

1. TRANSIT MIXER, Fuso (Fighter) 6 cyl. 6-wheeler, motor # 15-540478,

Serial/Chassis # FK316c-520974 in the name of Melchor Cañete III under
Certificate of Registration # 81406192, Plate # GMN-823 @ P350,000.00

2. ROAD ROLLER, TS30 Tire roller L#901 @ P75,000.00

3. 54 pcs. Steel forms # P700 each @ P37,800.00

For a total of FOUR HUNDRED SIXTY TWO THOUSAND EIGHT HUNDRED PESOS
(P462,800.00) ONLY.

For the aforedescribed motor vehicles/heavy equipments received, the BUYER

promise to pay the seller on installment basis for a term of ( ) months from the date
hereof, and to be paid in conformity with the specifications hereunder stated:

This CONTRACT shall be governed by the Civil Code on sale by installment.

It is further agreed, covenanted and stipulated by and between the parties

hereto that the SELLER will execute and deliver to the BUYER an absolute deed
of sale upon the full payment by the BUYER of the unpaid balance of the
purchase price hereinabove stipulated; meantime, the above described motor
vehicles/heavy equipments subject of this contract are delivered to the BUYER,
but shall pass to, and be transferred in the name of the BUYER only upon
complete payment of the full price above agreed upon.

It is further agreed, covenanted and stipulated that should the VENDEE

fail to pay for ____________ consecutive installments when due, or otherwise fail
to comply with any of the terms and conditions herein stipulated, then this Deed
of Conditional Sale shall automatically and without any further formality, become
null and void, without need of judicial declaration of rescission.
