DEED OF CONDITIONAL SALE

KNOW ALL MEN BY THESE PRESENTS:

I, DANIEL L. CANONIGO, of legal age, Filipino citizen, married and a

resident of San Roque, Tolosa, Leyte, representing the Heirs of Castor Canonigo
Sr., administrator of the Estate of Teodote Canonigo, hereby agree to sell to
BERNARDO CINCO, of legal age, Filipino citizen, and with postal address at
Tolosa, Leyte, a parcel of land in San Roque, Tolosa, Leyte, known as Lot No.
2495, covered by Tax Declaration No. 00298 (Year 2006) containing an area of
3,142 square meters more or less, in the name of Teodote Canonigo
(deceased)/Administrator Castor Canonigo (deceased), for a total consideration
of TWO HUNDRED FIFTY THOUSAND PESOS (PhP 250,000.00), Philippine
Currency, to be paid under the following conditions:

1) The downpayment of P100,000.00 shall be paid prior to the execution

of this Contract to Sell; to be used for the redemption of the land
subject of sale from Rebecca Calda Salisbury c/o Victorina Calda in
the amount of P74,300.00, and the remaining balance of P25,700.00
as related expenses for the preparation and signing of the Deed of
Absolute Sale by all the Heirs of Castor Canonigo Sr.;

2) The balance of P150,000.00 to be paid upon the signing of all the

Heirs of Castor Canonigo Sr. of the Deed of Absolute Sale and the
fulfillment of the above conditions.

ACKNOWLEDGMENT

17567604 issued on March 8, 2006 at Tolosa, Leyte, known to me to be the
