DANGEROUS GOODS
Due to our compliance to the Land Transport Rule – Dangerous Goods 2005,
no Dangerous Goods can be transported by Airfreight. Therefore orders
containing Dangerous Goods may take additional time for delivery by road

Orders amounting to $250 or more (excluding GST) will be dispatched freight

That under the terms of the Privacy Act (1 July 1993) you irrevocably authorise
any person or company to provide us with such information as we may require
in response to our credit enquiries. That you authorise us to furnish to any
third party, details of your credit application and any subsequent dealings that
you may have with us as a result of such application being actioned by us.

The term “Contract” means these terms of trade themselves together with any
and every invoice or other document evidencing or describing, whether by
item or kind or otherwise, any Goods. The Contract forms the basis on which
we supply and sell Goods to you. Each such supply and sale shall be effected
pursuant to the terms of this Contract (unless in any specific case agreed
otherwise in writing). Any invoice or other document evidencing or describing
any Goods is incorporated into and forms part of the Contract.
PAYMENT
Preferred method of payment is by credit card. We accept Visa, Mastercard
and we also accept cheques or payment can be made directly into our bank
account. For cash accounts, the cheque and/or direct credit payment must be
cleared before goods are dispatched.
CREDIT ACCOUNT TERMS
Payment is required in full on or before the 20th of the month following date
of invoice.

about you for the purpose of assessing your credit application, credit worthiness
and credit information (including for the purpose of seeking information from
a credit reporting agency and referees provided in your application). The
information which may be given includes particulars of your identity, the fact
that you have applied for credit and the amount of such credit and information
about any defaults by you. You further consent to us disclosing information
about you to our subsidiaries, parent company agents and advisers. Customer
information may also be used by us for account servicing purposes.
We may at any time in our sole discretion withdraw the provision of credit to
you.
The term “Contract” means these terms of trade themselves together with any

ENFORCEMENT AND PPSA
The term “Goods” means all vitamins, supplements, and nutritional products
and all other goods or other property which, in each case, are supplied by us
to you.
The risk of loss or damage to the Goods shall pass to you on delivery.
Property in the Goods shall not pass from us to you until you have paid all
monies outstanding from you to us on any account in full.

You grant to us a security interest, as defined in the Personal Property
Securities Act 1999 (New Zealand) (“PPSA”), in the Goods and their proceeds,
and in all your present and after acquired property, and you acknowledge that
the granting of the security interest gives rise to remedies of repossession of
the Goods in accordance with the PPSA or otherwise where we seek to enforce
our security interest.
You agree to store the Goods separately and mark them so as to render
them identifiable as being made from or with Goods which are our property.
Further, you agree to advise us of the whereabouts of the Goods and allow us
to inspect the Goods.
You will, at our request, promptly execute any documents, provide all
necessary information and do anything else required by us to ensure that our
security interest in the Goods is perfected in accordance with the PPSA with
such priority as we require.
You waive your rights under the PPSA to receive a copy of any verification
statement otherwise required by the PPSA. If applicable, so far as permitted by
section 107 of the PPSA you will have no rights under sections 114(1)(a), 120
and 133 of the PPSA, including the right to receive any notices.
You agree that we may exercise our rights under sections 109 and 120
concurrently, and that repossession and retention of Goods under sections
120 – 123 will immediately extinguish any rights and/or interests you may
have in the Goods. We may allocate any monies we receive to debts, charges
and expenses in any priority.
You agree to reimburse us for all costs and/or expenses incurred or payable by
us in relation to registering, maintaining or releasing any financing statement
in respect of any security interest under the Contract.
These terms of trade are paramount, and, to the extent that there is any conflict
between any provision of them and any invoice or other document evidencing
or describing any Goods, the terms of trade will prevail. Further, if there is
any other document or arrangement, which conflicts with the Contract, the
Contract shall prevail.
PRACTITIONER ONLY PRODUCTS
Integria Healthcare (New Zealand) Ltd distributes many products designated
as “Practitioner Only”. These products may only be purchased by persons
qualified to dispense complementary medicines. Retail outlets must have a
qualified health practitioner on staff to dispense these products. Practitioner
Only products may not be displayed on open sale in-store; they must be kept
in a restricted access location, such as a dispensary or behind a sales counter.
These Terms of Trade shall prevail at all times and supercede any previous
Terms of Trade until varied by the company. These Terms of Trade may be
subject to change without prior notice.
