1. DEFINITIONS

In these standing orders unless there is anything repugnant in the subject or context.

1.1 “Establishment” or “Organization” shall mean Mahendra Group having at present its corporate
base/head office at Lucknow. This means to include all its subsidiaries, factories, show-room centers,
ancillaries, any other company or unit of its group, its city office, sales and service centers, Branch
Offices, Warehouse/Go-down situated anywhere or any establishment existing or coming in future.
1.2 "PREMISES" shall mean and include the entire area wherein the Administrative Office are situated and
other building in the premises and include the boundaries thereof around these buildings or other
buildings within boundaries of the Company's lands. It shall also include other buildings, accessories,
branch offices, work shed, etc., situated outside and away from the Office premises stated above,
coming within the administrative purview & control of organization. It means all area or properties
ordered, leased or hired by Mahendra Group.
1.3 "EMPLOYER” & “MANAGEMENT” shall mean and include the Chairman, Managing Director, Board of
Directors, Directors and the General Manager/Manager or any other person vested with authority by
the company for the Observance, implementation and enforcement of these Service Rules and
Regulations or Standing Orders.
1.4 “DISCIPLINARY AUTHORITY” shall mean and include the Board of Director’s including any Officer duly
Authorized by the Board of Director’s.
1.5 “EMPLOYEE” means and includes all those employed in the Factory/Company to do any skilled,
unskilled, semi-skilled, manual, technical or clerical or supervisory or working under the capacity of an
executive or managerial and / or administrative capacity.
1.6 “WORKMEN” includes all those employed in the Factory/Company to do any skilled, unskilled, semi-
skilled, manual, technical or clerical as defined under the Industrial Dispute Act, 1947 but not those who
are employed in the capacity of an executive or managerial and/or administrative capacity.
1.7 “MANAGER” means any person duly appointed to be the Supervisor/Executive/Manager of the
Factory/Company or any person who for the time being is authorized to exercise & supervise the
function being employed under Managerial and/or Administrative Capacity of Factory Act 1940 on his
behalf regarding the observance of these Standard Operational Procedure.
1.8 “Vacancy” means and estimate no. of manpower requirement to be filled up during the year or any
short period in respective grades shall be prepared by the concerned Appointing Authorities.
1.9 “Appointing Authority” means such authority who is been designated to accomplish joining process of
other employee.
1.10 In these Standard Operational Procedure, the masculine gender shall include the feminine gender and
the Singular shall include the plural wherever such term is used as relevant.
1.11 “NOTICE BOARD” shall mean a place where the notices are displayed which are approved and issued by
the Employer on behalf of Management. It would be specially maintained in a conspicuous place for the
purpose of displaying notices required to be given.
1.12 “Year” means a continuous period of twelve months.
1.13 “Calendar Year” means period commencing from 1st day of January of a year and ending with 31st day of
December of the same year.

1.14 “Financial Year” means period commencing from 1st day of April of a year and ending with 31 st day of
March of the next year.
1.15 “Competent Authority” means the Authority designated for specific purpose by the Management.
1.16 “Pay” means basic income including stagnation increments.
1.17 “Salary” means the aggregate of Pay and Dearness Allowance.
1.18 “Emolument” means the aggregate of salary & allowances, if any;
1.19 “Dependent” means and includes spouse, children, parents, minor brother & unmarried sister, wholly
dependent on employee but shall not include the legally separated spouse and independent parents
and adult brothers & sisters.
1.20 “Family” means spouse & children only.
1.21 “Notice” means any type of notices concerning the employee/client/customer/operational working
shall be pasted/posted on the Notice Board maintained at the establishment. All notices shall be in
English and/or in Hindi.

Note:
Mahendra Group reserves the right of changing the rules here laid down from time to time provided that every new
rule or alteration in an existing rule shall take effect, unless otherwise directed by Board Meeting, from the date on
which the new rules of alteration is passed by it in a resolution. Whenever a new rule or alteration in an existing rule is
passed by Board Meeting, it shall be issued in the form of a circular or revised policy.
