AGREEMENT FOR BRAND PROMOTION

This indenture is made and executed at New Delhi on this ____ day of April 2017.
BETWEEN
Mrs. Ankita Borthakur W/o ________________ residing at
______________________ (hereinafter referred to as “the model”) of the First Part.
AND
Hitech Grains Processing Pvt. Ltd. a company within the meaning and provisions of
the Companies Act, 2013 and having its registered office at G-36, Lawrence Road,
Industrial Area, New Delhi – 110035, India (hereinafter referred to as “Hitech
Grains”) which expressions shall unless the context otherwise requires, include its
principals, sub-contractors, successors and permitted assigns of the Second Part.

WHEREAS, as part of its business activity, Hitech Grains has been manufacturing and
exporting the Indian Pulses and grains through its brand “Grano Feast” (hereinafter
referred to as the “product”) to consumers around the world.

AND WHEREAS, Model is the 1st Runner-Up Winner of prestigious crown namely
“Mrs India Homemakers 2017” ancillary to which carries a brand value and as such
Creative Beans desires to contract Model for purposes of doing print or promotional
work pertaining to the product (i.e. Grano Feast) of Hitech Grains. This contract is for
the engagement of Ankita Borthakur as a photographic model and M/s Creative
Beans will engage Ankita Borthakur as a photographic model on behalf of Hitech
Grains for the brand promotion of the product (i.e Grano Feast).

AND WHEREAS, all the parties have mutually agreed that the present agreement
shall remain in force from 1st day of April 2017 till the 31st day of December 2017 and
shall be further extended upon the terms as mutually agreed between the parties.

For and in consideration of the mutual promises herein contained, the parties
hereby agree as follows:

1. Model agrees to be photographed or videotaped or filmed or audio recorded

by the Agency to enable and to use photograph, film, audio tape or videotape
for advertising the product (i.e Grano Feast) manufactured by Hitech Grains
in any medium whatsoever; shown/printed or circulated in India or abroad
including any newspaper, magazine, periodical, catalogue and may be
displayed/ telecast on any cinema screen or video channel or cinema slides or
television or radio or hoarding or any other advertising structure or any point
 of Purchase like Stickers, Shopping bags, In-house Magazines, Sales
Literature, Dealer Communication and any other communication of
product/corporate nature.

2. Model assigns to Hitech Grains, the absolute copyright of such

film/photograph, and the right of reproduction thereof, either wholly or in
part and the unrestricted use thereof for any period of time and in whatever
manner Hitech Grains may in its absolute discretion think fit.

3. It is clearly understood that the model will not promote any other brand of
Food Industry like Indian Pulses and Grains other than of Hitech Grains and
moreover the Model will not promote any product or brand of adversaries in
commerce of Hitech Grains or competitors of Hitech Grains; upto the 180
days from the date of expiry of this present contract.

4. (a) The model will perform the aforementioned work in five working days
during the period of this contract in five equal shifts of eight hours each. One
shift shall be exclusively for print shooting during the contract period and
remaining four shifts shall be utilized for media conferences, and brand
promotion through various means of marketing.

(b) The dates/schedule will be mutually discussed and decided upon taking
care of the convenience of both the parties concerned. Also the Model shall
be informed about the dates/ schedule at least 10-15 days in advance by the
Hitech Grains Pvt. Ltd..

(c) In the event of re-shoot due to unforeseen circumstances or technical

reasons, the model agrees to give additional days of shoot as mutually
deemed fit and shall be compensated appropriately.

5. Hitech Grains agrees to pay a total sum of Rs.2,00,000/- (Rupees Two Lakhs
Only) to the model towards the total professional charges for a period of nine
months starting from the 1st day of April 2017.

6. Model shall be participating in the upcoming event of “Mrs Universe

Homemakers 2017” being held in South Africa and it has been mutually
agreed between the parties that in case the model is declared Winner or 1st
Runner Up of the aforementioned event, then the present agreement shall be
 further extended for a mutually agreed period of time and upon the payment
to the model of an agreed professional charges of Rs. _______________/- .

7. That Hitech Grains will arrange and pay for Model’s as well as one attendant’s
transportation, meals, accommodation, and other ancillary arrangements for
the purpose of completing the scope of work first above written.

8. Hitech Grains will pay upfront a sum of Rs. 1,00,000/- (Rupees One Lac Only)
to Creative Partner (i.e. M/s Creative Partner) for the purpose of making
necessary arrangements of ___________

9. This agreement contains the entire understanding of the Parties. All

promises, undertakings, representations, agreements and understandings are
merged herein, and shall only be changed by a subsequent Agreement in
writing signed by all the Parties.

10. Any or all disputes arising out of or in connection with this Tripartite
Agreement for Brand Promotion shall be subject to exclusive jurisdiction of
the Courts at New Delhi.
