Terms of Purchase
Every deficiency claim is valid if it received by the

Our terms of purchase apply exclusively. Contrary
or deviating terms of the suppliers will not be part
of any contract, even if they remain uncontradicted.
2. Offer
Our order/offer expires if the supplier does not ac-
cept/confirm it within two weeks of the date of
placement. We retain the right to cancel an order in
writing before receival of an acceptance/confirma-
tion.
3. Delivery time – delay
The delivery date specified in the order is binding.
Changes require our written confirmation.
In case of delay of delivery we have the right to de-
mand a general delay charge of 2% of the value of
the complete order per week, but no more than
10%. We retain the right of further legal proceed-
ings and claims.
The supplier has the right to prove that much
smaller damages – or no damages – were caused
by the delay. The general delay charge is then re-
duced accordingly.
4. Prices, terms of payment
The price entered in the order is binding; it is un-
derstood as the net price not containing applicable
VAT. Additional costs, i.e. tooling, NC – programs
etc. will be reimbursed only if confirmed in writing;
the same rule applies to packaging and shipping
costs.
In case of payment within 10 days we will be
granted a 3% discount. Online payment must be
possible.
5. Surface qualities
The specified surface qualities and treatments are
to be strictly adhered to. Any deviation from entries
in our accompanying drawings demand our written
consent.
6. Warranty, obligation to examine
We retain the undiminished right to all lawful claims
because of technical or legal insufficiencies. Taking
§ 478 BGB and § 479 BGB into consideration, the
requirements of § 377 BGB will apply only to obvi-
ous defects.
We are obliged to examine the delivered goods for
evident quality- and/or quantity deviations within
one week of delivery.

supplier within 5 working days of discovery. Pro-
tested goods will be returned to the supplier with
attached return note, at the suppliers expense. Our
account will immediately be credited with the value
of the returned goods so that the main invoice can
be processed. Return delivery shall be free of
charge for us.
All costs incurred by us in fulfilling any technical or
legal warranty claims of our customers will be as-
sumed by the supplier in all necessary cases in
which the supplier is responsible for them. Com-
pensatory damages are not effected by this rule.
7. Ownership of goods
We reserve the right of ownership for any goods
and products made available by us to our suppliers.
All processing and shaping by suppliers is done ex-
clusively for us.
In the event of processing and/or shaping we ac-
quire co-ownership of all ensuing objects in the
same proportion of value as in other articles in pro-
duction at the time of processing.
8. Final provisions
Place of fulfillment and jurisdiction for all litigation
from any business transactions is our registered
seat of corporation, Frankfurt/Main.
The same conditions apply to foreign contractual
relationships.
The law of the Federal Republic of Germany ap-
plies, and as far as these do not apply, the laws of
the UN Sales Law.
Should one of the following provisions be inopera-
tive or void – completely or in part – or become in-
operative or void in the future, the validity of all
other provisions shall remain unaffected herby. It
shall be replaced by those valid provisions which
come closest to the purpose of the invalidated one.
