SUBSCRIPTION AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Subscription Agreement (hereinafter referred to as the “Agreement”) is

made and executed this _____day of _______, by and between:

TRANS YASHA SAVERS ENTERPRISES, INC, a corporation existing and

organized under Philippine Law with principal office at 21-b Platinum St., Pilar
Village, Las Pinas City (hereinafter referred to as the “Corporation”), represented in
this act by _____________________, Filipino Citizen, of legal age and with
address at __________________________________________________.

(hereinafter referred to as the “Subscriber”)

WITNESSETH

WHEREAS, the Subscriber wishes to subscribe shares of stock of the

Corporation.

WHEREAS, the Corporation has shares of stock available for subscription.

NOW, THEREFORE, for and in consideration of the payment of the

subscription price, the Corporation has agreed to sell and Subscriber has agreed to
subscribe to the Corporation’s shares of stock available for subscription under the
following terms and conditions.

A. Subscription Price
The Subscriber hereby subscribes to (no. of shares of stock) shares of the
common capital stock of the Corporation at a subscription price of (amount in
words) (amount in figures) per share, or a total subscription price of (amount
in words) (amount in figures) payable as follows:

B. Call for Payment

1. Except as otherwise indicated in the immediately preceding provision,

subscriptions shall be payable at any time upon call by the Board of
Directors of the Corporation.

2. Failure to pay the foregoing subscriptions on its due date shall be subject
to interest at ______% per annum from date it has become due and
demandable until full payment has been made, without prejudice to the
 right of the Corporation to declare the same delinquent in accordance with
the Corporation Code of the Philippines and to all other rights available to
the Corporation under the law.

C. Miscellaneous

1. Any delay or inaction by either party in enforcing rights arising out of or in

connection with any of the provisions of this contract shall not be
construed as nor constitute a waiver of such right. In the event of an
express waiver by either party of a breach of any provision of this contract
by the other party, the same shall not operate or be construed as a waiver
of any subsequent breach by such waiving party.

2. This Agreement contains the entire agreement between the parties and
supersedes all previous written or oral agreements relating to its subject
matter.

3. The parties acknowledge and agree that:

3.1 They have the legal capacity to enter into this Agreement; and

3.2 They have not been induced to enter into this Agreement by any
representation, warranty or other assurance not expressly
incorporated into it.

4. Should there be any dispute concerning the interpretation or

implementation of any provision of this Agreement, the parties hereto
shall exert every effort to settle the dispute amicably. Hence, the parties
agree, prior to the filing of any action before a judicial or administrative
body of the government, to undergo mediation to settle any dispute.

5. Both parties agree that venue for any action shall be in (PLACE OF
VENUE), Philippines ONLY, to the exclusion of all others. No party shall
go to court unless both parties have exerted efforts in order to settle
amicably any disagreement, breach or conflict that may arise out of this
contract.
