EMPLOYMENT CONTRACT

(Individual)

This employment contract is drafted and accepted, in accordance with the Albanian Labor
Legislation, between the parties as follows:

EMPLOYER: Messer Albagaz Sh.p.k. Tirana, a company organized and existing under the laws
of the Republic of Albania, having the taxpayer identification number NIPT
K78317002F, legally represented by Mr. Dimitar Popchev, Administrator.

EMPLOYEE: Mr. Erjon Hajderaj, Albanian citizen, born on July 12, 1983, in Fier (Albania),
resident in Tirana (Albania) and holder of the passport no. I30712089N.

OBJECT: of the employment relationship between the parties in fully compliance with the
requirements of the Albanian Labor Legislation, company regulations, guidelines
and manuals.

Term, probation, and termination

The Employer agrees to employ and hereby employs the Employee and the
Employee agrees to work for the Employer for non definite term commencing on
date 01 January 2016.

The Parties may terminate this Agreement during the probationary period of 3
months, upon 5-days written notice prior to termination.

After the probation period, the Parties can terminate the contract upon 2 (two)
weeks’ notice when the work relations have lasted up to 6 (six) months, 1 (one) month
notice for a duration period of up to 2 (two) years, 2 (two) months’ notice for a
duration period of 2 (two) to 5 (five) years and 3 (three) months’ notice for a duration
period of more than 5 (five) years; and by following the procedures of article 144 of
the Labor Code in case the termination of the contract is required by the Employer.

The Parties have also the right to immediate termination the contract at any time due
to reasonable grounds as set forth in article 144 of the Labor Code.
The Employee will be obligated to continue to perform his duties and shall be paid his
regular salary from the Employer, up to the date of termination of the notice period as
per point (b) above.

During the notice period the Employee has the right of 20 (twenty) hours paid leave
per week, in order to search for a new job

POSITION

The employee position is: Director of Administration, Head of Laboratory and Quality Control
(Pharmacist)

JOB DESCRIPTION AND EMPLOYEE’S DUTIES

In above mentioned position Employee will perform the specific tasks set forth in the job
description attached hereto as Schedule no. 1, which is considered as an integral and substantial
part of this contract.
In addition, the employee should have the following duties:

• To follow and apply all positive regulation regarding safety, health and protection on
work, fire protection and environmental protection and to use all personal protective
equipment.
• To report to the superior lacks regarding safety and protection on work.
• To follow and apply all relevant positive regulations relevant for his position as well as
standards accepted by Employer.
• To follow and apply all company’s internal regulations, instructions and procedures as
well as Messer Group guidelines and general procedures.
• To maintain the knowledge necessary to perform his/her work in accordance with the
modern achievements.
• To follow all other tasks ordered by superior which are in the scope of his expertise and
competence?
• Employee can use the PC and internet only in connection with performance of his/her
tasks.
• Employee can use only PC programs approved and installed by the Employer and obey
all the rules and procedures regarding protection of the stored data.
• Employee should treat as confidential all personal data of the other employees in which
position he/she comes during the work for the Employer, especially data about his/her
salary and salaries in common.
• The Employee is always obliged to keep as confidential all information obtained while
performing his duties in the company. This employee’s obligation is valid even after he
leaves his job.
• Employee cannot be absent from the work without providing prior consent from the
Employer.
• Employee should obey working hours determined by the Employer.
• Employee cannot and should not use alcohol and drugs on work, bring it in the premises
of the Employer or come to work under the influence of the same.
• Employee accepts that Employer can make any time control on drugs and alcohol and
refusal to submit to the control is a serious violation of the discipline.
• Employee cannot and should not dispose with the Employer’s money or property as it’s
own.

WORKING PLACE

The Employee’s usual place of work shall be mainly in the offices and/or business location of the
Employer where presently settled and where they may be settled in the future or elsewhere as
the Employer’s business will require in Albania or abroad,

WORKING TIME and BREAKS

Normal weekly working time for employees is 40 hours. Daily work time is 8 hours. Employer
determines the time of commencement and completion of work. Weekly days of will be two
days a week, set at the weekly chart service

The Employee is entitled to a daily break of 30 minutes, which is taken not later than 5 (five)
consequent hours of work carried out from the Employee. In case the Employee works more
than 9 (nine) hours in a row the Employee is entitled to an additional break of not less than 20
minutes. The daily break is not considered to be paid working time.

OVERTIME and SHIFT WORK

In certain conditions and circumstances, the employer will require to the employee to perform
his duties outside the specified working time, including holidays.

Additional working time is determined only upon written instruction of the Employer, and
Employee paid will be based on the rules of the Albanian Labor Legislation and criteria
established by the Employer.

The work performed during the weekly day – of is compensated with an additional salary not
lower than 25 per cent or with a payable day-of equal to the duration of the work carried out
plus an additional 25 per cent of the duration of that work. The work performed during the
official holidays when they fall on a working day are compensated with an additional salary of 25
per cent and with a payable day-of equal to the duration of the work performed on the official
holiday. In case the official holiday falls on the day-of then the day-of is postponed on the next
working day.

In any case the overtime plus the normal working hours will not exceed the total of 48 (forty
eight) hours per week.

In case the Employee works between 7 PM and 10 PM has the right of an additional salary at
20%, whereas if the Employee works between 10 PM and 6 AM has the right of an additional
salary at 50%.

SALARY

Employer will have to pay a gross monthly salary amounting to 103.673 (one hundred and three
thousand six hundred seventy three) Albanian Lekë.
Employers and employees are respectively required to pay all liabilities of social and health
insurance and income tax in full compliance with the relevant provisions in force.

The basic salary of the relevant work, the extra amount that can be obtained in addition, awards
of all kinds or the deducted amounts, in accordance with Albanian law, shall be determined
referred to criteria established by the employer, in full compliance with the Albanian legislation
Labor.

Monthly salary will be paid once a month to employee at the date 5 of the subsequent month.
The payment shall be made through bank transfer in the account of the Employee and the
Employee shall confirm the amount and immediately report any irregularities.

ANNUAL VACATION

The Employee has the right to take annual paid vacation, not less than 28 calendar days per year.

The Employer determines the period of annual leave, based on working conditions and also at
the request of the Employee.

The Employer would require the approval a week before the annual holiday lasting up to seven
days. For annual vacation lasts more than seven days, the notice is required to be given three
weeks before.
Employer in special circumstances may submit a request for annual vacation less than a week
before them, but always, must be at least three working days before the holidays.

Annual holidays occur during the current year or in special isolated cases in the first three
months of next year.

For the period of annual leave, Employee is paid with his normal salary calculated on the basis of
the basic salary at the time of commencement of work. Employee shall receive the salary for the
holidays at the time of commencement of the holiday period.

Should the Employee fall sick with an illness that is substantiated by a medical certificate, the
Employee shall be entitled to postpone his/her originally planned vacation period.

The Employer shall observe the employee right for the weekly break and the public holidays
foreseen by Albanian law.
The Employee has also the right to take 5 paid vacation days in case of marriage or death of a
spouse, ancestor or his direct descendants.

In case of serious illness of the predecessors or his direct descendants, certified by a medical
report, the Employee receives no more than 10 unpaid days of.

Leaves of absence

After prior arrangement with the Employer, to the Employee shall be entitled to 5 (five) days of
paid leaves of absence due to the marriage or death of his/her direct descendants and/or
ascendants or spouse or partner. The leave foreseen in this clause may only be taken when the
respective event occurs and cannot be postponed or cumulated and shall not be deducted from
the annual vacation time.

The Employee shall be entitled to unpaid leaves of absence not exceeding 30 (thirty) consecutive
days due to illness among his/her direct descendants and/or ascendants or spouse or partner,
provided that the illness is substantiated by a medical certificate.

In case of child birth, the Employee has the right of 3 (three) paid leave days.

In case the Employee has more than one year of consecutive working relations, has the right of
the parental leave equal to 4 (four) months to be taken within a period until the child reaches 6
(six) years of age.

Illness or accident

In the event of illness or accident, the Employer must be informed as soon as possible but in no
case later than by 10:00 am of the following day, either personally or through relatives or
friends, about the illness or injury and its anticipated duration.

The Employee must promptly present the medical certificate, or upon request of the Employer,
submit to a medical examination by a doctor recommended by the Employer.

The Employee is automatically insured against work-related accidents and illness in accordance
with the provisions of Albanian law.

Any liability claim brought by the Employee due to a work-related accident shall be deemed fully
compensated by the social security benefits.
DISCIPLINARY MEASURES

DISCIPLINARY MEASURES
Employee is obliged to enforce the Albanian legislation in general, regulations of the enterprise
in particular, and all regulations and rules issued by the authorized persons of the Employer.

At the same time is obliged to perform tasks based on job position, to act with professionalism,
and with responsibility and ability to accomplish them and with loyalty to the Employer, avoiding
any conflict of interest to the Employer.

Employee is fully aware and responsible for the legality, fairness and care about the fulfillment
of certain duties and functions to the Employer, state authorities and third persons.

For proper failure of duty, violation of law, breach of regulations and other actions that harm the
reputation and morale, the employee will be subject to the following disciplinary
action/measures:

• Retreat reprimand (written or oral);


• Suspension from work;
• Settlement of labor contract.

Reasons for settlement of contract are considered the following behavior/conduct of the
Employee and operational conditions of the Employer as follows:

• If he / she lost confidence in the Employee (which is as a behavior result of employees or


a specific action performed by him).
• He /she has reached retirement age.
• A legal entity is winding up, or if it is necessary cuts in the number of employees.
• If he /she is professionally incompetent to perform certain duties.
• If he /she consistently fails to perform its duties without any reasonable cause.
• If he/she repeatedly absent without reason.
• If he/she seriously violate labor discipline or the laws and regulations of the employer
activity.
• If he / she committed a crime that is directly connected with his/her work and this
ofense is proved by the decision of the competent authorities, or he sufers a decision
or imprisonment for a period longer than one month for each ofense.
• Not respecting the rules of technical, health, anti fire and environmental safety.
• Coming on work under the influence of alcohol or drugs, bring them on work or use in
Employer’s premises.
• Refuse to submit to the control on presence of the alcohol and drugs.
• Not obeying the duties and obligations set by this Contract.

Disciplinary measures are executed based on objective criteria such as the nature of the
violation, the degree of responsibility of the employee, the extent of damage caused, the
existence of such previous measures, etc.
Suspension can be determined in duration from 3 (three) to 7 (seven) days. When Employee is
under the suspension he/she doesn’t have right for salary for those days.

Employee responds to the employer for the damage caused when the contractual obligations
are violated intentionally or negligently.

GENERAL PROVISIONS

Employers and Employees are obliged to respect the contract concluded between them. For
what is not stated in the contract, the parties should refer to legal provisions in force.
Employee without written authorization of Employer shall not enter into business relationships
to a third party with or without remuneration either this is after official working hours, either
directly or indirectly participate in an activity or company that is directly in conflict with the
interests of the company or any organization associated with the company.
When Employment Contract ends or terminated, the Employee is required to give up from his
work position, all equipment and tools, materials and documents given to perform its work.
Disputes that may arise between Employer and Employee will be resolved between friendly
negotiations and if not achieved a pleasing result, then the Judicial District Court of Tirana will
be competent for resolving the dispute.
During the execution of this agreement, the Parties may apply required changes only through
written agreement which must be accepted by both of Parties.
Employment Contract is drawn up in three copies in Albanian and English, with the same legal
value.

This contract is efective from 1 January 2016.

THE EMPLOYEE POSITION: Director of Administration

JOB DESCRIPTION:
1. To take care and organize the work in administration part of the company
2. To represent the company to the public sector and clients in the best way, always
protecting highest interests of the company
3. To follow the orders from company’s GM and actively to participate in creating the
strategy, short and mid term
4. To be responsible for making connections and build relations with the potential
customers on the market and follow the respective cooperation afterwards

THE EMPLOYEE POSITION: Head of Laboratory and QC

JOB DESCRIPTION:
1. To make laboratory analyzes for the quality of medical gases in the company and issue
relevant certificates and documents;
2. To take care about technical specifications of the medical use cylinders, patient leaflets
and all other necessary and required information required by GMP and local legislation
3. To be in permanent contact and relation with all public institutions and hospitals
following the production and trade of medical gases and relevant equipment
4. To educate and train customers regarding the application of the product and
presentation of technical solutions in accordance with their needs;
5. To monitor the implementation process of production, packing and sale of medical
products;
6. Complete care of laboratory, to function properly and without any interruptions,
including maintenance of the instruments and following the inspection periods
7. To take part in all registration of the products processes in the relevant public
institutions(QKKB, QKL, Ministry of Health)
8. To collect complaints and analyze them, and give proposals to the superior how to solve
them;
9. To follow the public tenders, prepare on time and submit documentation for public
tenders and take part on public tenders;
10. To prepare and submit required reports to superiors within the set deadlines;
11. To perform all the other tasks assigned to him by Head of SHEQ and Sales or
Administrator/s in the area of his/her expertise and training or arising from internal acts
of the Company.

1. Obtaining the import license for MLOX from Serbia, Marketing Authorization for Messer
Tehnogas AD up to 15.02.2016
2. Obtaining the registration of MGOX in Tirana, producer and MAH Messer Albagaz up to
01.03.2016
3. Signing contract with KURUM for gas supplies for year 2016
4. Signing contract for LCO2 supplies to Birra Tirana
5. Signing contracts for gases supply with additional 5 big customers up to 30.09.2016

Total amount of bonus should be equal to 3 net monthly salaries
