Official Rules

New Heights Elevator Pitch


(the “Contest”)

By participating in the Contest, you (“Entrant Representative”) as the person submitting an entry on behalf
of a business (“Entrant”) agree on behalf of yourself as an individual and on behalf of Entrant to be bound
by these Official Rules and the decisions of the host of the Contest, Boston Globe Media Partners, LLC
(“Host”), which are binding and final on matters relating to this Contest. The Contest is subject to all
applicable federal, state and local laws.

1. ELIGIBILITY. NO PURCHASE NECESSARY TO ENTER OR WIN. A purchase will not increase your
chances of winning. Void where prohibited. Contest is open to legal residents of the United States, who
are 18 years or older at the time of entry. Employees of Host and Contest sponsors, and their respective
immediate families and household members are not eligible to enter.

2. TO ENTER. To enter this Contest, Entrant Representative may, between 12:00:01 a.m. Eastern Time
(“ET”) on August 10, 2018 and 11:59:59 p.m. ET on September 10, 2018 (the “Entry Period”), visit
globe.com/newheights (the “Website”) and complete and submit an official registration form (“Entry”).
Each individual person may submit only one Entry. An individual may only serve as an Entrant
Representative for a business for which s/he is an owner or authorized representative and by submitting an
Entry, represents and warrants that s/he is authorized to act on Entrant’s behalf in connection with the
Contest. Once Host receives an Entry, it may communicate with Entrant Representative and Entrant about
the Contest.

3. ENTRY REQUIREMENTS. Each Entry must comply with the following requirements and each Entrant
makes the following representations:

a) Entrant is a young or very young business; a business in these stages may also be referred to as a
concept stage, seed stage or early stage startup. Entrant Business need not have formed a formal
business entity to enter the Contest.
b) Entrant is available to take part in the Live Pitch Event at District Hall in Boston, Massachusetts on
September 20, 2018.
c) Entrant represents that its submission of Entry, its participation in the Live Pitch Event, its
agreement to these Official Rules, and any Released Party’s (as defined below) use, display, and
publishing of Entrant’s Entry or of a recording of Entrant’s Live Pitch will not violate any agreement
to which Entrant Representative or Entrant is a signatory or party.
d) Host reserves the right, in its sole discretion, to reject, disqualify, or modify any Entries, any
element of any Entry or related materials, and to disqualify any Entrant whose participation
does not comply with Official Contest Rules or may subject the Contest, Host, or Host’s
advertisers, clients, or customers to controversy, negative publicity, scorn, and/or ridicule.
Entrants whose products or services are illegal under any applicable law are ineligible.

4. SELECTION OF FINALISTS. Five finalists will be selected by a judging panel (“Judges”) consisting of
approximately four Boston area business leaders from various sectors and business backgrounds. Finalists
will be selected from among the pool of eligible entrants based on the following criteria:

a. Creativity of the innovation, including its potential breakthrough and disruptiveness;


b. Usefulness of the product or service, including how it addresses unarticulated or existing unmet
consumer or business needs; and
c. Business Potential, including the viability of the proposed business model and the potential for the
product or service to generate profit.

Finalists will be notified of their selection at the Live Pitch Event on September 20, 2018 In order to be
eligible to win a prize, finalists must attend and participate in the Live Pitch Event at District Hall in Boston,
Massachusetts on September 20, 2018.

5. LIVE PITCH EVENT RULES. Selected finalists will have the chance to pitch their business to the
Judges, in front of other Contest Entrants, local business owners, investors, and members of the media on
September 20, 2018. Finalists may bring a deck and a time limit will be announced in advance. Additional
details of the Live Pitch Event may be provided to finalists in advance.

6. SELECTION OF WINNER. The Judges will select a first place winner and a second place winner from
among the finalists based on the live pitches. Pitches will be judged on the following criteria.

a. Extent to which pitch is a polished business presentation, including Entrant’s clear articulation of
the consumer or business need its product fills and ability to answer Judges’ questions;
b. Creativity of the innovation, including its potential breakthrough and disruptiveness;
c. Usefulness of the product or service, including how it addresses unarticulated or existing unmet
consumer or business needs; and
d. Business Potential, including the viability of the proposed business model and the potential for the
product or service to generate profit.

6. PRIZES. All finalists will receive prizes. The first and second place winners of the Live Pitch Event will
receive additional prizes.

a. All finalists will received the following prizes:


i. The chance to pitch their businesses to the Judges during the Live Pitch Event at District
Hall on September 20, 2018.
ii. A one year unlimited access subscription to BostonGlobe.com.
b. The first place winner will receive the following prizes:
i. A $5,000 grant to use towards growing its business, provided by Blue Hills Bank and The
Boston Globe;
ii. A full page ad, created by Host, announcing that Entrant won first prize in the New Heights
Elevator Pitch, valued at $25,000.
iii. A 2-hour working lunch to craft a public relations strategy, provided by Elevate, valued at
$5,000.
iv. A six month "We Membership", valid at any We Work location, valued at $270
c. The second place winner will receive the following prizes:
i. A full page ad, created by Host, announcing that Entrant won second prize in the New
Heights Elevator Pitch, valued at $25,000.
ii. A 2-hour working lunch to craft a public relations strategy, provided by Elevate, valued at
$5,000.

Fair market value of the total prizes awarded is approximately $40,270.


D. General. The Prizes are awarded “as is” with no warranty or guarantee, either express or implied,
and are subject to availability, blackout dates, and expiration dates. Details of the Prizes may change,
based on availability. The schedule of implementation for prizing will be in the sole discretion of Host.
Host reserves the right to substitute the Prizes or portions thereof if Prize cannot be awarded as described.
Host will determine all elements of Prize in its sole discretion. Host disclaims all and any liability for the
actual provision, quality, or nature of any third party product or service related to the Prizes. Host is not
liable for injuries, losses, or damages of any kind arising from participation in this Contest and use of the
Prizes.

A prize may not be substituted, assigned, transferred or redeem the Prize for cash by any winner. Each
winner is responsible for all applicable federal, state, and local taxes, as well as any other costs and
expenses associated with the Prize. A winner forfeits any unused portions of the Prize. The awarding of
any Prize is contingent on full compliance with these Official Rules. If a winner is found to have violated the
Official Rules or otherwise does not meet eligibility criteria, that winner will forfeit the Prize and the Prize
may be awarded to an alternate winner.

7. PRIVACY, PUBLICITY & INTELLECTUAL PROPERTY. Each Entrant Representative and Entrant, except
where legally prohibited, consents to being photographed by or on behalf of the Host, and permits Host, its
parent corporations, subsidiaries, affiliates, agents, and assigns, to use Entrant Representative’s and
Entrant’s name, likeness, photographs, entry, and any materials Entrant submits to Host (“Entrant
Materials”), in all media, throughout the World, in perpetuity, and for any purpose (including advertising,
publicity, and/or trade purposes), without notice to Entrant and without further compensation.

Entrant Representatives and Entrants who have consented to entry agree that Host may use the Entrant
Materials and any other personally identifiable information collected or used in connection with the
Contest in accordance with the privacy policy posted on www.bostonglobe.com.

Entrant further agrees that Host has the right to use the Entrant Materials in combination with such other
material as Host in its sole discretion shall determine, and that Entrants have no right of approval, claim to
compensation or benefits claim, including without limitation, claims based upon invasion of privacy,
defamation, right of publicity, or other intellectual property right arising out of any use of Entrant
Materials.

8. RELEASE. Released Parties (as defined below) are not responsible for lost, late, incomplete, damaged,
inaccurate, stolen, delayed, misdirected, undelivered, or garbled Entries for whatever cause or other errors
whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating
to or in connection with the Contest. Released Parties are also not responsible for any incorrect or
inaccurate information, whether caused by Website users, tampering, hacking, or by any equipment or
programming associated with or utilized in the Contest. Released Parties are not responsible for injury or
damage to participants' or to any other person's person or property related to or resulting from
participating in this Contest. Host reserves the right at its sole discretion to suspend, modify or terminate
the Contest at any time and for any reason, including, but not limited to, if any portion of the Contest is, in
Host’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or
other causes which, in the sole opinion of the Host, corrupt or impair the administration, security,
fairness or proper play, or submission of Entries, and, if terminated, Host may select the Potential
Winner in a random drawing from among all non-suspect, eligible Entries received for such drawing
prior to action taken or as otherwise deemed fair and appropriate by Host.

BY PARTICIPATING, EACH ENTRANT AGREES THAT HOST, SPONSORS, AND THEIR RESPECTIVE PARENTS,
AFFILIATES, SUBSIDIARIES AND ADVERTISING AND PROMOTION AGENCIES AND ALL OF THEIR RESPECTIVE
OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES AND AGENTS (COLLECTIVELY, “RELEASED PARTIES”)
WILL HAVE NO LIABILITY WHATSOEVER FOR, AND SHALL BE HELD HARMLESS BY ENTRANT
REPRESENTATIVE AND ENTRANT AGAINST, ANY LIABILITY, FOR ANY INJURIES, LOSSES OR DAMAGES OF
ANY KIND, INCLUDING DEATH, TO PERSONS, OR PROPERTY RESULTING IN WHOLE OR IN PART, DIRECTLY
OR INDIRECTLY, FROM ACCEPTANCE, POSSESSION, MISUSE OR USE OF THE ENTRY, ENTRY MATERIALS, PRIZE
OR PARTICIPATION IN THIS CONTEST.

ENTRANTS FURTHER AGREE THAT IN ANY CAUSE OF ACTION, THE RELEASED PARTIES ENTIRE LIABILITY WILL
BE LIMITED TO THE COST OF ENTERING AND PARTICIPATING IN THE CONTEST, AND IN NO EVENT SHALL THE
RELEASED PARTIES BE LIABLE FOR ATTORNEYS’ FEES AND/OR EXPERTS FEES’ AND COSTS. BY ENTERING,
ENTRANTS WAIVE THE RIGHT TO CLAIM ANY DAMAGES WHATSOEVER, INCLUDING, BUT NOT LIMITED TO,
PUNITIVE, CONSEQUENTIAL, DIRECT, OR INDIRECT DAMAGES AND FURTHER WAIVE ALL RIGHTS TO HAVE
DAMAGES MULTIPLIED OR INCREASED.

9. GOVERNING LAW/JURISDICTION. The Contest and these Official Rules are governed by and shall be
construed in accordance with the substantive laws of the Commonwealth of Massachusetts (as
distinguished from the choice of law rules) and the United States of America applicable to contracts
made and performed entirely in Massachusetts and where the relevant contacts are with such state.

10. WINNER’S NAME. For the name of the Winner(s), send a self-addressed stamped envelope to: Boston
Globe Media Partners, LLC, Attn: Erika Hale, 1 Exchange Place, Boston, MA 02109-2132. Requests for
Winner names must be received no later than 60 days from the date of the Live Pitch Event.
