arrange minimum 05 hours evaluation flight for the performance
evaluation of the offered Helicopters by Buyers' technical

training for Pilots will include combined flying missions with
SENSO, Air Gunner, Winch Man and Rescue Diver. 07 x Pilots will
be also trained as TACCO during these combined flying missions.
The Rear Crew lnstructor should be employed to achieve a target
of 140 hours flying training (Minimum 10 hours each) for 16 x Rear To be

the Buyer in coordination with Supplier.
c. The Supplier will confirm the Buyer about the commencement
date of the "Stage lnspection" at least 0B (eight) weeks prior to the
said inspection. The Buyer shall intimate the list of names and
details of the inspectors minimum 30 (thirty) days before the
commencement date of any "Stage lnspection".
d. The "Stage lnspection" will be carried out at the Buyer's
expenses (only related to boarding, lodging, international air
tickets, etc. for the personnel proceeding for "Stage lnspection").
Other costs related to conduct of "Stage lnspection" tncluding local
transportation are to be borne by the Supplier.
e The "Stage lnspection" team will inspect entire stores at any

76 Factorv Acceptance Test (FAT)

Supplier including cost of those to be arranged at OEM premises
as stated above.

d The duration of FAT will be of minimum 10 (ten) working days


for each Helicopter excluding journey time. All costs related to
boarding, lodging, international air tickets etc. for the BN personnel
proceeding for FAT will be borne by the Buyer. The Supplier shall
arrange internal transportation of BN FAT team during conduct of
FAT

e The Supplier should inform the Buyer about the date of FAT To be

will include all test results and other relevant information, and
signed by both the Supplier and Manufacturer, and the Buyer's
representatives.

h. All types of movemenU transportation (airl sea/ road/ rail) of the


FAT team within the Manufacturer's country, reception and
arrangement for entry into the country/ concerned area for FAT are
also to be arranged by the Supplier without any extra cost

Final Acceptance Check Flight by the Buyer's and Supplier's Pilots
in Bangladesh. All costs involving test flight (fuel, lubricants,
consumables, repair, damage, maintenance, modification etc) of
any nature is to be borne by the Supplier before final acceptance
of each Helicopters by the Buyer.

b An acceptance certificate will be signed by both the parties


(Supplier and Buyer) at the Buyer's premises on completion of
successful Final Acceptance Check Flight and delivery of each
Helicopters, Essential Spares, Test Equipment, Tools and
Documents.

d. All Cost of Supplier's personnel during Final Acceptance Check


Flight in respect, food, internal transportation, medical care,
telephone, internet etc. for required duration in Bangladesh are to
be borne by the Supplier.

102 Offer Validitv

Offer must remain valid for minimum 180 (one hundred and eighty)
days or as per tender terms and conditions from the date of
opening the tender. Within the validity of the offer, withdrawal of To be agreed
offer or un-willingness to sign the contract by the Bidder is not to
be accepted and in such cases actions would be taken against the
principal Bidder and local agent as per DGDP rules. Purchaser
also preserves the right to get the offer validity extended with the
consent of the Bidder.
IUJ Bank Guarantee
a. Performance Guarantee. Performance Guarantee (PG) for an
amount equivalent io 10% of LC value is to be submitted by the
bidder to the Buyer from any scheduled bank in Bangladesh. This
PG shall remain valid until final acceptance of the Helicopters by
the Buyer in Bangladesh.

b. Bank Guarantee. Bank Guarantee (BG) for an amount


equivalent to 20% of LC value is to be submitted by the bidder to
the Buyer from any scheduled bank in Bangladesh. This BG shall
remain valid until delivery of the Helicopters.
104 Delav in Deliverv
a. Delay in delivery of any one of the Helicopters shall mean partial
delay in delivery and shall be dealt individually. The Buyer is
satisfied that the failure to deliver Helicopters within the scheduled
delivery period has been for reasons within the control of the
bidder, and / or if the Government has suffered loss for reasons of
belated delivery, liquidated damages, shall be recovered at the
rate of 2o/o but not less than 1% of the total contract value of each
Helicopter per month or fraction there of the period exceeding the
orrginal delivery period, subject to the provision that the total
liquidated damages thus leviable will not exceed 10% of the total
contract value of each Helicopter.
b. Delay in the delivery of each Helicopter up to 21 days shall be
regarded as "Grace Period" available to the Supplier and the
delivery date (ending as of 12 O'clock midnight of Bangladesh
Time on delivery date) will be considered to have been
automatically extended up to that limit without issuance of any
liquidated damages. For delays beyond 21 days, formal
amendment to delivery period shall be calculaied from the original
delivery date given in the contract.
c As soon as it is apparent that, the dates of delivery cannot be
adhered to, the Supplier shall send an application for extension of
delivery period to the Buyer. lf failure to deliver within scheduled
trme as aforesaid shall have arisen from any cause which Buyer

Unless otherwise directed by the Buyer in writing the Supplier shall


continue to perform its obligations under the contract as far as is
reasonably practical, shall seek all reasonable alternative means
for performance not prevented by the force majeure event.

106 War Risks

ln this clause "War Risks" means any blockade or any other


actions which are announced as a blockade by any government or
by any belligerent or by any organization, sabotage, piracy or any
actual or threatened war, hostilities, warlike operations, civil war,
civil commotion or revelation lf at any time before the Helicopters
are shipped or during the shipment it appears that performance of
the contract will subject the 02 X helicopters to war risk at any
stage of the shipment, the supplier has the right to stop the
shipment. ln all the rest not stipulated in this clause is related to
"War Risks", the parties shall be guided by the clause "War Risk"
of "Uniform General" (as revised 1922,1976 and 1994). Code
name "GENCON" recommended by "The Baltic and lnternational
Maritime Conference".
107 Omission
ln case the Supplier fails to supply/ provide any of the items (i.e.
machinery, avionics, equipment, sensors, weapon system and
armaments, LSE and GSE etc) within the scope of supply of the
contract for manufacturing of Helicopters, the contract price shall
be adjusted by deducting the quoted price of the item along with
25% penalty based on the contract price of the item. lf the price of
the item is not quoted in the original offer, the Buyer shall have the
right to determine the prrce of the item based on procurement price
of similar item by the Buyer through DGDPI NSSD, Dhaka or any
other means However any omission/ correction may be made
under mutual agreement between the Buyer and the Supplier'

10B Arbitration
All legal dispute of whatever kind arising out of the contract
concluded between the parties including disputes regarding validity
of contract shall be settled wherever possible amicably with the
exclusion of ordinary Court of Law. Will this not be possible the
dispute can/ shall be settled with the strict application of the law of
the land under the rules of arbitration of the Bangladesh Chamber
of Commerce/ lnternational Chamber of Commerce by arbitration
appointed in accordance with the rules. The said Court of
Arbitration having jurisdiction is explicitly competent to decide
overall legal dispute arising from or concerning the Contract. The
Court of Arbitration shall have the right to determine its own rules
of the procedure in its absolute discretion. lt shall, however, grant
both the parties opportunity to present their case and their proofs
in writing and by words of mouth in the course of the proceedings.
Place of arbitration will be at Dhaka, Bangladesh

PG shall remain valid until final acceptance of the helicopters
by the Buyer in Bangladesh.

b. 60% of the LC value (minus the cost of FSR ano fiaining; wrtL
be released on production of the following documents to the Bank:

(1) Orrginal Bill of Lading (BL)

(3) Packing List for associated Spares/ Tools, Maintenance
Equipment.
(4) Certificate of origin.
(5) Manufacturer's/ Supplier's Warranty/ Guarantee

Supplier for associated Spare/ Tools, Maintenance Equipment.
(7) Shipment Clearance Certificate from DGDp

released on production of acceptance certificate of the Helicopters
