CHAPTER – 1  BACKGROUND AND BROAD SCOPE OF WORK 
1.0 BACKGROUND   

1.0.1 Industrial Extension Bureau (iNDEXTb)

Industrial Extension Bureau (iNDEXTb) is a Government of Gujarat Organization,


registered under the Societies Act 1856. The organization is under the Industries and
Mines Department (IMD) of the Government of Gujarat (GoG).

iNDEXTb makes various efforts for promoting investment in infrastructure and industrial
sector in the State of Gujarat and attracts various investors. In efforts to promote
investment and the State as ideal investment destination, it has been acting as the nodal
agency for organizing Vibrant Gujarat Global Summits, since 2003.

Vibrant Gujarat Global Summits are biennially organized since the year 2003 and
accordingly Summits were organized in the years 2005, 2007, 2009, 2011 and 2013.
Over the years, the Summit has emerged as one of the flagship events of India and a
major platform to discuss investments and development.

The Summit till the year 2009 was organized by having required infrastructure on make-
shift basis (temporary structures). Sensing the need to have the permanent structures
to organize the Summit and considering increased need to have infrastructure related to
organizing the exhibitions, conferences, seminars and other events related to business
and government functioning, the Government of Gujarat decided to have facilities /
infrastructure in the permanent form, by building a Convention and Exhibition Center in
Gandhinagar.

1.0.2 Mahatma Mandir

The Father of the Nation – Shri Mohandas Karamchand Gandhi, is also known with
reverence as Mahatma. Gandhinagar – the Capital City of State of Gujarat –derives
name from Father of the Nation. Since Gandhinagar did not have any major structure
related to Mahatma Gandhi, it was considered to have a memorable and iconic complex
build in the remembrance and homage to Mahatma Gandhi and was called as Mahatma
Mandir.

Mahatma Mandir, is planned to house facilities such as photo gallery, meditation hall,
Garden with installation of Multimedia enabled artifacts on the life and philosophy of
Mahatma Gandhi, etc.

The facilities of international standards with all modern amenities, for organizing
conventions and exhibitions, are also planned within Mahatma Mandir.

The construction work for Convention and Exhibition Center was coordinated by
Industries and Mines, Department, Government of Gujarat. iNDEXTb, under the
Industries and Mines Department coordinated for construction of facilities for
Convention and Exhibition at Mahatma Mandir.

Construction of other facilities such as Salt Mound (in remembrance to Namak

Satyagrah) and within it Museum, Meditation hall, etc; Gandhi Garden having
installations of artifacts, and other facilities related to life of Gandhiji is taken up by Road
and Building Department of Government of Gujarat.

1.0.3 Convention and Exhibition Centre within Mahatma Mandir.

The Construction work for Convention and Exhibition Center began in the year 2010.

While, iNDEXTb, was the Client for construction of Convention and Exhibition Center on
behalf of Government of Gujarat; M/s. L & T, the leading company in construction
sector, were the Contractors for construction of Convention and Exhibition Center.

Center for Environment Planning and Technology (CEPT) - the premier academic
institute in the field of architecture, building structure and civil engineering and located
in Ahmedabad - acted as the professional advisors for construction of Mahatma Mandir.

Following structural facilities are completed till date related to organizing of conventions
and exhibitions.

Till date, Two Vibrant Gujarat Global Summits of the year 2011 and 2013 are organized
at this Convention and Exhibition Center.

Structure - Works are of exposed RCC Precast Panels


Basic Finishes - Flooring consists of Granite, Kota Stone, IPS,
Ceramic & Glazed tiles.
Carpet (imported) in the Main Convention Hall, Seminar Rooms,
Meeting Rooms, Conference Rooms, Viewing Gallery, etc.
Glass Glazing of double height towards entrance area. Glazing
is of sheet glass, plate glass, and translucent glass
Internal wall surfaces are plastered, coloured, covered with
MDF Board, Sound Reinforced with fabric material,
External wall surfaces are of exposed RCC
Ceilings : Gypsum Board, False Ceiling, etc.

External areas are paved with paver block granites, stone,

1.1.5 Service Building:

Service Building houses facilities for HVAC, underground water tank, electric panels, etc. The
area is required to be cleaned on regular basis to keep it free for dust and dry.

In addition to the services related to upkeep of the building, services are required for complete
day to day operation & maintenance services in above structures / facilities, service rooms,
pump rooms etc. by deputing skilled and un skilled manpower of relevant expertise including
supervisors.

Note :

1. The scope of services may increase or decrease from time to time depending on
requirements of various events planned at Mahatma Mandir.

2. Owner may include other facilities management services ( of the Mahatma Mandir ) in
the scope depending upon the performance of the contractor.

3. It is desirable that the bidder deploys experience personal of having more than 10
years of experience in general management as Overall in charge of the project.

4. The bidder should also propose installation of computerized complaint management


system with latest softwares.

5. The bidder should also propose installation of computerized event management


system with latest softwares.

6. Mahatma Mandir being developed as state of the art center for organizing various
seminars, conventions, exhibitions and other events, therefore manpower requirement
proposed above is purely indicative and of routine nature. Based on the nature of the
event taking place, there would be variations in the manpower requirement, which the
bidder should be able to meet and fulfill the requirements, both in general and other
shifts.

Bidders are requested to visit the site and understand the scope of work. Bidders are requested
to prepare their own proposal (including presentation to be made to the Committee) and submit

to the Committee when the agencies, qualifying in the first round of qualification (pre-
qualification). (The proposal and the subsequent presentation shall also include brief about their
proposed work force, equipments, consumables and other details which they may like to
include).

iNDEXTb may also call bidders to make presentation before the Committee about their proposal
in technical terms as it is looking for the complete service management (Housekeeping
and technical works) in the area mentioned in 1.1 and its sub- clauses more specifically:

• Complete up keep of the areas and facilities mentioned in clause 1.1 and its sub-
clauses, toilets, walkways, building exteriors walls, glass panes, terraces, toilet
shafts etc.

• Complete up keep of roads, pavements, open areas, terrace cleaning,


courtyards, tank cleaning, wild vegetation cutting & disposal etc. (except inside of
the buildings)

• Washing of Carpets once in the year or as per the directions of the owner.
Therefore the rate for per sq ft washing of the carpets should be given
separately, which would be valid for one year and the incremental cost for the
same for further two years.

• Cleaning of Chairs and furniture at Mahatma Mandir.

• Complete solid waste management, drainage cleaning, periodic fogging etc.

• Furniture shifting of offices, take up for tea distribution during visit of senior
officials of the Government of Gujarat, arranging for water distribution for Staff at
Mahatma Mandir, etc.

• Technical manpower for operations and operations of the facilities at Mahatma


Mandir

• During events deputing extra manpower as required

A tentative schedule of work required to be carried out related to housekeeping and


technical services is as per the annexure I to V to this tender document. However, it is
an indicative plan and the bidder has to come up with its own innovative work plan.

We are looking for professional parties having trained manpower and adequate
experience, for providing technical services of varied nature, upkeep of the
infrastructure and structures.

Area Excluded are of Salt Mound and Gandhi Garden Area.

CHAPTER – 3 PRE­QUALIFICATION CRITERIA 

3.1 MINIMUM CRITERIA 
Only those bidders which meet the following minimum criteria will be considered for
Evaluation of technical and price bids:

1 The bidder should be in business of providing Facility Management services such as


housekeeping, technical services or in business of hospitality services for a minimum
period of FIVE years as on 31.03.2013 (please attach documents like incorporation of
company). Bidder can bid solo or by forming consortium of not more than two firms. Both
the firms should be in the business of complementary services such as housekeeping,
technical services, hotel industry, etc.

2 The bidder should have a national presence. For purpose of assessing national
presence, following criteria will be used:

a) Bidder must have presence in at least three Indian states by virtue of a client
being serviced or a hotel being run in that state. Presence of the lead partner
would be considered in case of consortium (please attach documents
pertaining to national presence such as work orders, receipt of payment,
certificates, etc ).

3 The bidder should have satisfactorily completed contracts / assignments in the field of
services management with at least ONE client for a value more than Rs.100.00 Lakhs
per year per client (attach documentary proof).

4 The bidder must have an average of at least Rs.3.00 Crore (Rs. Three Core only) annual
turnover in the last three financial years. (profit & loss and balance sheet for last FY
2009-10,2010-11 & 2011-12 ).

5 The bidder should be a profit making organization during each of the above three
financial years.

6 The bidder must have minimum employee strength of 200 people (on Pay Roll). (Copy
of valid registration and licences with concerned Labour Authorities and valid ESI & PF
registration to be attached. (Copy of up to date remittances to ESI & PF Authorities to be
also attached)

3.2 SUBMISSION OF DOCUMENTS TO ASSESS PRE­QUALIFICATION CRITERIA   

Bidders must submit the documentary proof in support of meeting the pre-
qualification criteria. Simply undertaking by the bidder for any item of the criteria
shall not suffice the purpose. All the documentary proofs must be enclosed in a

separate envelope marked as “Documentary Proofs for Pre-qualification Criteria”


and this envelope should be enclosed in technical bid envelope.

3.3TERMS AND CONIDITIONS 
3.3.1 Tender documents can be downloaded from Organization’s website
www.indextb.com and or https://indextb.nprocure.com) Mere obtaining tender
document from web site shall, however, not be construed that the bidder is
considered qualified.
3.3.2 The bidder has to compulsorily submit the information online on the website
https://indextb.nprocure.com by the last date and time of the submission
mentioned in this tender document. The hard copy of the same should reach to
our office at the addressed mentioned earlier in the duly sealed envelopes before
the tender opening date and time.
3.3.3 The bidders are required to pay the tender submission cost by Demand Draft at
the time of submission of physical papers of their Bid. Prior to the physical
submissions of the paper, details about the tender submission cost (Demand
Draft No, Bank, Date of issue) would have to be filled on-line on the website
https://indextb.nprocure.com
3.3.4 Tender/ offers may be sent by post/ courier to the address for tender submission
mentioned chapter 2. However, iNDEXTb accepts no responsibility for any loss/
delay/ non-receipt of offers not submitted in person. Offers received late/
incomplete are liable for rejection.
3.3.5 EMD as mentioned in the tender document shall be paid separately by DEMAND
DRAFT drawn in favour of INDUSTRIAL EXTENSION BUREAU payable at
Gandhinagar, Gujarat.
3.3.6 During opening of Technical Bid (i.e. Part-1) the name of Tenderer who has
submitted their offers along with details of Earnest Money Deposit will only be
read out and no other information/ details whatsoever will be read out.
3.3.7 The offer of the Tenderer shall be valid for a period of 4 (Four) months from the
last date of submission of Tender/ revised offer (if any).
3.3.8 In deciding upon the selection of contractors for the work, great emphasis will be
put on the ability and competency of contractors to provide high quality services
according to the time schedule and in close co- ordination with other agencies.

3.3.9 iNDEXTb reserves the right to accept/ reject any tender in part or full, without
assigning any reason whatsoever

3.3.10 If the last date of receiving/ opening of the tenders coincide with a holiday, than
the next working day shall be the receiving/ opening date.

CHAPTER­4 SPECIAL CONDITIONS OF CONTRACT 
4.1 INTRODUCTION

The essence of this contract is to provide housekeeping and technical services. The
Complex has adopted HIGHEST quality standards for all its activities and the bidder is
required to render services meeting stringent standards.
Before attempting to fill the tender document, the bidder should visit Mahatma Mandir to
familiarise himself with the various elements of services that are required to be rendered
and to understand the quality levels of service that are required to be rendered.

4.2 DEFINITIONS 

Unless repugnant to the subject or context of usage, the following expressions used
herein shall carry the meaning hereunder respectively assigned to them, namely;

4.2.1 “IMD” shall mean Industries and Mines Department of Government of Gujarat.

4.2.2 "iNDEXTb" shall mean Industrial Extension Bureau which is a Government of


Gujarat Organization, under the Industries and Mines Department of Government
of Gujarat and acting as the nodal organization on behalf of Government of
Gujarat for managing facilities in the structures mentioned in Chapter 1.

4.2.3 The expression “Complex” occurring in the tender document shall mean
Mahatma Mandir, Gandhinagar and shall include its successors and assigns.

4.2.4 The expression “Nodal Organization /Owner” occurring in the tender document
shall mean Industrial Extension Bureau (iNDEXTb); the organization appointed
by the Government of Gujarat in Industries and Mines Department for Phase I of
Mahatma Mandir.

4.2.5 The expression "Bidder" shall mean the Tenderer who submits the tender for the
work and shall include the successors and permitted assigns of the Tenderer.

4.2.6 The expression “Contractor” shall mean the Tenderer selected by the owner for
the performance of the subject work and shall include the successors and
permitted assigns of the Contractor.

4.2.7 ‘Officer-in-Charge” shall mean any officer of iNDEXTb authorized to act as the
Officer-in-Charge for the work or any specified part thereof.

4.2.8 "Work" and "Scope of work" shall mean the totality of the work / services and
materials by expression or implication envisaged in the contract and shall include
all material, equipment and labour required for commencement, performance,
provision or completion thereof.

4.2.9 "Events" shall mean various programmes such as


exhibitions/seminars/conferences/meetings/ gathering etc. which will be

conducted for a specified duration at Mahatma Mandir by the owner or any other
entity who approaches the owner for events at Mahatma Mandir from time to
time.

4.2.10 “Contract” shall mean the contract for the work and shall include the tender
document, the Special Conditions of Contract, General Conditions of Contract,
the Letter of Acceptance, and the accepted Rates (Bill of Quantities in Price bid).

4.3 ESSENTIAL TECHNICAL REQUIREMENT 

4.3.1 The bidder must have registration No. under the Employees Provident Funds Misc.
Provisions Act, 1952, and Registration No. under Employees State Insurance Act.

4.3.2 No legal proceeding(s) and / or Industrial dispute(s) claiming wages or any other
payment from or employment with the Principal employer have been initiated by any
present employee or previous employee of the bidder (if a company or
proprietorship however previously designated) or of any partner of the bidder (if the
bidder is a partnership firm). This will have to be supported by an appropriate
declaration in the form of an Affidavit which if found to be false could not only lead
to criminal prosecution but could be attended by termination of the contract and
award of the work to another contractor at the main contractor’s risk and cost.

4.3.3 Notwithstanding anything stated in the tender document, iNDEXTb reserves the
right to assess the bidder’s capability and capacity to perform the contract, should
the circumstances warrant such an assessment in the overall interest of Mahatma
Mandir and the decision of iNDEXTb in this regard shall be final and binding.
Technical evaluation will be as mentioned in CHAPTER – 7 (Bid Evaluation
System).

4.4 POWER, WATER AND OTHER FACILITIES 

4.4.1 iNDEXTb shall provide the Contractor the facilities, utilities and equipments
specified below for use in their discharge of duties and services pursuant to the
contract, namely:

(i) Office space – free of charge.


(ii) Electricity for use in discharge of services – Free of Cost
(iii) Water: Free of charge

4.4.2 The contractor will arrange for other facilities, utilities, equipments and inputs
required for the services.

4.4.3 The Contractor shall be responsible for and shall ensure the proper utilisation of
the facilities, equipment, furniture and utilities provided by iNDEXTb without any
manner of abuse or excess use and will undertake day-to-day repair &
maintenance of all equipment and items supplied by iNDEXTb and also keep the
office provided absolutely tidy and free from any damage. For any loss or
damages to the premises, fittings, fixtures and equipment, recovery at market
rates would be effected from the Contractor’s bills and the material/item repaired
or replaced at his cost.

4.4.4 Notwithstanding anything elsewhere provided herein the contract may be


terminated if the Contractor does not within 7 (seven) days of notice in writing in
this behalf rectify any defect in the maintenance, upkeep, hygiene and
cleanliness of the premises and /or equipment to a state satisfactory to the
Officer-in-Charge.

4.5 CONDITIONS OF WORK 

4.5.1 Efficiency, promptness, quality service, good behaviour and politeness of the
Contractor and his staff are the essence of the contract. The Contractor is
required to supervise the operations at all working hours and his manager
or supervisor shall personally supervise operations in the premises.

4.5.2 Work shall be carried out by the Contractor as per the conditions of contract.

4.5.3 The Contractor shall engage fully trained and adequately experienced Staff and
arrange to provide refresher training course for them as and when required and
as per the direction of Owner.

4.5.4 All the staff shall be medically fit. They should be free from all infectious
diseases. The Contractor shall get his employees medically examined once in 6
months and obtain fitness certificates.

4.5.5 The Contractor shall provide uniforms to all their staff engaged by them and
deployed for Mahatma Mandir duty. Each and every staff appointed by the
Contractor should have police verification certificate, carried out by the
Contractor.

4.5.6 The Contractor shall make payment of wages to all its employees under this
contract through A/C payee cheque only or cash but in presence of iNDEXTb
representative.

4.5.7 Entry into Mahatma Mandir by any Contractor’s personnel will be subject to issue
of Gate Passes / identity card to such personnel for the purpose. Gate Passes
shall be for a fixed period and shall be issued at the joint request of the
Contractor and the personnel of the Contractor with respect to whom gate passes
are sought, in the format prescribed by iNDEXTb in this behalf to be jointly signed
by the Contractor and the concerned personnel.

4.5.8 Issue of Gate Passes shall be subject to the approval of Officer-in-Charge and
such approval shall be subject to the Contractor furnishing to the Officer-in-
Charge, copy of letter of appointment issued by the Contractor to each person
with respect to whom the Gate Passes is sought, signed in acceptance by the
persons to whom the letter of appointment is given.

4.5.9 The Gate Pass may be withdrawn without assigning any reason.

4.5.10 The Gate Passes issued to the Contractor’s personnel shall not ordinarily exceed
the number which will be communicated to him by the owner from time to time

except to meet emergent, casual or temporary requirements.

4.5.11 The Contractor’s personnel shall not indulge in entertaining their guests/outsiders
in the Mahatma Mandir premises, and shall not loiter in the Mahatma Mandir
premises and shall not normally move out of their specified area of operation.

4.5.12 The contractor shall make necessary arrangements for regular and proper
collection and disposal of waste generated in the kitchen/Food Court area on day
today basis.

4.5.13 Prohibited items for use for which the notification is by the Government of Gujarat
and/or Government of India shall not be used. However, the waste collection
bins shall be equipped with black plastic bag for collection of waste. Plastic
containers/polythene pouches in which milk products or any other eatables are
generally sold will be disposed of as quickly as possible.

4.6 INTIMATION TO CONTRACTORS 

4.6.1 iNDEXTb shall inform the Contractor of its requirement regarding services during
events at least two days in advance for planned courses and in urgent and
exceptional cases 24 hours in advance. All intimation [written / verbal] will be
given to the Contractor or his representatives by the Officer in Charge at
iNDEXTb / Mahatma Mandir.

4.7 PERIOD OF CONTRACT 

4.7.1 The total initial period of contract will be THREE year with provision to extend the
contract for further period of TWO year subject to satisfactory performance, on
the same terms and conditions at the absolute discretion of the owner. However,
the rates shall be as mentioned in clause no 4.9 (Escalation Clause).

4.7.2 The contract shall be in force for the period stipulated in the contract, and on the
expiry thereof, it will be deemed to have been terminated automatically unless
otherwise intimated in writing. Further, the Contractor will not have any right
either contractual or equitable to demand any fresh contract for another term or
to continue the same in preference to anyone else.

4.7.3 Notwithstanding anything contained in other clauses of the tender document, the
contract will automatically terminate if and to the extent that the continuation of
the contract or any part thereof become illegal or legally impermissible for any
cause.

4.7.4 Upon termination of the contract (except termination due to illegality) the Owner
shall be entitled, at the risk and cost of the Contractor, to arrange for the house
keeping for the balance period of the contract as contemplated in the scope of
the work through an independent agency or agencies and to adjust any
differential amount thus incurred from the Contractor (in addition to any other
amounts, compensation and damage that the Owner is entitled to in terms of the
contract or otherwise) from the security deposit or any other amounts due or
becoming due to the Contractor.

4.8 PAYMENT OF BILLS 

4.8.1 Payment shall be made every month on the basis of the bills having been
prepared by the Contractor in triplicate at accepted “BILL OF QUANTITIES”.
Copies of the following should be enclosed along with the bill:

• Copy of Register of wages detailing the salary disbursement in respect of the


previous month for employees deputed by the Contractor to work within the
premises of Mahatma Mandir duly signed by the Contractor representative
and the Owner’s representative. Disbursement of wages to the employees of
the contractor will be done only by cheque.

• Copy of Challan in proof of PF deposits made in respect of such employees


for the previous month deputed for this work.

• Copy of Challan in proof of ESI deposit made in respect of such employees


for the previous month deputed for this work.

• Such other documents as may be required by the Owner to ensure that the
Contractor has duly complied with his contractual and statutory obligations.

4.8.2 Income Tax deduction will be made from “monthly” bills of the Contractor as per
rules and regulations in force under the Income Tax Act.

4.8.3 Sales Tax/VAT and Service Tax (if applicable as per rule) shall be paid on
submission of documentary proof.

4.8.4 Payments will be made within 15 days of submission of monthly bills provided the
bills are complete and duly authenticated by the specified Officer(s) of the
Owner.

4.8.5 Payments will be made by crossed account payee cheques only.

4.9 ESCALATION / DE­ESCALATION 

For SECTION – 100 of price Bid :


The upward revision in the minimum wages to workmen ( by state / central
government ) from time to time will be considered from time to time ( twice in
a year ). For supervisory & Managerial Staff, the upward revision will be
decided mutually at the commencement of each financial year.

For SECTION – 200 of price Bid :

The management fee quoted in percentage ( % ) shall be firm during the


ENTIRE duration of contract.

For SECTION – 300 of price Bid :

The price / rates will be firm till 30 September 2013. After that it will be

revised every six month based on the fuel price, labour and other conditions
pertaining to tractor trips at the sole discretion of Managing Director,
iNDEXTb.

4.10 EARNEST MONEY 

4.10.1 Earnest Money cheque in favour of INDUSTRIAL EXTENSION BUREAU,


GANDHIANGAR and must be enclosed along with the pre-qualification bid
papers of the tender. Tenders submitted without earnest money will not be
considered. The earnest money of the unsuccessful bidders will be refunded
without any interest after the award of the contract. The earnest money of the
bidder is liable to be forfeited if the bidder prematurely withdraws his bid or the
successful bidder fails to take up the job or fails to deposit the initial security
deposit.

4.11 SECURITY DEPOSIT 

4.11.1 The security deposit consists of three elements:

a) Earnest money deposit [to be paid either in the form of cheque along with the
tender document for prequalification

b) Security deposit @ 2.5% of the Contract Value to be paid on award of work


but before commencement of work. SD amount is inclusive of EMD. It also
be in the form of BANK guarantee form a nationalized bank but at the sole
discretion of iNDEXTb.

c) No further recovery in regards to security deposit shall be made from the


Contractor’s bills after the cumulative recovered value comprising EMD & SD
2.5 %

4.11.2 Release of final payments and SECURITY DEPOSIT outstanding on expiry or


Completion of the contract including extended period shall be subject to the
Contractor furnishing satisfactory proof of re-deployment or retrenchment, as the
case may be, of employees who were deployed by the Contractor pursuant to
the contracts to work within the premises of Mahatma Mandir.

4.11.3 Security deposits amount shall be considered based on Annual contract


amount.

4.11.4 Release of Security Deposit shall be on along with the final bill.

4.11.5 No interest will be paid on any deposit.

4.12 TAXES, LABOUR LAWS AND OTHER REGULATIONS 

4.12.1 The Contractor shall be liable to comply with all the rules and regulations in
respect of all statutory obligations applicable to the workmen including safety
regulations.

4.12.2 The Contractor will be exclusively responsible to meet and comply with all legal
requirements.

4.12.3 The Contractor shall accept and bear full and exclusive liability for the payment of
any and all existing taxes of the Central or State Government or of any other
authority with respect to the contract or any item sold or supplied pursuant
thereto or anything done or service rendered pursuant thereto.

4.12.4 The Contractor shall fully comply with all applicable laws, rules and regulations
relating to P.F. Act, ESI Act, Bonus Act, Minimum Wages Act, Contract Labour
Act, Workmen’s compensation Act, C.L. (R & A) Act, Migrant Labour Act,
Essential Commodities Act and/or such other Acts or Laws, regulations passed
by the Central, States, Municipal and local governmental agency or authority.

4.12.5 The Contractor shall be responsible for proper maintenance of all registers,
records and accounts so far as it relates to compliance of any statutory
provisions / obligations. The Contractor shall be responsible for making records
pertaining to payment of wages act and also for depositing the P.F. and ESI
contributions, with the authorities concerned.

4.12.6 The Contractor shall be responsible and liable for all the claims of his employees.

4.12.7 The Contractor shall obtain licence under the Contract Labour [R&A] Act from the
office of the Assistant Labour Commissioner and produce the same preferably
along with the first monthly bill. The first bill will be cleared only on submission of
the said licence. The Contractor would be required to maintain all books and
registers like Employment Register, Wages Register, Bonus Register, Overtime
Register, First Aid Box, Display of Notices, etc. as required under CLR&A, 1970
for inspection by visiting Labour Enforcement Officers.

4.12.8 The Contractor shall obtain adequate insurance policy in respect of his workmen
engaged by it towards meeting the liability of compensation arising out of
injury/disablement at work and submit a copy to Officer -in -charge within 30
days.

4.13 MISCONDUCT AND INDEMNIFICATION 

4.13.1 The Contractor shall keep the Owner indemnified from and against all personal
and third party claims whatsoever arising out of any commission or omission by
Contractor or his employees, or representatives as the case may be.

4.13.2 Appropriate penalty may be deducted from bills for non adherence to terms
/conditions and non performance to be introduced as decided by respective
officers

4.14 INTERPRETATION 

4.14.1 The Special conditions of Contract shall be read in conjunction all other
documents forming of this contract. Notwithstanding the sub-divisions of the
documents into these separate sections, every part of each shall be deemed to

be supplementary to and complimentary of every part and shall be read with and
into the contract.

4.15 VACATION OF PREMISES 

4.15.1 The Contractor shall give vacant possession of the facilities/premises made
available to the Contractor by iNDEXTb and return all furniture, fixture,
equipment and other items made available by iNDEXTb in good condition after
the contractual period is over or if the contract is earlier terminated. Handing
over of the vacant possession of the premises and equipment etc. shall be
effected within 4 days of the completion of the period of contract or termination of
the contract. If the Contractor fails to do so, the Owner shall be free to take
possession of the premises by opening lock(s), if necessary, and make out an
inventory of all furniture material and equipment and shall be free to deduct from
the Contractor’s bill(s) or security deposit, any item found to be missing at the
replacement cost of the material/equipment, furniture etc. given to the Contractor
by the Owner.

4.16 ASSIGNMENT & SUB­CONTRACTING  

4.16.1 The Contractor shall not assign, sub-contract or sub-let the whole or any part of
the contract in any manner. In case of on unavoidable circumstances, the
Contractor shall be able to do it with approval of the Owner of premises.
However the job shall be sublet only to the party approved by the owner.

4.17 REJECTION OF TENDER (S) 

4.17.1 The Owner reserves the right to reject any or all the tenders relating to the work
under this Tender Document without assigning any reason whatsoever.

4.18 QUANTUM OF WORK 

4.18.1 The quantities given in the “BILL OF QUANTITIES” are approximate only and
may vary in actual course of execution. The Contractor is therefore, advised to
quote very carefully. No claim for compensation from the Contractor shall be
entertained due to any variation in quantities (irrespective of the quantum of
variation) of the various items or deletion of any item(s). The rates shall be firm
during entire duration of the contract. . However upon extension of the
contract for next year the escalation clause shall be applicable as mentioned in
clause no.4.9

4.19 SERVICES FOR SPECIAL OCCASSION 

4.19.1 If at any time during the existence of the contract the Owner desires to utilise the
services of the Contractor for any special occasion or otherwise at Mahatma
Mandir or within the municipal limits of the venue, the Contractor will arrange the
same at the rates to be mutually agreed upon (provided the items are outside the
rates of items already included in the tender).

4.19.2 Similarly, in case the Owner desires to include any new items in the contract for
services the same will be negotiated with the Contractor.

4.20 FINAL PAYMENTS AND RETENTIONS 

4.20.1 Release of final payments and retention money outstanding on expiry or


termination of the contract shall be subject to the Contractor furnishing
satisfactory proof of re-deployment or retrenchment, as the case may be, of
employees who were deployed by the Contractor pursuant to the contracts to
work within the premises of Mahatma Mandir.

4.21 FORCE MAJEURE 

4.21.1 Force Majeure is herein defined as any cause which is beyond the control of
iNDEXTb or CONTRACTOR, as the case may be, which they could not foresee
or with a reasonable amount of diligence could not have foreseen and which
substantially affects the performance of the Contract, such as:

a. Natural phenomena, including but not limited to floods, droughts, earthquakes and
epidemics;
b. Acts of any Government, domestic or foreign, including but not limited to war,
declared or undeclared, priorities, quarantines, and embargoes.

4.21.2 Provided either party shall within fifteen (15) days from the occurrence of such a
cause notify the other in writing of such causes.

4.21.3 CONTRACTOR or iNDEXTb shall not be liable for delays in performing their
respective obligations resulting from any Force Majeure cause as referred to/
defined above

4.22 PENALTY 

4.22.1 In event of failure in execution of services under the scope of the Contract due to
the reasons attributable to the Contractor, iNDEXTb shall have the right to make
the deductions as per following;

4.22.2 For Services:

If total manpower deployed on any particular day is less in nos. instead of


scheduled nos., penalty shall be imposed on pro rata basis at agreed category
wise manpower rate and shall be deducted from monthly bill.

4.22.3 No penalty shall be imposed, for weekly and public holidays of Government of
Gujarat. If situation demands, CONTRACTOR shall depute additional manpower
at site within seven (07) days of written intimation from iNDEXTb; extra
Manpower shall be paid as per agreed category wise manpower rate. Failing
which, a penalty @ Rs. 300/- (Rupees Three Hundred Only) per day/person
shall be imposed & deducted from monthly RA bill.

4.22.4 Any correspondence or Minutes of Meeting shall not be constructed as waiving

of Penalty.

4.23 AMENDMENT 

4.23.1 iNDEXTb shall have the right by written notice to change the terms of the
Contract, specifications or other descriptions, the time, method or Scope of
Services. Upon receipt of such notice, CONTRACTOR shall proceed promptly to
make such changes. If any such change causes a change in the cost of the
execution of Services, CONTRACTOR shall provide prompt notice to iNDEXTb
of any such change and an equitable adjustment shall be negotiated promptly
and the Contract shall be modified in writing accordingly.

4.23.2 No variation in or modification of the terms of the Contract shall be made except
by written amendment signed by iNDEXTb and CONTRACTOR

4.24 RISK SERVICE 

In case of breach of its obligations under the Contract by CONTRACTOR


leading to disruption of service promised hereunder, it shall be competent for
iNDEXTb to terminate the Contract fully or partially, without any extra cost
compensation to CONTRACTOR or to complete the Services from any other and
in that event CONTRACTOR shall in addition to the payment of Liquidated
Damages be liable to reimburse to iNDEXTb additional cost if any incurred on
such execution of Services.

4.25 GOVERNING  LAWS 

The Contract shall be governed by the laws of India and the courts of
Ahmedabad, Gujarat (India), shall have exclusive jurisdiction.

4.26 CONSTITUTION 

The Contractor shall not change the constitution of their Company during the
currency of the Contract or till the extended Period granted, if any.

4.27 SETTLEMENT OF DISPUTES 

4.27.1 Any dispute or difference arising between the parties under this Contract, as to
their respective rights or obligations in terms hereof or connected herewith or
incidental hereto or as to the interpretation of any of the terms hereof, shall
unless it is amicably settled, be settled by arbitration in accordance with the
provisions of Arbitration and Conciliation Act, 1996 as amended from time to
time. The venue of the Arbitration shall be Gandhinagar. The Arbitration shall be
by the sole arbitrator and in the event, parties are unable to agree on
appointment of the sole arbitrator, each party shall appoint one arbitrator and the
two arbitrators shall appoint third arbitrator.

4.27.2 In case the two arbitrators are not able to agree on the third arbitrator, the same

shall be appointed as per. the Indian Arbitration and Conciliation Act 1996 as
amended from time to time.

4.27.3 The decision of any two of the three arbitrators shall be final and binding. The
parties agree that the decision and any award rendered by the arbitrators in
connection with a Dispute:

a. Shall be final and binding on the Parties.

b. Shall be the sole and exclusive remedy between the Parties regarding the
Dispute. The arbitration expenses shall be borne as per the award of arbitration if
same are given in the award of arbitration else same shall be borne by the loosing
party.

CHAPTER­5 GENERAL CONDITIONS OF CONTRACT  
5.1 INFORMATION REQUIRED WITH PRE QUALIFICATION  BID 
The following documents/ information are required to be submitted along with offer, each
to be filed in separate file covers:

5.2  IT CLEARANCE CERTIFICATE/ ASSESMENT ORDER/ IT RETURN 
Attested copy of latest valid Income Tax Clearance Certificate/ Latest Assessment
Order/ Latest IT return duly acknowledged by Income Tax authorities should be in the
name of the FIRM/ ORGANIZATION/ INDIVIDUAL quoting for the work.

5.3 EXPENSES TO BE  BORNE BY BIDDER 
All expenses in preparation and submission of bids and visits to the office or any place in
connection with the preparation of Bid shall be borne by Bidder. iNDEXTb in no case
shall be responsible or liable for these costs regardless of the outcome of the Bidding
process.

5.4 PRICES, TAXES, DUTIES 
The Bidder should quote firm prices/ rates taking in to account of all Taxes, Duties,
Levies, Personal Tax, Corporate Tax and all other expenditure required to be incurred by
him/her for providing required services etc. during the contract period as indicated under
his contract and after wards no variation on any account unless otherwise specifically
mentioned will be allowed. The quoted prices for all the items should be only excluding
Service Tax & Cess on Service Tax which shall be reimbursed at actual on production of
documentary evidence.

5.5 BID VALIDITY 
Bid submitted by bidder shall remain valid for a period of 4 (Four) Months from the date
of opening of offer. Bidder shall not be entitled during this period to revoke or vary the
content of Bid or any term thereof. In such case of making any variation subsequent to
submission of bid at their own, the offer shall be treated as “REJECTED” and EMD shall
be forfeited without any reference to the Bidder.

5.6 PRE­BID MEETING 
Pre-bid meeting has been scheduled on 13th May, 2013 at 12 Noon at the address
mentioned in Chapter 2 under “Pre-bid Meeting”.
Bidders are required to send their query in writing at least 24 hour ahead of Pre-bid
meeting

5.8 OPENING OF BIDS 
Un-priced Part of the offer (i.e. Part – I: Tech. BID) shall be opened on same day of
submission of offer after 04:00 PM at same office. During the opening only name of
Bidder and whether EMD is furnished, shall be informed and no other details/
information shall be given.
Presentation on the technical proposal by the qualified bidders will be made to the
Committee at a later date to be communicated after evaluation of pre-qualification offers.
Part – 2 – Price Bid of the technically acceptable bidders only shall be opened after the
technical presentation or at a later date to be communicated after evaluation of technical
bids.
During opening of Priced Part name of Bidder and Total prices shall be read. No other
details/ information shall be given.

5.9 EVALUATION OF BIDS AND AWARD OF WORK 
5.9.1. EARNEST MONEY DEPOSIT
The bid without requisite Earnest Money and/ or not in the prescribed Performa
will not be considered & bids of such Bidders shall be rejected.

5.9.2. DETAILED EVALUATION

mentioned as above, shall be taken up as per the PQ Criteria. Technical Bid


discussions, if considered necessary, will be held with such Bidders to determine
the Technical acceptability of the bids.
5.10 SCOPE OF WORK 
The objective of this contract is for complete up keep of facilities at Mahatma
Mandir to the best standards. Bidders have to accordingly prepare and present
their offer. Fogging, Terrace cleaning ( All buildings ),periodic drainage cleaning,
toilets cleaning etc. are also part of the house keeping services.
5.11 TIME SCHEDULE OF COMPLETION 

The time schedule for completion is given in the Bidding Document. Bidder is
requested to confirm to the completion period unconditionally.
Bids based on the process/ basic schemes other than mentioned and/ or not
conforming to the technical specifications/ requirements of the Bidding Document
will not be considered.
5.12 EVALUATION OF PRICE BID  
(Please refer BID EVALUATION SYSTEM given in CHAPTER – 7)
The price bids of only those bidders shall be considered for opening and evaluation
whose bid is determined to be technically acceptable to iNDEXTb.

Evaluation of price bid shall be taken up to determine the competitive prices of the
technically acceptable bids and include the following:

5.13.1. The quoted prices shall be checked to determine the arithmetical


correctness of the same.
5.13.2. iNDEXTb reserves the right to accept/ reject any tender in part or full, without
assigning an Reason whatsoever.
5.13.3. iNDEXTb reserves their right to negotiate the quoted price.

5.13 CONTRACT AGREEMENT 
The successful Bidder shall be required to execute a contract Agreement with iNDEXTb
on the non-judicial stamp paper of Rs. 100/- (Rupees one hundred only). The cost of
stamp paper shall be borne by successful Bidder.
iNDEXTb reserves the right to amend the terms & conditions of contract after mutual
discussions and shall only be in writing.

5.14 CONTRACT PERIOD 
The PERIOD OF contract shall be THREE YEAR.
The Contract period may be extended for two more years, on or before expiry of

the Contract, at the absolute discretion of Owner on the same terms and
conditions, depending on the Contractor’s performance during the currency of
the Contract. However, the rates shall be as mentioned in clause no. 4.9
(Escalation Clause)

5.15 WORK AT RISK AND COST  
The owner reserves the right to get the whole or part of the work executed by some
other agency at the risk and cost of the contractor if it is found that the quality and/or the
progress in respect of whole or part of the work is not satisfactory.

5.16 INSURANCE  
The successful bidder (Contractor) shall take third party insurance to cover any accident
or accidents of any nature, for an amount AS REQUIRED FOR this type of work against
damage/loss/injury to property or persons or loss of life during the complete period of the
contract. A copy of the Insurance Policy will be handed over by the Contractor to the
officer in charge designated by Owner or to the Office of the Owner before Starting Date
of the work as specified in the Work Order/Letter of Intent. In case the Contractor fails to
take the insurance policy, the owner would arrange for the same at the cost of the
Contractor, alternatively, the Institute may stop payment of bills to the Contractor till
Insurance is arranged by the Contractor or terminate the contract at the risk and cost of
the Contractor.

5.17 INDEMNITY  

The Contractor shall indemnify and keep indemnified the owner against all losses and
claims for injuries and or damages to any person or property. The Contractor shall abide
by and observe all statutory laws and regulations in matters of Labour Law, Factory Act,
Explosive Act, Workmen Compensation Act, Sales Tax, Royalty, Excise Duty, Works
Contract etc. and shall keep the owner indemnified against all penalties and liabilities of
every kind for breach of any such statute ordinance or law/regulations or Bylaws. The
Contractor shall not employ child labour. Payment to workers must be according to
Minimum wages act.

5.18 COMPLIANCE WITH THE OWNER RULES & REGULATIONS 
The Contractor shall comply with all norms stipulated by the Owner such as Gate
passes, Checking, Maintenance of Cleanliness, and Discipline & Decency at and around
the work site, Safety Precautions and Safety Regulations.

5.19 ARBITRATION 

All disputes regarding quality, specifications and rates shall be tried to be settled
mutually by making references to conditions of contract documents or prevailing local
practices etc., but if not settled mutually, shall be referred to arbitration subject to
Arbitration Act of 1940 and its amendments, modifications to-date. Arbitration cost to be
shared equally by the owner and the contractor.

5.20 AUTHORIZATION   

The Contractor shall submit to the Institute the names and reason and specimen
signatures of the persons authorized by him to draw materials, sign joint measurements,
bills, receive payments, receive instructions/notices etc. on behalf of the Contractor.

5.21 ACCESS TO SITE 
The Contractor shall allow unhindered access to the Institute and/or any other party or
person, engaged by the Institute to work at the same site and/or to check/ regulate /
watch /guard/ measure/inspect, solely or jointly with the Contractor.

5.22 EXIT CLAUSE 
The contract may be terminated by owner by giving a one month notice to the other.

5.23 SAFETY AND SECURITY  

Contractor shall abide by the safety code provisions as per safety code framed from time
to time by the government.

5.23.1 The owner may penalise the contractor for non performance on specific
area/instances. it will be decided by in charge officer.

5.23.2 The contractor shall not employ any staff from the previous contractor without
permission from owner

CHAPTER – 6 SUGGESTED BID STRUCTURE 

The bid that will be submitted by the bidder should consist of the following five components in
the sequence given below:

PART ­ 1 – PREQUALIFICATOIN AND TECHNICAL BID: 

A. PRE-QUALIFICATION

a. Demand draft of Rs.10,000/- (Rs. Ten Thousand only) in favour of INDUSTRIAL


EXTENSION BUREAU, payable at GANDHINAGAR towards bid submission
charges

b. Rs. 1,00,000=00 (Rs. One lakh only) (BY CHEQUE/DEMAND DRAFT in favour of
INDUSTRIAL EXTENSION BUREAU, payable at GANDHINAGAR

An envelope containing all the documentary proofs in support of meeting the pre-
qualification criteria as specified in Chapter 3. It should be arranged in sequence according
to the pre qualification criteria numbers. The envelope should be labelled as “PQ
Documentary Proofs”.

An envelope containing the documents specified in terms and conditions (Chapter 5, item
5.1): service tax registration, VAT/TIN/CESS registration, etc. The envelope should be
labelled as “Documents specified in Terms and Conditions”

In addition to the above, the envelop should also contain the documents and descriptions
pertaining to extent and quality of experience in providing facility management services, list
of premier/large clients with distribution of size of contracts in operation or completed, client
satisfaction certificates, organizational process of inducting and training the manpower,
hygiene enforcement processes and methods

B. TECHICAL QUALIFICATION

Along with the PQ Documentary Proofs, the bidder should also provide in a separate sealed
envelope all the relevant information which forms part of the technical bid / proposal and
would like to present to the technical committee upon being successfully shortlisted in Pre-
qualification. The information provided in the technical BID will be used for
understanding and assessing/evaluating the quality of solution being proposed by
the bidder. Technical score for the bidder will depend on the information provided
herein. This information should include items such as:

a. Comprehensive operational plan designed and proposed by the bidder for


Mahatma Mandir to deliver facility management services. A sample plan

(indicative only) is devised and placed in the annexures for reference.

b. Complete details related to manpower that will be deployed (number, ranks,


experience, reporting structure, qualification, etc.)

c. Comprehensive listing of the material and machinery to be deployed for the


services, including a comprehensive list proposed for cleaning, sanitizing, up
keeping, maintaining the facilities. The list should have details about the
proposed number that would be used based on the periodicity, the type of the
material and machinery, brand of the material and machinery. A tentative list is
provided in annexure II and III to this tender document

d. Explicit statement about any quality additive enhancements made to standard bill
of material as provided in original price bid document and for which cost is
accounted for.

e. Information relevant for assessing the ability/expertise of the bidder for


guiding/advising in modernizing the infrastructure, latest equipment choices etc.

f. Transition/takeover plan that is proposed.

All the above information should be organized in logically structured form and submitted
as technical bid with an index. Bidder is free to add any information that can help in
assessing technical quality of the solutions proposed and which touches upon the
parameters/attributes for technical assessment given in Chapter 7.

PART – 2 – PRICE BID : 

Envelope containing the price bid. This envelope should be labelled as “Price Bid”. It
should contain all the information related to prices in the format given in price bid document.

• Bidders have to fill nos. of janitor / helper, Supervisor, Engineers, Technicians, Unit
manager,etc including their salary in Section – 100.
• Bidders are requested to fill percentage of management fee only in Section – 200.
Service tax shall be paid extra as applicable.
• The rate for tractor trips shall be quoted in Section - 300 inclusive of over head and
profit. Service tax shall be paid extra as applicable.
• An overall summary sheet shall also be filled which gives the total tendered amount of
the bidder.

CHAPTER – 7 BID EVALUATION SCHEME 
(1) Technical bid and price bid together will be used to choose
“techno-commercially” lowest bidder.

Technical Bid will be assessed for 50 marks and Price Bid will be
assessed for 50 marks.

(2) Technical bid score, out of 50, will be arrived based on the following
parameters/attributes/dimensions:

1. Extent and Quality of Experience in providing/managing hospitality services


2. Size of current business (turnover)
3. Extent of national presence
4. Client list, retention record and size/distribution of contracts completed/under
execution
5. Number of employees on the role
6. Systems and processes followed for recruiting and training the employees
7. Client satisfaction certificates
8. Brands of materials (cleaners etc.) proposed
9. Machinery/equipment to be stationed at Mahatma Mandir at bidder’s cost
10. Comprehensive operational plan (indicating the complete methodology for
housekeeping and technical services with all details) given in the technical
bid for services management
11. Transition/takeover plan for housekeeping and technical services
12. Client site visit ( if required )
13. Manpower proposed (key persons, their credentials, other technicians,
number of persons, rank, experience, qualification etc.)
14. Reporting and Review Systems proposed
15. Complaint redressal system proposed
16. Relevant quality additive enhancements in services management that are
proposed over and above standard bill of material and technical staff given
as in original price bid document
17. Commitment of top management

Step -1 : Bidders getting less than score of 25 in the technical bid will not be
considered for the price bid.

Step – 2 : ( for techno-commercial evaluation ) : Bidders getting highest technical


score will be considered as 50 and others will be adjusted on prorata rata basis. This
