CONSTITUTION

ARTICLE I: NAME

The name of this organization shall be the Bobcats4Ever Fantasy Football League.

ARTICLE II: PURPOSE

The Bobcats4Ever Fantasy Football League shall provide a platform through which distinguished alumni
of Quinnipiac University — specifically its School of Communications — may compete against one
another in fantasy football. Through this game, these alumni may have a way to be in touch with friends
and enemies, no matter the physical distance.

ARTICLE III: FORMATION

The Bobcats4Ever Fantasy Football League held its first official season in 2013. Kyle Brennan ’12 was the
founding Commissioner. Charter members, listed alphabetically by last name, were: Alex Birsh ’11, Kyle
Brennan ‘12, Matt Eisenberg ’14, Andrew Fletcher ’10, Andrew Gau ’10, Matthias Gausz ’13, Corey
Hersch ’11, Miles McQuiggan ’12, Lenny Neslin ’12, Jamie Palatini ’10, Marc Schwartz ’13 and Andrew
Vazzano ’10.

The league operated for two full seasons without a written constitution. Events throughout the 2014
season prompted calls by ownership to draft a constitution, which was ratified with a unanimous vote of
ownership present at the first Bobcats4Ever Fantasy Football League Owners Meeting, held Jan. 10,
2015, in Hamden, Conn.

ARTICLE IV: STRUCTURE AND OWNERSHIP

Section 1: Format. The Bobcats4Ever Fantasy Football League shall be a 12-team, head-to-head league
played using the Yahoo! Fantasy Football platform. Unless otherwise stated in this constitution, default
rules set by Yahoo! Fantasy Football shall be used.

Section 2: Qualifications. Ownership, with the exception of grandfathered members, shall be limited to
those with an undergraduate degree from Quinnipiac University.

Section 3: Commissioner. The Commissioner shall have the power to enforce this constitution and make
decisions on matters not expressly covered within this constitution. The Commissioner shall remain in
office until he resigns or three-quarters of all owners vote for his removal, upon which the league shall
vote for a new Commissioner with three-quarters approval.

Section 4: Dues. Each owner shall contribute yearly dues to the Commissioner. These dues, which shall
be set on a yearly basis by majority vote of the ownership, shall be $50 per team. Owners who do not
pay dues in a timely fashion shall be banned from making transactions. The top three prizes shall be
$330, $100 and $50 (roughly 70, 20 and 10 percent). In addition, a pool of $120 shall be reserved for
points-based prizes. A $5 prize shall be awarded to the top-scoring team in each week. At the end of the
regular season, a $35 prize shall be awarded to the highest-scoring team, followed by prizes of $15 and
$5.

Section 5: Ownership. Each owner shall maintain ownership of his team until he forfeits ownership or is
impeached by a three-quarters vote of all owners. The Commissioner reserves the right to veto the
impeachment of an owner.

Paragraph A: Vacancies. A vacancy in ownership shall be filled by majority vote of all owners.
Existing owners shall nominate potential owners, and the candidate that receives a majority
shall be invited to join the league.

ARTICLE V: SCHEDULES AND PLAYOFFS

Section 1: Schedules. Each of the 12 teams shall play all other teams at least once; each team shall play
two other teams twice. The regular season shall begin in Week 1 and last through Week 13. Effective as
of the 2017 season, there are no divisions.

Paragraph A: Opponents Played Twice. Two-time opponents shall be determined using the
previous season’s standings. The No. 1 team shall play No. 2 and No. 3; the No. 2 team shall play
No. 1 and No. 4; the No. 3 team shall play No. 1 and No. 5; the No. 4 team shall play No. 2 and
No. 6; the No. 5 team shall play No. 3 and No. 6; and the No. 6 team shall play No. 4 and No. 5;
the No. 7 team shall play No. 8 and No. 9; the No. 8 team shall play No. 7 and No. 10; the No. 9
team shall play No. 7 and No. 11; the No. 10 team shall play No. 8 and No. 12; the No. 11 team
shall play No. 9 and No. 12; and the No. 12 team shall play No. 10 and No. 11.

Section 2: Playoffs. The top six teams by overall record shall advance to the three-round postseason.
The top two teams by overall record shall receive first-round byes, and the first-round matchups shall
feature No. 3 vs. No. 6 and No. 4 vs. No. 5. Semifinal matchups will be re-seeded as to pit the lowest
remaining seed against the No. 1 seed.

Paragraph A: Tiebreakers. In case of a tie in a playoff matchup, the team which won the regular-
season meeting between teams shall advance. If the matchup includes Mr. McQuiggan, his
opponent shall advance. If the matchup includes any other teams and ends in a tie, the league
shall consult independent arbiter Jeremy Schilling to make a decision about which team shall
advance. If the independent arbiter is unable to render a decision, the team seeded higher in
the playoffs shall advance.

ARTICLE VI: ROSTERS, KEEPERS, DRAFT AND TRANSACTIONS

Section 1: Roster. Each team’s roster shall include the following starting lineup: one quarterback, two
wide receivers, one running back, one tight end, two flex players (skill only), one kicker and one
defense/special teams. The roster shall also allow for six bench positions — available to use in any
manner — and a maximum of one injured reserve spot.

Section 2: Keepers. Each team shall be allowed to keep a maximum of three players from the previous
season’s roster through protected draft choices, using the following rules.

Paragraph A: Keeper Designation. Owners must designate keeper players at least one week
prior to the draft. After this deadline, the list of keepers shall be released to the league.

Paragraph B: First-Time Keepers and Basement. Keepers returning to a team for the first
consecutive time shall be assigned the same draft value he held in the previous season — no
matter previous keeper status of that player — unless the player was taken after the seventh
round or was undrafted, in which case he will be assigned seventh-round value.

Paragraph C: Multiple-Time Keepers and Escalation. Keepers returning to the same team
beyond the first consecutive time shall be assigned draft value one round higher than the player
held in the previous season, unless the player held first-round value the previous season, in
which case that player will maintain first-round value.

Paragraph D: Injured Reserve. Any player who spends more than 50 percent of his team’s
competitive season — only the regular season for a non-playoff team; the regular season plus
any playoff run for others — in his team’s injured reserve position shall not be subject to the
escalation rule set forth in Paragraph C.

Paragraph E: Keeper Draft Value. A keeper may be slotted in a draft round equal to or greater
than his value. If a team chooses to keep a player who holds value equal to a round in which the
owner does not have a pick — or, if the team chooses to keep two players who hold the same
value — the team can use a higher draft pick to keep the player. The player’s value shall remain
true and shall not experience an additional increase due to use of a pick higher than his value.

Section 3: Draft. The draft shall take place within two weeks of the start of the season, with the date
and time to be voted upon by majority of the league’s ownership. Each team shall have 15 picks. The
draft shall be conducted in a reverse snake style. Any draft picks traded during the previous season shall
be applied to the draft order, followed by keepers.

PAGE 3
BOBCATS4EVER FANTASY FOOTBALL LEAGUE CONSTITUTION
Paragraph A: Draft Order. The draft order shall be set by the reverse order of the previous
season’s standings. The six teams that miss the playoffs shall be assigned the top six spots by
ascending regular-season record. Any ties shall be broken using points-for during the previous
season; the team that scored the lowest points during the previous season shall win the
tiebreaker. The final six spots shall be assigned according to the outcome of the playoffs.

Section 4: Waivers and Free Agency. All undrafted players shall immediately become free agents. Free
agents hit the waiver wire each week at the time of their game, and waiver claims shall be processed
late Tuesday night. Players dropped in waiver transactions shall go on waivers for one day. There shall
be no can’t-cut list.

Paragraph A: Waiver Priority. Waiver priority shall be a continuous rolling list, set after the draft
by reverse draft order. Successful claims shall move a team to the last priority.

Paragraph B: Injured Reserve and Suspensions. Any player on season-ending injured reserve, or
who is suspended for the season, shall be ineligible to be acquired via the draft, free agency or
waivers. Teams shall still be allowed to trade players in their injured-reserve roster positions.

Section 5: Trades. All trades shall be made in good faith with the best interest of each team’s short-
and/or long-term future in mind. Trades involving draft picks shall include the same number of draft
picks moving between each side. There shall be no limit on how many teams or assets may be included
in one trade. Trades shall be allowed beginning on draft day — draft-day trades may only include
keepers and draft picks — and all trades shall be accepted by the Friday prior to Week 12. Pending
trades will expire in one week.

Paragraph A: Vetoes. All trades shall be subject to approval by the league’s ownership. Owners
shall have 24 hours after an accepted trade to submit a written veto via email to the
Commissioner. A veto shall only be exercised if an owner believes a trade clearly upsets the
competitive balance of the league and does not benefit both owners in either the short- or long-
term. Owners involved in a trade shall not veto their own trade. If six owners submit vetoes
against a trade within 24 hours, the trade shall be nullified. If the veto threshold is not reached
within 24 hours, the trade shall be approved. Owners are limited to using three vetoes per
season. If a trade is successfully vetoed, the owner retains that veto; if a trade is not successfully
vetoed, the owner loses that veto.

Paragraph B: Draft-Day Trades: Trades involving draft picks and rights to keeper players shall be
allowed on draft day. Owners may agree to trades in principle prior to draft day, but all in-
principle trades submitted to the league office shall become officially pending at midnight on
draft day and cannot be withdrawn by any involved owner. The trade deadline on draft day shall
be 2 ½ hours prior to the start of the draft, and the veto deadline shall be 1 ½ hours prior to the
start of the draft.

Section 6: Transaction Limit. There shall be no limit on transactions per team in a season. Team rosters
shall lock during the final week of a team’s season (defined as a team’s final game of the championship
or consolation tournament).

Section 7: Tampering and Collusion. Owners shall not tamper with trades after they have been
accepted by colluding with other owners to veto a trade. Owners shall not collude with other owners to
misuse the waiver wire and create an unfair competitive advantage.

Paragraph A: Penalties. If an owner(s) is found by the Commissioner to be guilty of tampering

and/or collusion, the Commissioner may levy penalties against the owner(s). Penalties may
include draft pick forfeiture and other penalties.

ARTICLE VII: NOTABLE SCORING SETTINGS

Section 1: Standard Scoring. Unless otherwise voted upon and noted, standard scoring used by Yahoo!
Fantasy Football shall be in place.

Section 2: Fractional and Negative Points. Fractional and negative points shall be scored.

Section 3: Offense. Passing touchdowns shall be worth six points. Interceptions shall be worth minus-
three points. Receptions shall be worth one-half point.

Section 4: Returning. One point shall be scored for every 25 return yards per player.

Section 5: Kicking. Missed field goals from 0-29 yards shall be worth minus-three points. Missed field
goals from 30-39 yards shall be worth minus-two points. Missed field goals from 40-49 yards shall be
worth minus-one point. Missed extra points shall be worth minus-one point.

Section 6: Defense. A shutout shall be worth 15 points. Allowing 1-6 points shall be worth 10 points.
Allowing 7-13 points shall be worth seven points. Allowing 14-20 points shall be worth three points.
Allowing 28-34 points shall be worth minus-two points. Allowing 35-plus points shall be worth minus-
five points. Sacks shall be worth one-half point each. Safeties shall be worth four points. Blocked kicks
shall be worth two points. One point shall be scored for every 100 return yards per team.

ARTICLE VIII: AMENDMENTS, RULE CHANGES AND VOTING

Section 1: Amendments and Rule Changes. Amendments and rule changes shall be proposed in writing
to the Commissioner, who shall submit the proposal for a league vote. A majority vote of the ownership
is needed to pass an amendment, except amendments affecting any item already with a three-quarters
clause included. In the latter case, a three-quarters vote of the ownership is needed to pass an
amendment.

PAGE 5
BOBCATS4EVER FANTASY FOOTBALL LEAGUE CONSTITUTION
Section 2: Voting. All voting related to amendments and rule changes shall be completed prior to the
keeper declaration deadline for the changes to be implemented for the upcoming season. Voting shall,
when possible, be limited to the owners meeting. Owners who are unable to attend the owners meeting
shall be allowed to vote by proxy, writing or other means. If an owners meeting is not scheduled, voting
shall take place through an online survey. The Commissioner shall conduct and tally all votes. If the
Commissioner sees fit to hold an emergency vote on a rule proposal that may immediately affect the
competitive balance of the current or future seasons, he shall have the authority to do so.

ARTICLE IX: ARBITRATION

If an owner feels as though he faces an issue that cannot be fairly resolved by the Commissioner, he may
petition the Commissioner to recuse himself and send the case to an independent arbiter mutually
agreed upon by the petitioner and the Commissioner. If the Commissioner does not recuse himself, the
owner may present a petition of one-half the league’s ownership to force recusal. If the arbiter
overturns the Commissioner’s decision, there shall be one opportunity for the Commissioner or another
owner to appeal the case to a second independent arbiter. The second arbiter’s decision shall be final
and cannot be subject to further appeals.
