0 CURRENT SITUATION
GD Express Sdn Bhd (GDex) was formed in 1997 to provide express delivery service for
both the domestic and international markets. It operates a network of 96 stations,
comprising 59 branches, 2 affiliate stations and 41 agents throughout East and West
Malaysia. GDex has a fleet of more than 280 trucks and vans used primarily for hauling
of documents and parcels between stations and the National Hub (termed "line-haul"
fleet) for local pick-ups and deliveries.
The company's express delivery service operations are structured along the principles of
the "Hub and Spoke" concept whereby customers' packages are collected by the
branches, sent by trucks to a Central Clearing Hub for sorting and then redirected to their
ultimate destinations.
The group currently employs more than 1400 staff. GDex is the first local express
delivery company to obtain ISO 9001: 2000 (Quality Management System) certifications
for all its entire 25 departments in 2003. In November 2009, GDex upgraded its (Quality
Management System) to ISO 9001: 2008. In its quest to be a world class service
provider, the company has embarked on a world class excellence training programme
called the Prime Minister Quality Award programme (PMQA) to equip its employees for
world class performance in express carrier service and operations. GDex is listed on the
Mesdaq market of Bursa Malaysia through its holding company GD Express Carrier Bhd
in May 2005.
1.1.0 Company Profile
GD Express Carrier Bhd. (GDEX) was established in 1997 and it headquartered in Petaling
Jaya, Selangor, Malaysia. It is an investment holding company, which engages in the
provision of express delivery, express carrier, and logistics services. The company operates
through the following segments: Express Delivery and Logistics. Its products and services
include Domestic Express Carrier, International Express Carrier, Customised Logistics
Solutions, Logistics Services, and GDEX Prepaid. GD Express (GDEX) has grown steadily
spanning over 150 stations in Malaysia and Singapore.

solutions to meet their customers’ needs.

delivery order (DO) from their valued customers.

outsource their mailroom activities of handling

this service, GD Express stations its own staff at

Project Handling GDEX offers a complete project handling service
whereby it takes care of its customer goods from
arrival in Malaysia to distribution to end users.

GD Logistics (M) Sdn Bhd was formed to serve the growing demand for Logistic and
Freight business in Malaysia. Established with experience in handling Land, Air and
Ocean Freight, it strives to optimize customers’ transportation costs via Total Quality
Management (TQVM) efficiency and effectiveness.

solution, Enhanced Liability Coverage (ELC), to those concerned about shipping their
valuable shipment. Unlike other services, ELC is a truly enhance liability that covers
against all risks during the course of carriage. Any claim with ELC is hassle free.
GDEX take serious responsibility in every shipment you consigned for carriage.
Subject to the Standard Conditions of ELC, if there is any loss, damage and/or
shortage to your shipments, GDEX ensures that you will be compensated accordingly
in the shortest time possible.

Rising fuel cost and the continued weakening of the Ringgit has resulted in inflation and
higher cost of operations which has affected GDEX operating margins. Where there are tough
challenges, there are also great opportunities. While this signifies the government’s decision
to embrace E-commerce fully, this move will speed and open up the country’s digital and IT
infrastructure development footprint tremendously. By adopting the E-commerce agenda, all
stakeholders – government agencies, statutory bodies and the private sector will have to move
quickly to develop and use the E-commerce platform to synchronise all their operations
digitally.
In the face of such challenges, the management has to become even more vigilant. GDEX
devoted much energy and resources to raise the level of competence and capabilities during
this trying period. Topmost, GDEX recruited more employees, both new and experienced, to
increase their workforce. GDEX continued to reinforce and strengthen areas that are fast
growing, repositioning and promoting workers who showed good potential. The management
ensured that proper training was given to new recruits to ensure they understand the standard
operating procedures and assimilate the GDEX culture, as the latter promotes unity and
cooperation amongst all levels of employees. Staff who are motivated and hardworking were
given advanced training and promoted to positions with more responsibilities, thus ensuring
upward mobility, talent retention and a better future for all who are dedicated and committed
to the growth of GDEX. To increase operations efficiency, the management continued to
invest heavily in systems and processes, both hardware and software. Automated conveyor
belt system had been extended to cater for increased volume. The conveyor system can now
sort up to 120,000 parcels daily compared to 90,000 parcels previously.
GDEX had introduced new delivery solutions such as Mobile Applications and cloud-based
Call Center. GDEX also fine-tuned customised logistics solutions and warehousing services
by offering faster and more secured delivery solutions. The increased demand for express
delivery services also necessitates the continued investments in delivery trucks and
infrastructure. The number of delivery trucks to 831 units from 654 units previously, with a
carrying capacity of 2,289.6 tonnes compared to 1,682.5 tonnes. To ensure the smooth flow
of incoming and outgoing trucks with their delivery loads into the hub, the management
converted an adjoining piece of property into an outbound waiting area, so as to reduce the
congestion of inbound vehicles during peak operations.
With its focus on quality service and growth based on solid assets, GDEX may not stand out
among companies that display more attractive quarterly reports. But it’s strong, consistency-
focused corporate culture and its ability to plan for the long run, and then execute those plans
with great precision, make up a bigger picture than short-term results would-and the picture is
a good one
GDEX will continue to focus on solution-based approach to express delivery as it aligns its
policies to meet the demands of an increasingly sophisticated express delivery market. To
achieve this objective, GDEX will continue to invest in infrastructure, facilities, human
resource, system and process development to enhance its strategic position and to ensure that
it is capable of meeting the expectations of its customers. Besides that, the Group will look
out for other business activity that will complement and synergize its core business and
maximise return to all stakeholders.
2.0 CORPORATE GOVERNANCE
The Board of Directors ("the Board") of GD Express Carrier Bhd ("GDEX" or "the
Company") recognises and subscribes to the importance of the principles and the
recommendations of corporate governance as set out in the Malaysian Code on Corporate
Governance 2012 ("MCCG 2012" or "the Code"). In addition to the Code, the corporate
governance practices and operations of the Company and its subsidiaries ("GDEX
Group") comply with or are guided by the Main Market Listing Requirements ("MMLR")
of Bursa Malaysia Securities Berhad ("Bursa Securities") and GDEX Group's Code of
Ethics and Conduct. The Board remains committed in ensuring and maintaining the
highest standard of corporate accountability, transparency and integrity as a fundamental
part of discharging its responsibilities to protect and enhance shareholders' value and
financial performance of the GDEX Group.
In June 2017 GDEX remained as a constituent of the FTSE4Good Bursa Malaysia Index,
which sets high standards for companies with environmental, social and governance
practices. The GDEX Group is committed to complying the legal and other requirements
on environment protection, preventing pollution to the environment and continually
improving its environmental performance and upgrading its Environmental Management
System. The GDEX Group has been awarded ISO 14001, an Environmental Quality
Management ISO International Standard.
The Board considers that the corporate governance frameworks and practices of the
Company, as set out in this Statement serve to strengthen the GDEX Group's
sustainability, organisational effectiveness and drive a high-performance culture within
the GDEX Group. This Statement outlines the key aspects in which the GDEX Group
has applied and taken into account the Principles and Recommendations enumerated
under the MCCG 2012 and Paragraph 15.25 of the MMLR during the financial year
ended 30 June 2017 in which where there are gaps in the Company's observation of any
of the Recommendations of the Code, these are disclosed herein with explanations. The
Board will continue to implement measures to improve the compliance with principles
and recommended best practices moving forward.
