Terms:

Jason Davis (“The Artist”) and the Client above (collectively as “The Parties” herein) agree that
this contract constitutes the entire agreement between the Parties. This contract sets for the terms
by which The Artist shall perform as hired by Client for the event as detailed above.

The Parties agree that The Artist shall perform and play music for up to 4 hours, and in
consideration for the performance, Client shall pay The Artist a total of $800.00 by no later than
one hour prior to the Artists performance. Client shall provide the venue, performance area,
and a small break area away from the reception with light refreshments (i.e. water, soft drinks,
snacks). If The Artist is requested to play longer than the 4 hours, Client agrees to pay an
additional $50.00 per 30-minute increment to The Artist. Initial - ___________

The 4 hour performance and play time does not include set up or tear down of the equipment.
The Artist agrees to set up at least an hour prior to performance if arranged by Client, and will
tear down the equipment promptly at the end. The Artist shall arrive formally dressed for the
event.

A 10% deposit is to be paid upon receipt of this contract. This amount is $80 over this contract.
The full balance of $720.00 shall be paid to and received by The Artist no later than one hour
PRIOR to the performance, the day of the event, preferably in cash. Initial - ___________

Force Majeure:

If performance of this Contract becomes impossible by reason of any circumstances beyond the
reasonable control of The Parties, including without limitation, fire, explosion, power failures,
Acts of God, acts of war or public enemies, any law, order, regulation, ordinance or requirement

of any government or legal body, then the party affected shall be excused from such performance
to the extent and for the duration of such interference, provided that the party so affected shall
use reasonable efforts to remove promptly such causes of nonperformance.

In the event that the selected venue suffers a catastrophe at any time following the date of this
contract and prior to the event that is the subject of this contract, Client shall immediately notify
The Artist as to the nature of the catastrophe and whether or not Client expects such catastrophe
to impact Client’s obligations hereunder in any way.

Indemnification

The Parties, its owners, operators, and agents agree to hold the other party, its owners, operators,
and agents harmless in the event of any injury, accident, or sickness affecting anyone attending
this promotional event. Any insuring agreement, indemnity agreements, or other contracts
regarding the premises used by the Client are not agreements or contracts to which The Artist, its
owners, operators, or agents are a party unless expressly provided therein. The Client agrees to
hold The Artist, its owners, operators, and agents harmless against all claims not expressly
agreed to herein.

Modification, Termination, and Cancellation

Any deposit paid by Client is non-refundable.

The Parties agree that the terms of this contract shall be in writing if modified.

In the event that The Artist’s services are terminated prior to October 11, 2016 no additional
amounts shall be due from Client. If The Artist’s services are terminated after October 11, 2016
the balance of the Contract shall remain due in full from Client, and Client agrees to remit the
balance payable to ATT: JASON DAVIS 401 S Spring Creek Dr Richardson TX 75081 or via

The Parties agree that they shall enter into a new contract if a new date is selected for the event.

Weather Clause for festival and outdoor private events: (READ CAREFULLY)
In the event the weather will not reasonably permit outdoor performance (per BOTH parties) and
no indoor accommodations have been made for an alternative performance space, the balance is
due ON the original date of October 22, 2016 and Artist agrees to create a weather reschedule
contract reflecting invoice paid per original date and will only require a deposit of $50. This is
only the case when rescheduled date is within 30 days on the original, canceled date. If the
rescheduled date is more than 30 days of the original contracted performance date, a new
contract will be created with new terms. It is at the Artists discretion if a re-booking discount is
to be applied per the new contract.

Place of Performance

This contract is made and performable in Dallas County, Texas. The terms of this contract are to
be construed in accordance with the laws of the State of Texas. In the event of a dispute, The
Parties agree to mediate the dispute with an attorney mediator in Dallas County and divide the
mediation fee equally between The Parties.

By signing this contract, The Parties agree that they have read the contract, understand its
contents, agree to each of the terms and conditions stated in it, and that the representative whose
signature appears below has the authority to bind its respective organization to this contract.
