of the ZF Supplier Academy (valid as of September 2011)

14. Confidentiality
14.1 The customer is obliged to keep confidential and use only for
purposes of contractual tasks all information that has been
disclosed to him by ZF (e.g. commercial and company

of employees of the customer in so far as they require the
information for the purposes of this contract.
14.2 This obligation for secrecy remains in effect for five years after
the end of the contract.
14.3 The confidentiality obligation is not applicable with regard to

- the customer becomes aware of through a third party without
violating a confidentiality obligation.
14.4 As long as the customer receives or stores information in
electronic format that is subject to a confidentiality obligation,
the customer must protect it against unauthorized access as
though it were personal data in accordance with the BDSG
(Data Protection Law).
14.5 The customer must oblige its employees to comply with the
above confidentiality regulations and ensure that they observe
this obligation.

15. Final Provisions


15.1 Should individual terms of these General Terms and
Conditions be or become wholly or partly invalid, this does not
affect the validity of the other terms. The invalid term will in
this case be replaced by the statutory regulations. The same
applies if the General Terms and Conditions have an
unforeseen omission.
15.2 To be legally effective, amendments of and supplements to
this agreement must be in writing. This also applies to a
waiving of or amendment to the requirement for written form.
15.3 The customer's General Terms and Conditions do not apply,
even if ZF does not expressly rejects them.
15.4 This agreement and issues regarding its validity,
interpretation, and execution shall be subject to the law of the
Federal Republic of Germany.
15.5 The exclusive place of jurisdiction is the court responsible at
the seat of business of ZF.
