DEED OF SALE

KNOW ALL MEN BY THESE PRESENTS:

This Deed of Sale, entered into this ______________ by and between:

Li Yin Wang, of legal age, Chinese, with residence address at A16 A.

Linao St., Paco, Manila, hereinafter referred to as “VENDOR”;

AND

TOPJUAN CONSULTING, INC., a corporation duly registered

and existing under and by virtue of the laws of the Republic of the
Philippines, with principal office at 8th Floor, Metrobank Avenue,
Metropolitan Park, Roxas Blvd., Pasay City, represented in this act
by its HR ADMIN HEAD, Mr. Tyrone G. Lacson, hereinafter
referred to as the “VENDEE”;

WITNESSETH:

WHEREAS, VENDOR is the true and absolute owner of a motor vehicle more
particularly described, as follows:

WHEREAS, the VENDEE desires to purchase the aforementioned motor

vehicles

NOW THEREFORE, for and in consideration of the purchase price of THREE

HUNDRED THOUSAND PESOS (Php300,000.00), receipt of which in full is hereby
acknowledged by the VENDOR to his full and complete satisfaction, the VENDOR
does hereby SELL, TRANSFER, and CONVEY, absolutely and unconditionally unto
the said VENDEE, his successors and assigns, the above described motor vehicle.

That VENDOR hereby warrants unto VENDEE full title and ownership over the
above-described motor vehicle free from all liens and encumbrances, in favor of any
person or entity.
