INFORMAT!ON
A reliable source information has been received that M/s. AirAsia (lndia)
Limited is a joint venture between M/s. Tata sons Limited, M/s. Telestra Tradeplace
Pvt. Ltd. & M/s. AirAsia Investment Limited, Malaysia. M/s. AirAsia (lndia) Ltd. (AAIL)
submitted applications to the then Foreign Investment promotion Board (FlpB) of
India in February, 2013 and received a formal approval in April, 2013, followed by
the No objection certificate (Noc) in september, 2013 and Air operating permit
(AoP) in May, 2014 for carrying out domestic aviation in India. presenfly, M/s.
AirAsia (lndia) Limited is a joint venture between Tata sons Ltd. (49%) ano
Malaysian carrier M/s. AirAsia, Berhad (49%). Rest 2% is owned by chairman s.
Ramadorai (0.5%) and R. Venkataramanan (1.5%). M/s. AirAsia, Berhad, Malaysia
is being owned and controlled by Mr. Anthony Francis Fernandes @ Tony
Fernandes, a Malaysian national of lndian origin.
2. Source information revealed that M/s AirAsia India Ltd. was indirecty
controlled and operated by AirAsia Group and particularly AirAsia, Berhad violating
the then various norms of then FlpB. This structure was indirecfly formalized
througn
a "Brand License Agreement" signed between M/s. AirAsia (lndia) Ltd. (represented
by Mr. Tony Fernandes) and M/s. AirAsia, Berhad (represented by Mr.
Tharumalingam Kanagaringam @ Bo Lingam) on 17.04.2013 which indirecfly
made
M/s. Air Asia (lndia) Ltd. a de-facto subsidiary rather than a joint venture.
As per the
then FDI policy, foreign airlines are allowed to own up lo 49o/o shares
in domestic
airlines but effective management control must remain with the Indian partner.
lt is
further revealed that the shareholders and Indian partners at the joint
venture,
including the board members, were not only aware of these intentions,
but also
consciously ensured violating the then FlpB norms, hence violation
of FDI norms
were prima-facie found by giving effective management contror
to a foreign entity.

International Civil Aviation. The 5/20 rule was laid down by Ministry of Civil Aviation
on 29.04.2004. The 5/20 rule was an eligibility criteria of a minimum of 5 years
experience of continuous operation of domestic scheduled air transport services and
fleet size requirement of a minimum ot 20 air crafts and the said eligibility criteria
needs to be fulfilled for flying internationally.
4. source information has further disclosed that unknown public servants of Ministry
of civil Aviation, Government of India & then FIPB entered into a criminal conspiracy
with Mr. Venkataramanan Ramchandran, Director, M/s. AirAsia (lndia) Ltd, Mr.
Anthony Francis Fernandes @ Tony Fernandes, Group Chief Executive Officer
(GCEO), M/s. AirAsia Group, Malaysia, Tharumalingam Kanalingam @ BO Lingam
Dy. GCEO of M/s. AirAsia, Berhad, Mr. Rajendra Dubey of M/s. Green lT Com
Private Limited, M/s. RRT Services India Pvt. Ltd., M/s. HNR Trading pte. Ltd.,
Singapore, M/s. AirAsia (lndia) Limited and unknown public servants & unknown
private persons with intent to help M/s. AirAsia (lndia) Ltd. to expedite the approval
process and change in aviation policies to suit the company.
5. source information further revealed that Mr. Rajender Dubey had played a role as
a liaison agent and was instrumental in seeking appointments and facilitating
meetings for officials of AAIL with the various Indian Government officials for
clearance of various formalities in Government of lndia.
6. lnformation has further revealed that a secret cabinet note was sent on
27.02.2014 to the cabinet to amend/remove the existing 5l2o rule for operation of
international scheduled in civil aviation. Further, civil Aviation Ministry had sent
clarification in the form of supplementary note on 0s.03.2014 to the cabinet. This
proposal, at that time, could not be approved since Election Commission had
announced Lok Sabha General Election on 05.03.2014.

controllers of M/s. AirAsia (lndia) Ltd. Mr. Anthony Francis Fernandes and Mr. Bo
Lingam pressurized their CEO Mr. Mrithyunjay Chandilya to pursue the matter
regarding the change of the then regulatory policies for the international aviation in
India suitable to them.
10. Information has further revealed that indirectly the entire operation of M/s.
AirAsia (lndia) Ltd. was controlled by M/s. AirAsia, Berhad by overriding the Board of
Dlrectors of M/s. AirAsia (lndia) Ltd. lt is also revealed that through a 'Brand License
Agreement', indirectly day to day control was exercised by AirAsia group of Malaysia
over M/s. AirAsia (lndia) Ltd., which was a violation of the then guidelines of FIPB.
11. Information has further revealed that M/s. AirAsia (lndia) Ltd. has used
several persons i.e. Mr. Sunil Kapur, owner of M/s Travel/Total Food Services and
Mr. Deepak Talwar from DTA at the instance of AirAsia Group Conkoller Mr. Tony
Fernandes and Mr. Bo Lingam. These private persons were found involved in
lobbying with the unknown officials of Ministry of Civil Aviation, Govt. of India for M/s.
Air Asia (lndia) Ltd.

12. Information has further revealed that Mr. Sunil Kapur in the month of
December, 2014 at the coffee shop in the Four Season, Mumbai Hotel along with Mr.
Bo Lingam handed over a closed packet containing cash of Rs. 50 lakhs to one Mr.
sriram, which was given by Bo Lingam to facilitate the removal of the then sl2o rute.
14. Therefore, a Regular case vide Rc Ac-l 2018 Aoolo dated 28.0s.2018 is
registered u/s. 120-8 rpc r/w sections 13 (2) rlw 13 (1) (d) of the p. c.
Act, 1988
against the above mentioned accused persons and enhusted to Shri pramod
Kumar.
