READY MIX PURCHASE CONTRACT

KNOW ALL MEN BY THESE PRESENTS:

WHEREAS; MARGOT CONSTRUCTION READY MIX AND

AGGREGATES NETWORK INC. (MCRAN) is a domestic corporation,
may engaged in the business of supplying ready mix concrete.

WHEREAS; Such ready-mix concrete is mainly used in Construction

projects like building of roads, buildings houses and the like.

1. PARTIES This contract is entered by and between:

MCRAN, a corporation duly organized and existing under and by virtue

of the laws of the Philippines, with principal office in Angeles City,
Philippines. With postal address at Anunas-Margot Road Barangay
Margot, Angeles City, Pampanga, Philippines. Acting through its
operations Manager, Maryanne Catherine Tumali-McCrann.

Hereinafter referred to as the “PURCHASER”( Name, age, address,
state if acting in the capacity of an owner or representative)

2. OBJECT. That MCRAN agrees to sell and deliver _______

(quantity) of ready mix concrete to Mr./Ms./
Company__________________________.
 3. CONSIDERATION Mr./Ms./Company____________________ in
return, agrees to pay the price of __________ (per unit) or the total
amount of ___________________________________.
(P_______________). **If the person is acting in behalf of a
juridical peron, he/she must attach the Board Resolution or SPA
and Valid ID authorizing him/her to act in such capacity.

4. PAYMENT Mr. /Ms._________ in accommodation of __________

(Name of Company or Owner) agrees to pay in cash or Postdated
checks on or before the following dates and respective amounts:

The above Postdated Checks will be delivered prior to delivery of

said Ready Mix Concrete.

5. MCRAN will deliver the following quantities of Ready Mix

6. WAIVER OF NOTICE OF DISHONOR. That if the negotiable

instrument or check issued is dishonored by the bank by reason of
“DAIF or closed account”, Any notice of dishonor is deemed waived
and MCRAN may proceed to avail any legal remedies available to
it such as the filing of criminal cases for the violation of BP 22 or
Estafa and other applicable lawsuits, without the need of giving
personal or by registered mail notice to the other party of such
dishonor.
 7. PENALTY. Penalty of ½ of 1% of the contract price will be
imposed upon the party in default.

8. LIQUIDATED DAMAGES If through default, abandonment or

other similar means, the purchaser of ready mix concrete failed to
pay MCRAN, the PURCHASER shall pay as liquidated damages
and not as penalty, an amount equal to 10% of the consideration
in this contract.

9. ARBITRATION CLAUSE Any dispute, controversy or claim

arising out of or relating to this contract, or the breach,
termination or invalidity thereof shall be settled by arbitration in
accordance with the Philippine Dispute Resolution Center
Incorporated of the Philippine Chamber of Commerce and
Industry (PDRCI) Arbitration Rules as at present in force.

9.1 The appointing authority shall be Construction Industry

Arbitration Commission (CIAC)
9.2 The number of arbitrators shall be three;
9.3 The place of arbitration shall be Philippines;
9.4 The language(s) to be used in the arbitral proceedings shall be
Filipino and/or English"
9.5 The parties to this contract hereby agree to submit their disputes to
voluntary arbitration.
