CONTRACT FOR SECURITY SERVICE

KNOW ALL MEN BY THESE PRESENT:

This contract was made and entered into by and between:

_RED WARRIORS SECURITY AGENCY INC., a security agency


duly licensed and existing under and by virtue of the Laws of the Republic of the
Philippines with office address at # 846 UNIT J 2ND FLOOR De Guzman Bldg. Henson
st. Angeles City represented in this act by its General Manager Angelie Crizelle
Ocampo-Lapid referred to as the AGENCY;

__________________________________ hereinafter referred to as the CLIENT;

WITNESSETH; that

WHEREAS, the AGENCY is a duly licensed security agency engaged in the


business of providing security services;

WHEREAS, the CLIENT is desirous of engaging the security services of the


AGENCY and as the latter agrees to render such services under the terms and
conditioned stipulated herein.

I. SECURITY SERVICES

1. The AGENCY shall provide Security Services to the CLIENT at the latter’s
premises located at __________

2. Initially, the AGENCY shall provide _________security personnel to be


assigned at the CLIENT’s premises. The number of guard may be increased
or reduced at the discretion of the CLIENT and effective upon written advice
served to the AGENCY.

3. The security guard assigned shall assist in maintaining peace and order in the
guarded premises, to watch, safeguard, and protect the lives, building and its
premises from theft, robbery, destruction, and other unlawful acts as well as to
safeguard other properties entrusted or turned over to the guards assigned. The
guards shall also follow and implement any and all instructions, rules and
regulations enforced or given by the CLIENT.

4. The AGENCY shall not be liable for the loss of any cash or other valuables
and other easily concealable items.

II. QUALIFICATION OF SECURITY GUARD

5. The security guards to be assigned to the CLIENT must have the following
qualification:
a) Filipino citizen
b) At least High School Graduate
c) Physically and mentally fit
d) At least 21 but not more than 50 years old
e) At least 5’ 6” in height
f) Of good moral character, and
g) Duly licensed and pass the standard qualification by the PNP SOSIA.
6. The AGENCY shall provide at its expense the guard’s uniform with
nameplates, firearms, ammunitions, handheld radio for communication, one

(1) unit motorcycle and its gas consumption for the security patrol used and
other paraphernalia as required

III. REPLACEMENT OF GUARDS

7. The CLIENT shall have the rights to have any guard assigned replaced with
other qualified guards whose work performance is unsatisfactory to the
CLIENT at the latter’s sole discretion.

8. The AGENCY shall also provide immediate replacement or reliever for any
assigned guards. For this purpose, it shall be the responsibility of the
AGENCY to ensure that the guards assigned are on their post on the duty
hours indicated herein.

IV. DUTY HOURS

9. The guards assigned shall have the following duty hours ----- daily
including Sundays and Holidays:

V. NO EMPLOYER-EMPLOYEE RELATIONSHIP

10. It is clearly understood that there is no employer-employee relationship


between the security guard assigned and the CLIENT. All such guards are
under the employ of the AGENCY and the latter shall be liable for the
payment of all their benefits arising from their employment including
coverage under the SSS. For this purpose, the AGENCY shall hold the
CLIENT harmless and free from liability for any claim by the security guard
assigned or the latter’s dependents arising from their employment including
claims for personal injury or death in the course of their employment.

11. Being the employer, the AGENCY shall exercise absolute and sole
disciplinary authority over the guards assigned. The AGENCY shall have
the rights to promulgate and enforce its own internal rules and regulations
for the discipline of their guards and to ensure their proper performance of
their duties and responsibilities.

VI. LIABILITY OF THE AGENCY

12. AGENCY shall be liable for any losses or damages to the CLIENT’S
properties entrusted to and/or inventoried by the guard assigned as provided
for in paragraph 3 and 4 above arising during the guard’s tour of duties and
as result of the latter’s fault, negligence or intentional acts, provided that any
such losses or damages shall be reported by the CLIENT in writing to the
AGENCY within 24 hours from occurrence or discovery thereof. Otherwise,
the losses and damages against the agency shall be deemed waived.

13. It is likewise understood that the AGENCY is not an insurer of the


CLIENTS properties. Therefore the AGENCY is not liable for any losses or
damages arising from fortuitous event or force majeure, or for reason beyond
the control of the guards assigned with such as incidents arising from armed
robberies which could not be prevented notwithstanding the exercise of due
negligence.

14. The AGENCY is not likewise liable for losses attributable to the CLIENT
such as the act of negligence of the CLIENT’S employees nor is the
AGENCY liable for personal items belonging to the CLIENT’S employees
or under their personal care and responsibility in relation to their duties.

15. For claims which are covered and/or determined to be due to the CLIENT
as provided for herein, the amount for the purpose of payment by the
AGENCY of its liability shall be based on the acquisition cost or value of
the property minus reasonable depreciation based on standard accounting
practice. The parties agree to determine this or to negotiate in good faith
taking into account the CLIENT’S pertinent records such as invoice, etc.

16. That any liability arising from this contract, the AGENCY shall not be held
liable for more than one month of contract fee as provided in no. 17 part VII
on fees.

VII. FEES

17. For the foregoing services, the CLIENT shall pay the AGENCY the amount
of ___________________________________per guard/per month.

18. Should there be any law or legislation, regulation or wage order mandating
or providing for increase or additional benefits, wage or allowances to
employees, such mandated increase shall be added to the fees to be paid as
provided above.

19. The security fees shall be billed and payable on semi-monthly basis. For this
purpose, the AGENCY shall send a semi-monthly billing every 15 th and
30TH or end of every month which billings shall be paid within FIVE (5)
days from receipt. Any billing not paid within the said period shall earn
interest at the rate of THREE (3%) percent per month or fraction thereof
until fully paid.

20. The CLIENT shall have no right to neither offset any claims for losses or
damages against the security fees due to under this contract nor withhold
payment as result of any such claims which have not been determined or
found as due from the AGENCY.

VIII. TERM

21. This contract shall be for the period of ONE (1) YEAR commencing
from____________________________. In the absence of any written notice
to the contrary served by either party to other at least FIFTEEN (15) days
prior to the termination of any ONE (1) year period, this contract is deemed
automatically renewed for another period of ONE (1) year each instances
subject to the re-negotiation of security fees and other new terms and
condition which may be mutually agreed upon.

22. Notwithstanding the ONE (1) YEAR term provided for herein, this contract
may be terminated at any time upon service of 30 days written notice to the
other party for failure to pay security fees or violation of any other terms and
condition as provided for herein.

IX. VENUE AND COST OF SUIT

23. In case of court suit, the venue of any action shall be before the proper courts
of San Fernando City, Pampanga. Any party who is adjudged by a competent
court as having violated the terms and condition of this contract shall be
liable to pay attorney’s fees equivalent to 25% of the amount involved but in
no case less than php10,000.00 plus actual litigation expense and cost of suit.

24. All other terms and condition not herein otherwise provided for shall be
governed by Philippine laws.
