2.2 SAME AS ABOVE FOR ALL OF THE TRUSTEES

1. We are aware of the legal responsibilities and duties of trustees in their

administration of NAME OF TRUST and undertake to abide thereby. The
provisions of the Trust Monies Protection Act (Act 34 of 1934) regarding
circumstances which could justify the discharge of a trustee, do not apply to any
of us. Should such circumstances arise, we undertake to inform the Master of
the High Court thereof.

2. The main assets of NAME OF TRUST are situated in Namibia.

3. The beneficiaries of NAME OF TRUST are the persons designated in the Deed
of Trust document. They are not parties to such document and accordingly their

 views as to whether the trustees should be exempt from the requirements of
security as set out in the said Act can be dispensed with.

4. We undertake to:

(a) Open a bank account for NAME OF TRUST and deposit all monies forming part
of the trust funds into such account;

(b) Have the books and financial statements of NAME OF TRUST drawn up and to
present financial statements for NAME OF TRUST on an annual basis;

(c) Advise the Master of the High Court on all Trust matters and to furnish him/her
with any information concerning the affairs of NAME OF TRUST as he/she may
request;

(d) Instruct the auditor/accountant of NAME OF TRUST to furnish the Master with
any information as the Master may require; and

(e) Comply at all times with the provisions of the Trust Monies Protection Act (Act 34
of 1934).
