MEMORANDUM OF AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Contract is made and executed this ____ day of _____, 2017 at Tuguegarao City,
Cagayan, by and between:

AJ TABUTOL DESIGN AND CONSTRUCTION, a corporation duly organized and

existing under and by virtue of the laws of the Philippines, with office address at #2 ABC
Building, Enrile Boulevard(Bypass Road), Tuguegarao City, Cagayan, represented herein by
ARCHITECT ALLAN JAY A. TABUTOL, hereinafter referred to as the "CONTRACTOR";

- and -

JONATHAN B. EDEJER, the sole proprietor of JDE REAL ESTATE BSERVICES, of legal
age, married, Filipino and with office address at #17 Aguinaldo Street, Centro 02, Tuguegarao
City, Cagayan, hereinafter referred to as the "OWNER".

WITNESSETH:

WHEREAS, the OWNER desires to engage the services offered by the CONTRACTOR;

WHEREAS, the CONTRACTOR has agreed to render such services to the OWNER for a
consideration and under the terms and conditions herein specified;

NOW, THEREFORE, for and in consideration of the above premises and of the mutual
covenants hereinafter set forth, the OWNER and CONTRACTOR do hereby agree as follows:

SECTION ONE
SCOPE OF THE SERVICE

1.1 The CONTRACTOR shall provide all the material and labor required to perform the
following WORK based from the attached plans and the Scope of Work below for “Forty
two/42 square meters-single storey residence” as shown by the drawing which is hereto
attached as Exhibit A.

D. Standard Electrical Wiring and conduit
E. Sanimold extra for sanitary pvc pipes
F. HCG Attiva packages for bathroom fixtures
G. Stainless faucet
H. Pinlight on all spaces
I. 2 front wall lamp and 1 hanging light at porch
J. 9mm gypsum board on metal furring for ceiling
K. Off White 60x60 granite tiles on interior floors
L. 30x30 ceramic tiles on porch and CR
M. 60x60 granite tiles on glossy black on kitchen
N. .4mm thick long span roof with spandrel
O. 2x4 heavy duty channel bar and 2x3x1.2mm purlins for steel trusses on red oxide primer
P. Steel Casement Windows
Q. Carpenter door Australia for exterior door and moulded door for bedroom dooor, pVC for
CR
R. Painted finished by Davies
S. Septic tank included
T. Floor Finish line elevated at 60cm (2ft) from natural grade line.

SECTION TWO
PLACE AND LOCATION

2.1 The CONTRACTOR shall provide the foregoing services at the OWNER’s residence
location at Linao East, Tuguegarao City, Cagayan.

SECTION THREE
CONTRACT PRICE/MODE OF PAYMENT

3.1 In consideration of the services to be rendered by the CONTRACTOR to the OWNER,

during the term of the Contract, the OWNER shall pay the CONTRACTOR for the aforesaid
materials and labos in the amount of FIVE HUNDRED THOUSAND PESOS(P500,000.00)
in the following manner:
A. 40% downpayment-P200,000.00
B. 60% progress billing amounting to P300,000.00

3.2 The CONTRACTOR shall finish and turn over the above stated work from six-eight
weeks(OR WITHIN TWO MONTHS) starting November 28, 2017. The CONTRACTOR shall
finish and turn over the above stated work in accordance with the plans.

SECTION FOUR
OTHER STIPULATIONS

4.1 In the event that the CONTRACTOR is delayed in the fulfillment of the work by force
majeure, acts of God, fire, flood or any other unavoidable casualties; or by neglect of the
OWNER, the time for completion of the work shall be extended for the same period as delay
occasioned by any of the aforementioned causes.

4.2 in the event that the CONTRACTOR is delayed due to neglect of the COTRACTOR, the
latter will pay the OWNER in the amount of FIVE HUNDRED PESOS(P500.00) per day as
liquidated damages until such time the work is completed.

4.3 All changes and deviations in the work ordered by the OWNER must be in writing, the
contract sum being increased or decreased accordingly by the CONTRACTOR. Any claims for
increases in the cost of the work must be presented by the CONTRACTOR to the OWNER in
writing, and written approval of the OWNER shall be obtained first before proceeding with the
ordered change or revision.

4.4 The CONTRACTOR agrees to re-execute any work which does not conform to the drawings
warrants the work performed, and agrees to remedy any defects resulting from faulty
materials or workmanship which shall become evident during the period of ONE YEAR after
completion of the work.

4.5The CONTRACTOR shall construct ten(10) units of houses and any additional unit to be
made shall be subject to the permission of the OWNER.

4.6It is understood that, for the above reasons, these workers shall be considered as the
employees of the CONTRACTOR.

4.7 Any controversy or dispute arising under this CONTRACT shall be referred to any
competent court of CAGAYAN, having jurisdiction thereto.

IN WITNESS WHEREOF, the parties have signed this Contract on the date and at the place
above-written.
